DESCRIPTION OF SERVICES

1. PROJECT BACKGROUND

ngladesh achieved sustained annual GDP growth of approximately 6.3 percent in the period
FY05-09, despite the global financial crisis and global food price shocks. Growth was
underpinned by stable macroeconomic and prudent monetary policies, rising industry and
services output and continued high levels of remittances. Going forward, the Government of
Bangladeshs objective is to develop a growth trajectory that will support an overall increase in
real GDP growth to 8 percent per annum and reduce poverty from 40 percent to 15 percent by
2021.
The sustained growth in Bangladeshs labor force of nearly 2 million a year is an asset that
nevertheless increases the countrys vulnerability. The Bangladesh labor force is estimated to grow to
58.3 million in 2010-11. Creating productive employment will largely depend on creating an
environment conducive to private sector investment, particularly for labor-intensive manufacturing and
services.

The Hi-Tech Park Act was passed in Parliament in 2010, providing the overall framework for
establishing Hi-Tech Parks throughout Bangladesh. Under this Act, the Hi-Tech Park Authority will be
established under the Ministry of ICT, Government of Bangladesh and a Board chaired by the Prime
Minister governs the Authority. The law provides the legal coverage for attracting and leveraging private
investment in the development of Hi-Tech Parks and in the provision of tailored infrastructure services,
such as private provision of power, effluent treatment, etc. selected and contracted on a Public-Private
Partnership (PPP) basis.

PROJECT DESCRIPTION

The Government of Bangladesh is keen to play a key role in the knowledge economy.
Government is taking a number of steps to establish a competitive edge in terms of availability of skilled
manpower and high quality infrastructure, for attracting investments in Information Technology (IT), IT
enabled Services (ITES) and Hi-Tech Manufacturing sector in Bangladesh. The Government considers
that IT/ITES will be a major growth opportunity into the future and is keen to significantly increase the
levels of income and employment in the IT/ITES sector, by attracting reputed international companies to
invest in the country. This sector can potentially create about 0.75 million jobs directly with a four time
multiplier effect in the indirect jobs by 2021 and make a significant contribution to the GDP of the
country. It has set about Bangladesh Hi-Tech Park Authority (BHTPA) with a mandate to develop HiTech Park and IT Parks in the country, first such Hi-Tech Park at Kaliakoir, is to be developed in Public
Private Partnership on Design, Build, Finance, Own, Operate and Transfer (DBFOOT) basis on about 232
acres of land at Kaliakoir (KHTP), Gazipur, Dhaka, Bangladesh. The KHTP is expected to be a landmark
facility with state of art facilities. Government has envisioned development of IT Villages with IT Parks

at places such as Jessore, Sylhet, Rajshahi and at such other identified locations under the Bangladesh HiTech Park Authority.
It is in this backdrop that the BHTPA is keen to engage a reputed international consultancy firm for
significantly accelerating investments in the above sector and assist BHTPA in developing the project.
5.Scope of Services:
The Transaction Advisor (TA) shall be responsible for augmenting strategy for generating
investments in the IT/ITES/Hi-Tech Sector, advice on policy, administrative procedures, micro-work,
green aspects, technology trends, measures for growing local IT/ITES enterprises, develop reports,
identify investors, facilitate investments, detailed marketing strategy, organize investor meetings, conduct
road shows, institutionalize MIS, monitor project implementation, provide technical Engineering Designs,
supervise project construction & build out, assist project implementation unit (PIU), mentor, train and
build capacities of staff at PIU and any other actions as deemed necessary for the government to develop
IT/ITES/Hi-TechHi-Tech sector in Bangladesh.

6.Transaction Advisory Services will include, but not be limited to:


Phase I
a) PreFeasibility report for investment promotion [Bangladesh as a country and specific for
Dhaka (Kaliakoir &Chittagong CUET IT Park and Incubation Center), Jessore & Sylhet];
develop and operationalise a strategy for significantly augmenting IT/ITES Industry &
Microwork in the country, generating investments in the IT/ITES/Hi-tech Sector, generating
investments in IT infrastructure such as Hi-TechHi-Tech/IT/ Software Parks in the country.
No prefeasibility report for investment promotion will be prepared for Janata Towers.
b) Prepare and operationalise a detailed marketing strategy for establishing Bangladesh as a
global brand in the Hi-TechHi-Tech/IT/ITES areas.
c) Develop PPP documents, arrangements and contracts for for Rajshah Hi-Tech Park and
Chittagong CUET IT Park and Incubation Center (if it is prepared in project period), Jessore
IT (Software) Park and Sylhet Hi-Tech Park.
d) Develop an IT/ITES/Hi-TechHi-Tech policy, which clearly differentiates Bangladesh from
the competing countries and provide comparative analysis. It should contribute significantly
to an improved investment climate in the country.
e) Suggest measures and a roadmap for encouraging local IT/ITES enterprises to grow and
expand their operations to become mid/large size companies and prepare a report in
consultations with the Industry.

f) Help BHTPA in conceptualizing and implementing initiatives for improving the availability
of skilled manpower in the country relevant including evaluation assessment and
standardization for the industry and suggesting ways and means to aggressively position
Bangladesh as a location of choice for skilled IT/ITES manpower.
g) Review all existing technical, legal and financial documents and where necessary, fill
existing gaps with additional assessments/ analyses. These will include the existing
feasibility studies, enabling works on site and the revenue model and pricing policy based
on the viability analysis;
h) Assist Government of Bangladesh with the development of the BHTPA implementation
strategy, re-define goals, objectives as necessary and develop the project Roadmap;
i) Set up performance metrics and institutionalize an MIS for benchmarking the performances
of the BHTPA in attracting investments into Bangladesh at regular intervals.

Phase II: Investment Promotion, Project Management & Construction Supervision phase
a) Provide technical Engineering Designs, supervise construction of Hi-TechHi-Tech/IT Parks,
Co-ordinate, and monitor the project implementation of the Hi-TechHi-Tech/IT Park
Developer (s).
b) Support the PIU manage project costs against budgets, aspects of quality, aspects of green
buildings, timely completion of activities to the agreed program and risk control and
mitigation measures.

c) Build capacity in BHTPA, mentor, train and develop the PIU teams for carrying out
technical, supervisory, management and investment promotion roles.
d) Develop promotional material, implement strategic communication campaigns, participate
in and conduct conferences, conduct investment promotion roadshows, communicate, invite
&arrange investor meetings, prepare & make presentations, and raise awareness of
Bangladeshs value proposition in the IT/ITES, Hi-Tech sector. And raise awareness with
all stakeholders Bangladesh, support BHTPA in attracting inward investments into the
sector.

It is anticipated that man-months of key professional staff and of supporting staff as stated below could
be required to accomplish the tasks stated in the detailed Terms of Reference (TOR). Only the key Key
Experts will be evaluated.

The estimated input of the Consultants team is summarized in the table below. The staff-months are
indicative and consultants are free to propose its own staff-months estimate to deliver the services as
per the ToR.

REPORTS AND MANUALS DELIVERABLES

Specified number of copies of the reports and manuals as desired by the Client shall be delivered by the
consultant along with an electronic submission in CD/DVD of all reports/manuals including the inception
and final report.
