The purpose of this letter is to outline the scope of services that [Company NAME] can
perform for Nishat Chunian Ltd.

[Company NAME] agrees to write a "n"-page brochure describing the services of Nishat
Chunian(SMTH). Information for the brochure will be provided, on a timely basis, through
existing corporate materials as well as through interviews with Nishat Chunian Ltd and
other appropriate NCL staff.NCL will provide all photos, charts and other graphics to be
included in the brochure, and is responsible for printing and other production costs related
to the brochure.
Should Client request Agency to perform additional services beyond what is already decided,
Company and Client will negotiate in good faith with respect to the terms, conditions, and
compensation for such additional services. Any agreement for additional services will be set
forth in writing and considered an addendum to the agreement.
Ownership
All campaigns, trademarks, service marks, logos, slogans, artwork, written materials,
drawings, photographs, graphic materials, film, music, transcriptions, or other materials that
are subject to copyright, trademark, patent, or similar protection (collectively, the Work
Product) produced by company are the property of the Client.
Compensation and Billing Procedure
Company will be compensated and Client will be billed according to the amount of work
decided in the agreement.

Confidentiality and Safeguard of Property

Client and Company respectively agree to keep in confidence, and not to disclose or use for
its own respective benefit or for the benefit of any third , any information, documents, or
materials that are reasonably considered confidential regarding each others products,
business, customers, clients, suppliers, or methods of operation.
Indemnities
Company agrees to indemnify and hold Client harmless with respect to any claims or actions
by third parties against Client based upon material prepared by Company, involving any
claim for libel, slander, piracy, plagiarism, invasion of privacy, or infringement of copyright,
except where any such claim or action arises out of material supplied by Client to Company.
Commitments to Third Parties
All purchases of media, production costs, and engagement of talent will be subject to
Clients prior approval. Client reserves the right to cancel any such authorization, whereupon
Company will take all appropriate steps to effect such cancellation, provided that Client will
hold Company harmless with respect to any costs incurred by company as a result.
Amendments
Any amendments to the Agreement must be in writing and signed by Company and Client.
