In conjunction with this financing, the Health System entered into the Intergovernmental Agreement and the Covenant Agreement, which provide certain obligations of MHUMC and Memorial Health with regard to the County's access to information about MHUMC and Memorial Health, its finances and its operations. The purpose of this letter is to request access to specific information pursuant to those agreements, Such information is contemplated by the Intergovernmental Agreement and is reasonable and necessary for the County to ascertain the Health System’s compliance under the Covenant Agreement. Therefore, pursuant to Section 2(e) and Section 4 of the Intergovernmental Agreement and Section 1.09(d) of the Covenant Agreement Chatham County hereby requests access for review and inspection at 2:00 pm on June 20, 2016, to a) all documents, agreements, books and records relating to all aspects of the Health System's and its affiliate’s relationship with Novant Health, Inc. and any of its affiliates during the period 2010 to 2014, including but notimited to that certain Shared Services Agreement with all addendums, attachments and exhibits entered by the Health System with Novant Health, as amended: (b) any document or agreement between Novant and Memorial Health System dated January, 2013; and c) projected 2016-2017 cash flow statements and/or all documents of projections or forecasts as to available operating cash.
