We are writtng to provide the committee wlth background information regarding the land leases at the
business park known as Westwood (::enter. The park was developed on airport land by the Pittsfield
Department of Community Development (DCD), formerly known as the Office of Community and
Economic Development (OCED). DCD partnered with the Pittsfield Economic Revitallzation Corporation
(PERC) to guide t~e development, evaluate the prospective business tenants, and manage the leases.
The original intention was to create parcels that would be sold to private parties, but the sale of lots was
not allowed by the Massachusetts Aeronautics Commission (MAC) or the Federal Aviation
Administration (FAA). Therefore, a land lease arrangement was structured.
The main points in the chronology of the development of the Westwood Center business park was were:
:L 4/19/84 Parcel declared surplus by the Pittsfield Municipal Airport Commission (PMAC) and
available for lease; plan of "Barker Road Business Park" approved. The airport land was added to
land the City purchased in 1983 to make up a 30 acre area.
2. 9/20/84 PER(: and Pittsfield OCED designated as developers of the bustness park.
3. 11127/84 Massachusetts legislation passed allowing leases for a 40 yearterm with a simllaroption
to renew period. The longer term was needed to overcome objections to the uncertainty of 20 year
lease terms.and to make bank financing of new construction posslble.
4. 1986
Master lease drafted, reviewed and approved by PMAC, MAC and FAA.
5. t986-7
First 2 leases approved for S:~ each as an tncentlve to encourage investment, following
an extensive marketing campaign that did not generate much interest.
6. :2987
Two appraisals of the rand for business use purposes were obtained and the fair market
tand lease rate of $1,0OO/acre/year was documented. Also the Consumer Price Index (CPI) was
selected to be the escalator benchmark, as recommended by MAC.

7. 8/:2/89 Revenue spl~t between PERC and PMAC established at 85%/:1596 based on the
proportional investment of the Citys Community Devetopment Block ~3rant (CDBG) fundinlK of
~;431,189 and PMACs investment valued at $75,000. The PERC funds were considered CC)BG
program income and the use of the funds was restricted to C:Dt~G eli~Kible purposes. MAC provided
IKuidance In 1986 on how to determine an acceptable proportional level of revenue ~enerated to
PMAC.
8. 1992-2004 Five remaining lots leased to complete the business park development. (Last 3 lots had
wetland restrictions and were reconfllKured into 2 lots, y(eld[n~K a total number of lots of T.J
Information on the land iease revenues Is attached. In FY:16, they are [~enerating total revenues of
$20,3:L:1, of which PERC is receiving $:17,264 and PMAC is receiving :$3,047.

It should be noted that the buildings located on the lots are taxed by the Ctty as real property. They
have a combined assessed valuation of:~2,862,800 and 8enerate ~;108,958 in tax revenue.

Massachusetts, on Thursday, April 1.9, 198~. The meeting was
held pursuant to a call of meetinq posted in accordance with
the public meeting law.
Motions were presented and acted upon as follows:
A motion was made to declare as surplus certain
lands of the PJ.ttsfield MunicJpal Airport.
Commiss.ion identified as Parcel C in the Airport
Master Plan prepared by the Office of Community
and Economic Development and shown as the "Barker
Road Business Park" in a plan dated April, 1984.
Upon a vote of 5 against, 0 in fa~zor, the
motion was unanimously defeated. A motion was made to decl~..re as ava/iable for

This notification is a reminder that under MassachusettsGeneral Laws, Chapter 90, Sections
39.B, 4D, and 51J, the Massachusetts Aeronautics Commission (MAC) has the duty to review
,-~nd approve any airport construction, lease,, regulation, land purchase, land transfer or
.~nd sale at or on your airport.. MAC must be notified and our approval requested prior
to your initiation of any of the preceding actions,
Recently, several airports have been negotiating airport structure construction and/or
sold airport land without notifying the MAC or asking for MACs or FAAs approva!. As
a consequence, MAC had to delay and in some cases overrulethe local commission causing
severe embarrassment to a1l concerned. In order to avoid this unpleasant .situation,
MAC once again implores you to be more conscientious and timely in your notifications
to MAC, Your federal and state funding cou]d be placed in jeopardy.

As we have discussed, the Pittsfield MunicipalAirport


Commission has required that the fol!owing restrictions be
included in any lease of property !ochted at Westwood
Center:
!. That no building be constructed to a total height
greater than that allowed by the applicable regulations
of the Massachusetts Aeronau-tic Commission or the
Federal Aviation Administration.
2. That no business use be permitted that would cause
the generation of radio or electrical frequencies or
signals that.wil! interfere with theoperation of the
lighting or navigational aids located upon the airport
grounds or used in aircraft.

3. Tha~ all lighting be shielded so as to not


interfere with the use and operation of.the airport
faciiity.

The Airport Commission will submit the model lease


containing these restricitions to the FAA.and MAC for their
approval.

The purpose of the meeting was to act upon a proposed
leased negotiated between the City of Pittsfield acting
through its Office of Community and Economic Development,
City Solicitor and Airport Commission, ms lessors, and
Leonard F. Gigliotti, Trustee of L.F.G. Realty Trust, as
lessee.
After discussion and upon motion duly made and
seconded, the following actions were taken:
I.
VOTED: That the Pittsfield Municipal Airport
Commission approve the proposed lease dated as of February
25, 1986 subject to the following conditions:
a ~

That Article IV, Use of the Premises, be amended


by deleting those uses inconsistent with the
development plan of Westwood Center and
inconsistent with the vote of the Airport
Commission dated
imposing certain
conditions upon the mse of such property.
That a new section entitled "Proh.bited Uses" be
added to the lease itemizing those proh~.bitions
and .conditions imposed upon the Westwood Center by
said vote of the Airport Commsslon.

That the final language of said lease, as


approved, be sub.ject to the review of the
Pittsfield Municipal Airport Commission.

VOTED: That the building profile and site plan as
submitted by the lessee is approved and endorsed by the
Pittsfield Municipal Airport Commission.

Lease Approvals for Westwood Center

On August 20, 1986, David Eaynard and Kenneth Walto (OCED)~


represented, the City of Pittsfield and the Pittsfield Airport
Commission in a meetin~ wi.th the Mass, Aeronautics Commission
at MAC offices in Boston, The fol!owing is a ,summary of the
agreement reached re~&rding lease, arrangements at Westwood
Center Industrial Park.
Reconizing. that the City of Pittsfield. purchased non-airport
property of between 4 and 5 acres, and that the two existing
$i. 00 lease obligations involve 5 .acres of land, MAC has
authorized an accountlns washout of 5 acres of land, leaving
25 acres to be subject to.master lease provisions.. This cleared
the way for ~AC approw~l of the leases for Gigliotti Electric
and Pittsfield News. FAA"approval still remains to be granZed.
The FAA personnel reviewing Zhis matter are out ofthe office
unil Monday morning.

After several unsuccessful avenues of approach "to a resolution


of the lease rate issue, ~iI par~ies ~o the .meetin~ found
consensus in a, .prpsal to look a% the historical inception
of the project. BY so doing, the City and the Airpor~ Commission
would be treated as pa.rtners in a development project, The
Airport Commission would be .deemed to have contributed ~8 acres
of property - to be valued at that time as vacant, unimproved
land,
The City contributed the . value of " the. improvements.
These ~wo values would be reduced to a ratio that would then
be applied to

The revenues to be ~enerated from the development project would


be established by formal appraisal of the property and appraisal
calculation of. a "fair market lease rate", The value ratio
described above would then be applied t0 that lease rmte to
divide the proceeds beZween the City and the Airport Commission.

These proceeds represent 1986 dollars 0. For each subsequent
year, the proceed rate would be adjusted by the Consumer Price
Index (CPI), ~o establish the rates charEeable for th~ year.
The Airport proceeds, must be deposited to a dedicatedalrport
development account,
The City proceeds may be collected, or
not., at. the Citys discretion.

the "one dollar" .lease rate with the "fair market value" lease
rate., the provision of the Cpl inflation factor and ~he .
collection/deposition provisions relating to the separated
revenues, These chan~es will not effect or pertain to, Gi~liotti
Electric or Pittsfield News.

Dear Mr. Wheelock:

As a result of our August 20th, 1986 meeting with the Pittsfield OCED with
Messrs. Maynard and Walto, the MAC requests .tDat OCED present a reasonable
proposal to your commission which establishes the "fair market wlme return" to
your airport based on the following considerations;
a) The appraised value of the ~irport owned land prior to improvements;
b) The ms-built cost (mr bonding costs) of the utility improvements made
by the City;
c)

The current fair m~rket lease rate of the property (which is assumed
to b~ large enough to cover the value of "a" and the City~ cost for "b");

The portion of the fair market lense value paid to the airport cmn=nissimn
should be basmd on the ratio of the investment put up by the airport
commission (value mf "a") to the total investment put up by th~ City mn~
th~ Airport ( "a" pl us "b") ;
e) The price established by "d" above should then be adjusted annually by
the Consumer Price Index.
We will await your proposal based on the above considerations.
At this time, the MAC approves the leases for the "anchor ten~nts" pending
FAA approval of the same to your commissimn:

Based upon the designations in your September 5, 1986, letter


concerning the siting of anchor tenants in your Westwood Center
business park, and the procedural requisites listed in the
September 3, 1986, Massachusetts Aeronautics Commissions letter,
this office approves the use of lots 4 and 6 of the azea shown on
the airport layout plan as parcel "C" for non-aeronautical
purposes.
Any leases executed for these parcels are recommended to contain
the paragraphs of conditions provided on the enclosed abstract.
Construction on theparcels should not commence until the procedures required under FAR Part 77 are completed. Notices required
to initiate the Federal Aviation Administration (FAA) review
process are also enclosed. Please have these forms executed and
returned to the FAA as soon as possible. Copies of leases should
be provided to this office as available.

Enclosed is the information I promised in regard to an adjustment to the split in
land lease revenues at Westwood Center.
After our meeting with }iAC and FAA, I reviewed the way in which we calculated the
split in revenues and found that we had erred, The basic mistake was that OCED,
(when Bill Angelo was Commissioner) had purchased 5 acres of land for $15,000 to
round out the Westwood parcel to 30 acres.
I neglected to include this in my
calculation for David Maynard, who overlooked it as well. This mistake was compounded
by the fact that we then added several percen= ~o compensate the Commission for
foregone revenues. However, no extra compensation is required since the land "given
away" was approximately the land purchased by OCED. These mistakes reduce the Airport
Commissions investment to $75,000 out of a total investment of $506,i89 (15%).

As you know, I am obligated by BUD to prorate the income to reflect the. percentage
of CDBG fun4s used. This is also consistent with MACs recommended methodology as
outlined in their 9/3/86 letter ~o you.
