(Agreement) is entered into on 07 15 , 2016

O presente Contrato de Comodato do Aparelho "Open Connect"

("Contrato") celebrado em 15 de 07 de 2016 (a "Data de
Vigncia") entre Netflix Entretenimento Brasil Ltda., com sede
na Av. Bernardino de Campos, n 98 - 4 andar - sala 36 - Paraso
- Cep: 04004-040 - So Paulo - SP - Brasil, inscrita no CNPJ/MF
sob n 13.590.585/0001-99, neste ato devidamente representada
("Netflix") e
VELOO NET LTDA - EPP
, com sede
na
Rua Orlando Buragin, 208, Centro, Unio dos Palmares, Alagoas, Brasil,
CEP 57000-800, inscrita no CNPJ/MF sob n 08.059.661/0001-02

WHEREAS Netflix is the lawful owner of certain hardware

appliances and software, and desires to lease and license such
hardware appliances and software to ISP on a free basis.

individualmente como Parte.
CONSIDERANDO que a Netflix a legtima proprietria de
certos aparelhos de hardware e software, e deseja ceder em
comodato e licenciar ISP tais aparelhos de hardware e software.

WHEREAS ISP desires to use such hardware appliances and

software leased and licensed from Netflix and undertakes to use
and maintain them in good condition until the expiration and/or
termination of this Agreement.

CONSIDERANDO que a ISP deseja usar tais aparelhos de

hardware e software dados em comodato/licenciados pela Netflix e
se compromete a us-los e mant-los em boas condies at o
trmino e/ou resciso deste Contrato.

For good and valuable consideration hereby exchanged, Netflix

and ISP agree as follows:

A Netflix e a ISP, por este instrumento, acordam conforme segue:

1. Netflix hereby leases to ISP free of charge (commodatum) the

hardware appliances specified in Exhibit II, as may be updated by
Netflix from time to time as needed for additional shipments
requested by ISP, which shall be imported by Netflix (the
"Product") and ISP hereby accepts and receives the Product in a
free lease from Netflix for the term and pursuant to the conditions
set forth herein. During the Term, as defined in Section 2 below,
Netflix also licenses to ISP in a free basis its software, which is
preloaded in such appliances (the Software), in accordance with
the Exhibit I of this Agreement (the Software License). ISP
shall be responsible for all taxes based upon ISPs income or
property.

1. A Netflix, por este instrumento, cede em comodato para a ISP

os aparelhos de hardware especificados no Anexo II, o qual
poder ser atualizado pela Netflix de tempos em tempos,
conforme as remessas adicionais solicitadas pela ISP, a serem
importados pela Netflix (o "Produto") e a ISP neste ato aceita e
recebe o Produto da Netflix em comodato pelo prazo e de acordo
com as condies estabelecidas neste instrumento. Durante o
Prazo, conforme definido na Clusula 2, a Netflix ainda licencia
gratuitamente ISP o software de sua propriedade pr-instalado
em tais aparelhos (Software), de acordo com o Anexo I deste
instrumento (Licena de Software). ISP ser responsvel por
todos os tributos baseados nas rendas e propriedade da ISP.

1.1. During the Term and subject to the warranty provided under
Section 6 below, ISP will be solely responsible for the careful
use, good maintenance and insurance of the Product, as well as
for any damage thereto at its own cost.

1.1. Durante o Prazo e sujeito garantia contida na Clusula 6

abaixo, a ISP ser a nica responsvel pelo uso, boa manuteno
e seguro do Produto, bem como por qualquer dano causado a ele,
s suas prprias custas.

1.2. The Product is being free leased to ISP with the exclusive
purpose of serving Netflix content and ISP may not change the
use purposes of the Product without Netflix's prior and written
consent.

1.2. O Produto est sendo cedido em comodato para a ISP com a

finalidade exclusiva de servir contedo da Netflix, e a ISP no
poder alterar a finalidade do uso do Produto sem o
consentimento prvio e escrito da Netflix.

1.3. ISP represents and warrants to Netflix that the Product shall
remain at all times installed at ISP's data centers pursuant to the
cities and addresses listed in the then current Exhibit II
(Description/Location of Products) and ISP undertakes to not
remove the Product from the Product Installation Places, except
upon Netflix's prior written approval in that regard.

1.3. A ISP declara e garante Netflix que o Produto ficar a todo

2. TERM. Netflix leases the Product to ISP free of charge for the
term of one (1) year from the delivery date of the Product to ISP
against the execution by ISP of the competent receipt and shall
automatically be renewed for successive one (1) year periods (the
Term), unless eiher Party elects to terminate this Agreement
upon expiration of the then existing term by giving notice to the
other Party in writing at least thirty (30) days prior to such
expiration. Netflix also licenses the Software for the Term, in
accordance with Exhibit I.

2. PRAZO. A Netflix cede o Produto em comodato para ISP pelo

3. MAINTENANCE AND INSURANCE. During the Term, ISP

is responsible for obtaining and maintaining any communications
equipment, network connectivity, power, and space necessary to
house and operate the Product, at no cost to Netflix, and will
procure and maintain throughout the Term (1) property insurance
providing coverage against physical damages to the Product in an
amount not less than its full replacement cost; and (2) commercial
general civil liability insurance providing coverage against any
civil liability arising out of the use of the Product, for injury or
death of one or more persons and for damage to tangible property
(including loss of use) with a combined single limit of not less
than R$500,000.00 (Five hundred thousand Reais) in an
occurrence. The commercial general civil liability insurance must
contain a clause establishing that the insurance company
expressly waives its subrogation rights against Netflix.

3. MANUTENO E SEGURO. Durante o Prazo, a ISP

responsvel pela obteno e manuteno de qualquer
equipamento
de comunicao, conectividade de rede,
eletricidade e espao necessrios para alojar e operar o Produto,
sem qualquer custo para a Netflix, e ir contratar e manter durante
o Prazo (1) seguro de danos do Produto com cobertura contra
danos fsicos em um valor no inferior ao seu custo de
substituio; e (2) seguro geral de responsabilidade civil com
cobertura para qualquer responsabilidade civil decorrente do uso
do Produto, por leso corporal ou morte de uma ou mais pessoas
e por danos propriedade tangvel (incluindo perda de uso) com
um limite global de garantia no inferior a R$500.000,00
(quinhentos mil reais) por ocorrncia. O seguro geral de
responsabilidade civil deve conter clusula dispondo que a
seguradora renuncia ao direito de sub-rogao em face da Netflix.

4. ISPS OBLIGATIONS: In addition to any other obligation set

forth in this Agreement or in the law, ISP undertakes to:

manuals and Netflix's instructions and comply with all
Federal, State and Municipal laws and regulations, applicable

com todas as leis e regulamentos Federais, Estaduais e
Municipais, aplicveis ao Produto e sua operao;

(ii) keep the Product in perfect maintenance and operation

conditions, protecting it from damages and deteriorations;

(ii) manter o Produto em perfeito estado de conservao e

funcionamento, protegendo-o contra danos e deterioraes;

(iii)not modify, dismantle, reverse engineer, sell, assign, open or

repair the Product, except by Netflix' authorized technicians;

(iii) no modificar, desmontar, fazer engenharia reversa, vender,

ceder, abrir ou reparar o Produto, salvo por tcnicos
autorizados pela Netflix;

(iv) indemnify Netflix for any and all damages, accidents, losses,
and theft of the Product during the Term, being ISP in these
specific cases, liable for compensating Netflix for the market
price of the Product in addition to all costs and expenses
incurred by Netflix for purposes of importing the Product
into Brazil, and

(iv) indenizar a Netflix por todos e quaisquer danos, acidentes,

perdas, furto e roubo do Produto, durante o Prazo, sendo a
ISP, nestes casos especficos, responsvel por compensar a
Netflix pelo preo de mercado do Produto, alm de todos os
custos e despesas incorridos pela Netflix com a importao
do Produto para o Brasil; e

(v) return the Product to Netflix upon the termination of this

Agreement, as Netflix designates in writing.

5. NETFLIX OBLIGATIONS: In addition to any other

obligations set forth in this Agreement, Netflix undertakes to:

import the Product into Brazil and make it available to ISP,

being Netflix exclusively liable for all costs dealing with the
importation of the Product, subject to Section 4 (iv) above;
and

(ii) provide maintenance of the Product pursuant to Section 6

below; and
(iii) instruct ISP's personnel about how to operate the Product.

(i)

6. WARRANTIES. Netflix hereby warrants to ISP that the
Product is free and clear from any and all liens and encumbrances
whatsoever, and will be fit for its intended use. In the event ISP
identifies a warranty problem with the Product, as its sole remedy
ISP will promptly notify Netflix, and Netflix will provide ISP
with instructions for the return of such Product, in exchange for a
replacement Product. EXCEPT AS PROVIDED IN THIS
SECTION 6 OR AS OTHERWISE PROVIDED ON ANOTHER
DOCUMENT EXECUTED BY BOTH PARTIES, (A) NETFLIX
PROVIDES THE PRODUCTS ON AN AS IS BASIS AND
DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR
IMPLIED; AND (B) NETFLIX HAS NO OBLIGATION TO
PROVIDE ISP WITH PRODUCTS OTHER THAN THE
NUMBER AND TYPE OF PRODUCTS SPECIFIED IN
EXHIBIT II.

6. GARANTIAS. A Netflix neste ato garante ISP que o Produto

est livre e desembaraado de todos os nus e gravames de
qualquer natureza, e est apto para o uso pretendido. Caso a ISP
identifique um problema de garantia com o Produto, como nica
medida, a ISP notificar imediatamente a Netflix, e a Netflix
fornecer ISP instrues de devoluo de referido Produto em
troca de um Produto substituto. EXCETO CONFORME
PREVISTO NESTA CLUSULA 6 OU DE OUTRA FORMA
PREVISTAS EM OUTRO DOCUMENTO ASSINADO POR
AMBAS AS PARTES,
(A) A NETFLIX FORNECE O PRODUTO NO ESTADO EM

7 . LIMITATION OF LIABILITY. EXCEPT FOR

IN EVENT SHALL EITHER PARTY, ITS

TRANSACTIONS

HEREBY, REGARDLESS OF

SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY
OF SUCH DAMAGE OR IF SUCH DAMAGE COULD HAVE
BEEN

8. INDEMNIFICATION. Netflix shall defend ISP and its

employees, officers and directors from any lawsuit brought by
a third party and pay damages finally awarded to such third
party and against ISP or pay any settlement agreed to by
Netflix as a result of and to the extent attributable to any third
party claims that the Product or the Software infringes any
intellectual property right of any third party, provided that ISP (a)
promptly notifies Netflix in writing of the claim; (b) provides
Netflix sole control over defense and/or settlement of the claim,
so long as Netflix does not enter into a settlement that requires
ISP to make admission or payment to a third party without ISP's
consent, which shall not be unreasonably withheld, conditioned
or delayed; and (c) provides Netflix with reasonable assistance in
the defense of the claim. Netflix shall have no obligation with
respect to any claim, action or proceeding arising in whole or in
part from (1) modification of the Product or Software by anyone
other than Netflix or its suppliers; or
(2) use of the Product or the Software in combination or
conjunction with any equipment, data, devices or software not
provided by Netflix or its suppliers where in the absence of such
combination the Products or the Software would not have been
infringing.

8. INDENIZAO. Netflix dever defender a ISP e seu

empregados, executivos e diretores de quaisquer processos
apresentados por terceiros e pagar todos os danos finalmente
reconhecidos em juzo desses terceiros contra a ISP ou pagar
qualquer composio acordada pela Netflix como resultado dessa
composio na medida em que decorrente de quaisquer
reclamaes de terceiros de que o Produto ou o Software infringe
qualquer direito de propriedade intelectual de qualquer terceiro,
desde que ISP (a) imediatamente notifique a Netflix por escrito
acerca da reclamao;
(b) fornea Netflix controle exclusivo sobre a defesa e/ou o
acordo referente reclamao, contanto que a Netflix no
celebre um acordo que requeira reconhecimento ou pagamento
pela ISP a terceiros sem o consentimento da ISP, o qual no ser
injustificadamente negado, condicionado ou atrasado; e (c)
fornea Netflix assistncia razovel na defesa da reclamao. A
Netflix no ter obrigao em relao a qualquer reclamao,
ao ou procedimento decorrente no todo ou em parte de (1)
alterao do Produto ou do Software por qualquer pessoa que no
a Netflix ou seus fornecedores; ou (2) uso do Produto ou do
Software em associao ou em conjunto com qualquer
equipamento, dados, dispositivos ou software no fornecido pela
Netflix ou seus fornecedores, e que na ausncia de referida
associao o Produto ou Software no teria sido infringente.

9. TERMINATION. ISP may terminate a Term (together with

the Software License provided in Exhibit I) with ninety (90) days
written notice to Netflix and prompt return of the Product and
Software. Sections 7 through 12 shall survive the termination or
expiration of this Agreement for any reason.

9. RESCISO. A ISP poder terminar o Prazo (em conjunto com

Netflix e pronta devoluo do Produto e Software. As Clusulas

12.1. The law of the Federative Republic of Brazil governs all

matters relating to this Agreement. Any and all disputes arising
out of or in connection with this Agreement (Dispute) shall be
resolved by arbitration, administered by the Center for Arbitration
and Mediation of the Brazil-Canada Chamber of Commerce
(CAM- CCBC), in accordance with its Arbitration Rules
(Rules), and with Law 9.307/96. The arbitral tribunal shall be
composed by three arbitrators, to be appointed in accordance with
the Rules. If the Parties fail to appoint an arbitrator, or if the
arbitrators appointed by the Parties fail to agree on the
appointment of the third arbitrator as per the Rules, the
appointments shall be made by the President of CAM-CCBC, as
per the Rules. The seat of arbitration shall be the city of So

the arbitral tribunal may sustain, revoke or modify the order

jurisdiction over the parties and/or their assets; or to the Courts of
So Paulo-SP. As to other judicial measures available under Law
9,307/96, the Parties hereby agree to elect the exclusive
jurisdiction of the Courts of So Paulo-SP. Requesting any
judicial measure shall not be construed as a waiver of the rights
under this arbitration clause or a waiver of arbitration as the sole
Dispute resolution mechanism agreed between the Parties. The
Parties agree that the arbitration, as well as its elements, shall be
kept in secrecy, except if disclosure is required by law, or by
order of any judicial, arbitral or administrative authority; as well
as to instruct judicial measures allowed under Law 9,307/96,
including requests for provisional and/or urgent measures to the
Courts. The expenses of the arbitral proceedings, including, but
not limited, to the administrative costs of the Chamber,
arbitrators fees and independent experts fees, when applicable,
shall be borne by each party as per the Rules. Upon issuance of
the arbitral award, the arbitral tribunal may determine that the
winning party be reimbursed by the losing party for reasonable
expenses, including attorneys fees and travel expenses.

disputas oriundas deste Contrato ou a ele relacionadas
(Disputas) sero resolvidas por arbitragem, administrada pelo

Brasil-Canad (CAM-CCBC), nos termos do seu Regulamento
de Arbitragem (Regulamento) e da Lei 9.307/96. O tribunal
arbitral ser composto por trs rbitros, a serem nomeados nos
termos do Regulamento. Caso as Partes da arbitragem no
nomeiem seus respectivos rbitros, ou caso os rbitros nomeados
pelas Partes da arbitragem no nomeiem o terceiro rbitro nos
termos do Regulamento, as nomeaes faltantes sero feitas pelo
Presidente do CAM-CCBC, na forma do Regulamento. A sede da

do tribunal arbitral, as partes podero pleitear tutelas cautelares e
de urgncia ao Poder Judicirio. Aps a sua constituio, todas as
tutelas cautelares ou de urgncia devero ser pleiteadas
diretamente ao tribunal arbitral, podendo este manter, revogar ou
modificar tais tutelas anteriormente concedidas pelo Poder
Judicirio. Pedidos de tutela cautelar e de urgncia, cumprimento
de sentena arbitral e aes de execuo, quando aplicveis,
podero ser pleiteados, escolha do interessado, na comarca onde
estejam o domiclio ou os bens de qualquer das partes; ou na
comarca de So Paulo-SP. Para quaisquer outras medidas
judiciais permitidas pela Lei 9.307/96, fica desde j eleita
exclusivamente a comarca de So Paulo-SP. O requerimento de
qualquer medida judicial no ser considerado uma renncia aos
direitos previstos nesta clusula ou arbitragem como o nico
mtodo de soluo de Disputas entre as Partes. As Partes
concordam que a arbitragem, bem como seus elementos, devero
ser mantidos em sigilo, exceto se a divulgao for exigida por lei
ou por ordem de qualquer autoridade judicial, arbitral, ou
administrativo; ou para instruir eventuais medidas judiciais
permitidas pela Lei 9.307/96. As despesas do procedimento
arbitral, incluindo, mas no limitados, s custas administrativas

Netflix and ISP agree as follows:

NO APARELHO OPEN CONNECT
A Netflix e a ISP concordam com o seguinte:

1.
License Grant. Netflix hereby grants ISP during
the Term of the Agreement a non-exclusive, non-transferable and
limited license to use the preloaded Software in the Appliance.
For purposes of this Agreement, Software shall mean a set of
computer programs compiled by Netflix and preloaded onto the
Hardware to facilitate the delivery of video services through
ISPs network, and to use and reproduce any documentation
provided by Netflix for purposes of operating the Appliance.
Hardware shall mean the hardware delivered by Netflix to ISP, on
a free lease basis, pursuant to the terms of the "Open Connect"
Appliance Free Lease Agreement. Software and Hardware
hereinafter jointly referred to as "Appliance".

Concesso da Licena. A Netflix, neste ato, concede a
ISP, durante o Prazo do Contrato, uma licena no exclusiva, no
transfervel e limitada para usar o Software pr-carregado no
Aparelho. Para fins deste Contrato, Software significa um conjunto
de programas de computador, compilado pela Netflix e prcarregado no Hardware, para facilitar a entrega de servios de
vdeo, atravs da rede da ISP, e para usar e reproduzir qualquer
documentao fornecida pela Netflix, com a finalidade de operao
do Aparelho. Hardware significa o hardware entregue pela Netflix
para a ISP, em regime de comodato, conforme os termos do
Contrato de Comodato do Aparelho "Open Connect". Software e
Hardware sero doravante denominados coletivamente Aparelho.

1.1. Unless previously agreed to in writing by Netflix, ISP shall

not decompile, disassemble, unencrypt, extract, attempt to
reconstruct or discover any source code or subjacent ideas,
algorithms, or file formats of or used in the Software; make
changes to the Software or documentation; incorporate the
Software into or with another software, or create a derivative
work of the part of the Software; reverse engineer, reverse
assemble or otherwise attempt to gain access to the source code
of the Software; or remove or obfuscate any notices of authorship
rights, product identification or other notices of proprietary rights
on or in the Software.
2. Intellectual Property. ISP acknowledges and agrees that all
authorship and intellectual property rights related to the Software,
as well as those related to all other elements contained therein or
associated therewith (including, without limiting, any trademarks,
images, texts, videos, audio, music and content in general, all
incorporated into the Software, and inventions, business and/or
industry secrets related to the Software) are exclusive property of
Netflix or Netflix holds the respective licenses. ISP does neither
acquire any right to the Software content, nor to any third party
content included in the Software.
3. Technical Validity Term. For purposes of Law n 9,609/98
(Software Law), the technical validity term of the Software shall
be of ninety (90) days.

ideias subjacentes, algoritmos, ou formatos de arquivos do, ou

documentao, incorpor-lo em ou com outro software, ou criar
uma obra derivada de qualquer parte do Software; fazer engenharia
reversa, montagem reversa ou outra tentativa de acessar o cdigo
fonte do Software, ou remover ou ocultar quaisquer avisos de
direito autoral, identificao do produto ou outros avisos de
direitos de propriedade sobre ou no Software.
2 Propriedade Intelectual. A ISP reconhece e concorda que todos os
direitos autorais e de propriedade intelectual relativos ao Software,
bem como relativos a todos os demais elementos nele inseridos ou a
ele associados (incluindo, mas no se limitando a, quaisquer
marcas, imagens, textos, vdeos, udios, msicas e contedo, em
geral, todos incorporados ao Software, bem como invenes,
segredos de negcio e/ou de indstria relacionados ao Software)
so de propriedade exclusiva da Netflix ou a Netflix detm as
devidas licenas. A ISP no adquire qualquer direito sobre o
contedo do Software, nem sobre qualquer contedo de titularidade
de terceiro includo no Software.
3 Prazo de validade tcnica. Para efeitos da Lei n 9.609/98 (Lei de
Software), o prazo de validade tcnica do Software ser de 90
(noventa) dias.

4. Software Support and Maintenance. Netflix will use

commercially reasonable efforts to operate and maintain the
Software in accordance with the service level standards described
at http://cache.netflix.com/ola.pdf and pursuant to the terms and
conditions set forth in sections 5(ii) and 7 of the "Open Connect"
Appliance Free Lease Agreement. ISP acknowledges and agrees
that it needs to periodically access these service level standards to
verify any changes and updates made by Netflix in the Software
and that the service level standards are subject to periodical
changes at Netflixs sole discretion.

4 Suporte e Manuteno do Software. A Netflix envidar esforos

comerciais razoveis para operar e manter o Software em
conformidade com os padres de nvel de servio descritos em
http://cache.netflix.com/ola.pdf e conforme os termos e condies
estabelecidos nas Clusulas 5(ii) e 7 do Contrato de Comodato do
Aparelho "Open Connect". A ISP reconhece e concorda que precisa
acessar periodicamente esses padres de nvel de servio para
verificar eventuais alteraes e atualizaes promovidas pela
Netflix no Software e que os padres do nvel de servio esto
sujeitos a alteraes peridicas, a critrio exclusivo da Netflix.

5.
Fees The license and support provided by
Netflix hereunder are free of charge.

5. Taxas. A licena e o suporte fornecidos pela Netflix consoante o

presente so livres de custo.

6.
ISPs Responsibilities. ISP is responsible for
obtaining and maintaining any communications equipment,
network connectivity, power, and space necessary to house and
operate the Appliance, at no cost to Netflix. ISP will operate the
Appliance in accordance with the documentation provided by
Netflix
at
http://cache.netflix.com/deploymentguide.pdf,
as
such
documentation may be updated by Netflix from time to time. ISP
acknowledges and agrees that, in the event set forth in section 9.2
of the "Open Connect" Appliance Free Lease Agreement, if the
Parties decide on the donation of the Hardware to ISP, the Parties

6. Responsabilidades da ISP. A ISP responsvel por obter e

manter qualquer equipamento de comunicao, conectividade de
rede, energia e espao necessrios para alojar e operar o Aparelho,
sem nenhum custo para a Netflix. A ISP ir operar o Aparelho de
