UNIVERSITY OF PERPETUAL HELP SYSTEM DALTA

CONSTITUTION AND BY-LAWS
PREAMBLE
We, the members of the Junior Philippine Institute of Accountants
of the University of Perpetual Help System-DALTA, realizing the need for
a local organization to serve as a medium of expression of our ideals and
aspirations, to promote and protect the welfare and interest of the accounting
students of the University of Perpetual Help System-DALTA, to assert a
dynamic and responsible leadership and to strengthen the common tie that
binds us, do hereby ordain and promulgate this Constitution and By-Laws.
Article I
NAME AND OFFICE
Section 1. This organization shall be known as the Junior Philippine
Institute of Accountants University of Perpetual Help System-DALTA
Chapter, herein referred to as the Organization or UPHSD-JPIA Chapter.
Section 2. The principal office of this organization shall be at the College of
Business Administration and Accountancy, in the University of Perpetual Help
System-DALTA, Alabang-Zapote Road, Las Pias City.
Article II
PURPOSE AND OBJECTIVES
Section 1. To adopt measures necessary to foster educational advancement
in the field of accounting by organizing and operating services and activities
to the members.
Section 2. To serve as an instrument for the gradual exposure of students to
the actual practice of accounting in the business community.
Section 3. To acquaint the members with the nature and activities of the
National Federation of Junior Philippine Institute of Accountants (NFJPIA).
Section 4. To develop civic consciousness and discipline among its members.
Section 5. To promote fellowship and brotherhood among JPIA members,
school chapters and other agencies, organizations or institutions.
Article III
MEMBERSHIP
Section 1. Members. Membership will automatically be acquired by all
Bachelor of Science in Accountancy & Accounting Technology students of the
University of Perpetual Help System-DALTA.
Section 2. Membership Fee. Members will have to pay membership fee that
will be decided by the Executive Board.
Section 3. Period of Membership. The membership in this organization is for
the period of one school year renewable annually. Membership will remain in
force unless it is revoked by a majority of the Executive Board.
Article IV

RIGHTS AND DUTIES OF MEMBERS

Section 1. The members shall have the following rights and privileges:
a.) To be informed of the meetings called upon by the President
and other Executive Officer upon the discretion of the
President;
b.) To express opinion and give suggestions relevant to the
undertakings of the Organization;
c.) To vote, to be elected and to be appointed in any official
position in the Organization provided that he has complied
with the requirements set forth; and
d.) To be informed of any project or activity of the organization
and participate in such undertakings.
Section 2. The members shall have the following duties and obligations:
a.) To attend the meetings called upon by the President and
other Executive Officers upon discretion of the President;
b.) To abide by the provisions of this Constitution and By-Laws
and other rules that may be promulgated by the Executive
Board;
c.)To pay membership fee and such amounts due to the
Organization for the official transactions provided that such
amounts are intended for the fulfilment of the Organizations
objectives;
d.) To attend and participate actively in the activities and
functions of the Organization; and
e.) To comply with other lawful requirements set by the
Executive Board.
Article V
THE GOVERNING BODY
Section 1. The governing body of this organization shall be the Executive
Board.
Article VI
THE EXECUTIVE BOARD
Section 1. The general management of the Organization and
transactions of its business shall be vested on the Executive Board.
Section 2. It shall consider the general principle of cooperation and
maintenance of order and discipline in the pursuit of the objectives of the
organization.
Section 3. The Executive Board is composed of eight (8) Executive
Officers, all of which must be either a Senior or Junior students, and one
(1) representative for each of the remaining levels.

Section 4. The Executive Officers must be elected during the annual

election. The year level representatives may be appointed by the
President, with the approval of the majority of the Executive Officers.
Section 5. Only those who comply with the requirements set upon by
Article VIII of this Constitution and By-Laws may be members of the
Executive Board.
Section 6. The members of the Executive Board shall serve for a period
of one (1) year until their successor shall have been duly qualified and
elected. A former member of the Executive Board may be elected again
provided that he complies with the requirements set forth in Article VIII,
Section I of this Constitution and By-Laws.
Section 7. The incumbent Executive Board shall administer in the
election of the succeeding Executive Officers.
Section 8. The election of the Executive Officers for a particular School
Year shall take place before the end of the preceding year. Year Level
Representatives must be appointed within the first month of the current
School Year.
Section 9. When a vacancy in the Board occurs by reasons of
incapacity, removal, or resignation, the remaining Board members shall
designate among the qualified members of the Organization by
appointment to be held in the formal way voted by majority of the
Executive Board.
Section 10. The members of the Executive Board shall not hold any
office within the school jurisdiction other than JPIA during his tenure.
Section 11. The members of the Executive Board shall hold a regular
meeting at least once a month within a week after each Presidents
Meeting in the NFJPIA NCR Council. Time and place may be agreed upon.
Section 12. Special meetings by the Board may be called upon at any
time by the President or by a written request of a majority of Board
members and shall be held at such place and time as may be agreed
upon.
Section 13. The President, on his absence or incapacity, the VicePresident for Academic Affairs shall preside over all meetings of the
Board.
Section 14. The members of the Executive Board shall perform such
other duties and functions as inherent in the nature of their respective
positions.
Article VII
THE EXECUTIVE OFFICERS
Section 1. The following shall be the Executive Officers who are to be
elected from among the members of the Organization:
a.) President
b.) Vice President for Internal Affairs

c.)Vice President for External Affairs

d.) Vice President for Academic Affairs
e.) Vice President for Non-Academic Affairs
f.) Executive Secretary
g.) Vice President for Finance
h.) Vice President for Audit
i.) Vice President for Communications
j.) Vice President for Membership
k.) Vice President for Publicity and Information
Article VIII
QUALIFICATIONS OF THE MEMBERS OF THE BOARD
Section 1.
A Member of the Board shall possess the following
qualifications:
a.) He must be a bonafide BSA student of the University of
Perpetual Help System DALTA;
b.) He must be an active member of the UPHSD-JPIA Chapter
and the NFJPIA;
c.)He must have a good moral standing; and
d.) He must not have any failing grade in any Accounting
subject.
e.) He must have a GWA of 2.00 or better.
Article IX
POWER AND DUTIES OF THE EXECUTIVE BOARD
Section 1. The President shall:
a.) Be the Chief Executive Officer of the Organization and shall
have the duty to supervise its affairs;
b.) Have the duty to take active supervision and control over the
property, interest, business and affairs of the organization;
c.)Supervise, direct and control subordinate officers in the
discharge of their duties and powers;
d.) Preside at the meetings of the Executive Board;
e.) Lead the members in carrying out the activities of the
Organization in attaining its purpose and objectives and in
enforcing the provision of this Constitution and By-laws;
f.) Have the authority to approve disbursements and receipts of
funds; and
g.) Perform other duties inherent to the position.
Section 2. The Vice-President for Internal Affairs shall:
a.) Perform and discharge the powers and duties of the
President in the latters absence or inability;
b.) Be duly responsible for all the internal concerns and activities
of the Organization;

c.)Coordinate with other institutions, agencies or assemblies

necessary for the internal programs of the Organization; and
d.) Perform other duties and responsibilities as are incident to
his position or may be required of him by the Executive Board.
Section 3. The Vice-President for External Affairs shall:
a.) Be duly responsible for all the external concerns and
activities of the Organization;
b.) Coordinate with other institutions, agencies or assemblies
necessary for the external programs of the Organization;
c.)Establish contacts which may be helpful in financing the
different projects, seminars, symposia, etc. of the Organization;
and
d.) Perform other duties and responsibilities as are incident to
his position or may be required of him by the Executive Board.
Section 4. The Vice-President for Academic Affairs shall:
a.) Be duly responsible for all the academic concerns and
activities of the Organization;
b.) Coordinate with other institutions, agencies or assemblies
necessary for the academic programs of the Organization; and
c.)Perform other duties and responsibilities as are incident to his
position or may be required of him by the Executive Board.
Section 5. The Vice-President for Non-Academic Affairs shall:
a.) Supervise the implementation of non-academic projects and
activities like sportsfest, concerts, etc.;
b.) Coordinate with other institutions, agencies, or organizations
necessary for the non-academic programs of the Organization;
and
c.) Perform other duties and responsibilities as are incident to his
position or may be required of him by the Executive Board.
Section 6. The Executive Secretary shall:
a.) Keep the accurate minutes of all meetings of the
Organization;
b.) Be the custodian of all records, documents, and papers of the
Organization, and to keep a complete and up-to-date list of
names of the members and their addresses and telephone
numbers;
c.)Prepare the necessary documents of the Organization;
d.) Inform the Student Affairs Office and the Student Council of
all the activities of the Organization; and
e.) Perform other duties and responsibilities as are incident to
his position or may be required of him by the Executive Board.
Section 7. The Vice-President for Finance shall:
a.) Be the official custodian of all funds and property of the
Organization;

b.) Keep all the money and other valuable effects in his
possession and shall be withdrawable by the duly authorized
officers of the Executive Board;
c.)Be responsible for the prompt collection of all fees and
contributions from the members;
d.) Receive and disburse the funds for and in behalf of the
Organization provided, however, that all disbursements shall be
supported by official receipts and other supporting documents
which shall be kept as part of the records;
e.) Prepare and submit the financial statements for internal and
external users; and
f.) Perform other duties and responsibilities as are incident to his
position or may be required of him by the Executive Board.
Section 8. The Vice-President for Audit shall:
a.) Devise effective methods of generating funds for the
Organization;
b.) Audit financial reports and other financial documents of the
Vice-President for Finance in order to ensure the proper and
effective administration of its assets and resources; and
c.)Perform other duties and responsibilities as are incident to his
position or may be required of him by the Executive Board.
Section 9. The Vice-President for Membership:
a.) To keep a complete record and up-to-date list of names of all
accredited members and their directories;
b.) b. To recruit the JPIA local chapters which are not yet members of
the organization;
c.)Prepare the promotional materials for the internal activities;
d.) Perform other duties and responsibilities as are incident to
his position or may be required of him by the Executive Board.
Section 10. The Vice-President for Publicity and Information:
a.) To properly and accurately disseminate timely information to the
local chapters;
b.) Prepare the promotional materials for the internal activities;
c.)Perform other duties and responsibilities as are incident to his
position or may be required of him by the Executive Board.
Section 11. Qualified candidates for the election shall have good moral
character with no records of violence committed or any crime.
Section 12. The decision of the Committee on Election shall be final,
executor and binding.
Article XI
ADVISER(s)

Section 1. The Adviser(s) shall be composed of Accounting Faculty

member/s duly elected by the Executive Board under the approval of the
Dean of the School of Business Administration and Accountancy to hold
office for a period of (1) year or until their successors shall have been
appointed.
Section 2. The Adviser(s) must be a member of PICPA.
Section 3. The Adviser(s) shall certify the activities, meetings and
functions of the Organization.
Section 4. The Adviser(s) shall perform other duties and responsibilities
in accordance with the university policies and the Constitution and ByLaws.
Article XII
QUORUM
Section 1. A majority of the Executive Board shall constitute a quorum
to transact business and other transactions related to the purposes and
objectives of the organization except in cases where immediate and
necessary actions are required by the circumstances wherein regardless
of the present number of members of the Executive Board on action may
be executed.
Article XIII
ACCOUNTABILITY OF THE OFFICERS
Section 1. The Officers must at all times be accountable to its
members, serve them with utmost responsibility, integrity, loyalty and
efficiency and should act in accordance with the university policies.
Section 2. Any Officers of this organization may be removed from office
upon impeachment for culpable violation of this Constitution and By-laws
and any rule(s) set by the incumbent Executive Board. The rules on
impeachment shall be set by the Executive Board.
Section 3. Any incumbent members of the Executive Board, excluding
the officer in question, shall have the sole power to initiate cases of
impeachment.
Section 4. Clearance of officers withheld pending the final issuance of
the audited final financial statements of the organization.
Article XIV
GROUNDS FOR IMPEACHMENT
Section 1. Any officer, including chairmen of the standing committees
will undergo the impeachment process for the following grounds:
a.) Failing grades in any accounting subjects. Justified by the
qualification set forth in Article VIII, Section 1D.
b.) Absence in meetings. Except in the presentation of valid
excuse(s) such as medical ailment justified by a valid medical

certificate and other reasonable excuses to be decided by the

Executive Board.
c.) Ineffectivity in office. Failure to abide the assigned designated
duties.
Article XV
SANTIONS
Section 1. The following is the sanctions imposed to the officers of the
organization with their corresponding number of violations:
1st Offense. Verbal warning by the Executive Board.
2nd Offense. Written reprimand by the President.
3rd Offense. Suspension from the position.
4th Offense. Removal from the position.
Article XVI
AMENDMENTS
Section 1. The Constitution and By-Laws may be amended at a regular
or special meeting of the Executive Board duly called upon for the
purpose by the majority vote of the Committee present, provided there is
a quorum. Any recommended amendment shall be presented to the
Executive Board.
Section 2. The amendment of the Constitution and By-Laws may be
recommended by a majority vote of the Executive Board provided that
the proposed amendment must have been furnished to the members
thirty (30) days prior to the meeting.
Section 3. Any amendment duly approved by the majority of the
members of the Executive Board shall be valid and binding.
Article XVII
EFFECTIVITY
Section 1. After ratification, this Constitution and By-Laws shall take
effect starting from the Federation Year 2015-2016
