Ubiquity International LLC, Marketing and Di tribution Agreement
This agreement is made and entered into effect as of the date the la t party hereto signs
as shown on the signature page and i by and between Ubiquity International (Ul) and
Ody ey Group International (OGI). in Anaheim. CA. the distributor of UI line of
nutraceutical and functional food formulations.
I. Sale
Ul hereby sells to OGI and OGI hereb)' purchases from UI.

2. Quality and Te t
The product hall be without defect in material or workman hip. UI shall
manufacture product and oversee the election of outside product ource to as ure
GivfP guideline where applicable to ensure the quality of the product.
OGI has thirty (30) day after the receipt of any order to notify UI of any product
nonconformit)', Failure to notify UI during this lime interval hall re ult in the
product to be deemed without defect and acceptable to the OGl.
If OGI notifie UI within the period pecified above. UI hall immediate I)
investigate the claim and if the product i found to be nonconforming, Lil shall
rework or replace the defective product.
OGJ shall not subject any of the products to environmental trcs c or
extreme temperature condition in torage. The recommended temperature during
transport and torage i between 20-26 Celsiu . Violation of any of the e
requirements for storage and tran port of the product by OG I that ub equentl)
results in a claim of defective products shall release UI from any obligations to
rework or replace the damaged products invohed.
3. Product Formulas
The produ t formulas are proprietal) to Ul and are the property of UL Ul
agree not to sell or reveal the e formulas to any other party other than OGJ during
the term of thi agreement. OG I hall not reverse compile, re erse as emble.
disas emble or anempt in any manner to change. in whole or in part., any of the
formulas. U1 hall provide OGI any required mod ifications that UI makes to any
formula during the period that such formu la is being manufactured by UL
4. Product Price and Pavment Term.
(a) Effective on 1/3 1/2014, pricing shall be a follows in the Exh ibit A . The
current price shall be re iewed in 6 months and renegotiated if necessary to reflect
labor and raw material changes. Partie agree to mutually negotiate. in good faith,
price based on quantitie and currency changes.

(b) All future orders are payable on an 50% upon recei ing the PO (purcha e
order) and the remaining 50% upon deli ery. such percentages are subject to change
based on volumes and currency fluctuation . Thi take place after the initial
purchase order placed on 1-31 - 14 i implemented. For any amount not paid when
due. OGI shall pay UI intere t on that amount at the rate of 18 percent per annum
from the due date thereof umi l it i paid in full.
5. Ordering Procedure and Lead Time

Purchases and sales of the products between OGT and U1 under this
agreement hall be made by means of written purchase order ubmined by OGI to
UI, specifying, among other things, the number of unit of each product ordered
under each purchase order. and the desired date and place of delivery. The
production lead-time shall be 6-8 weeks from receipt of the P.O a suming that UI
has access to the required packaging components 2 weeks prior to the due date. It
is the responsibility of both parties to confinn receipt of the purchase order and
agree on the delivery date within 3 days of recei ing PO. 1f OG I doe not receive an
acknowledgment then it i to be a urned that the Receive bv date is accepted. If a
product i. not going to be ready on the agreed upon date. Ul agrees to infonn OGI at
least one week prior. so necessary arrangements can be made.
6. Minimum Order Quantity Requirement
After the initial order for temFit Active. Ul require OGI to make it
minimum order quantity of 10.000 units per each product.
7. Exclusi ity
a) U1 agree that OGI is the exclusi\'e ale channel for the temFit Acti e
product and that Ul will not sell nor di tribute any imilar product. uch
exclusivity will remain during tenn of thb contract and the exclusi icy
will survive the termination for a period of six months.
b) Exclusi icy i retained by OGI ba ed on OGrs ability to purchase
annuall y a minimum of a 15% increase or the previous year' quantity
each and every year thi contract i. in effect.
8. Delivery
U1 hall safel) package the product for shipment in appropriate canon
approved by OGI. Ul agrees that every box hall have a label adhered that specifies:
Product name. lot #. PO#. qty. and date. hipments shall be handled by OGI and UT
shall make the nccessar; arrangement to accommodate the hipment .
U I shall not be re pon ible for the cost of tran poning the product to the
OGI' warehouse. OGl . hall as. ume ownership and bear the ri k of damage to and
lo s or destruction of the product during shipping of the product by the carrier and
thereafter.

At or prior to the delivery of each lot of product to OG I. Ul hall provide
OGI with commercial in oice and packing list for the product. The packing list shall
identi fy the items in each box.
9. Assistance
(a) The information regarding the u, e of the product. marketing materials and
sales support shall be re pon ibility of OGI.
(b) U1 hall also provide Buyer with documentation for the transponation.
regulation (such as FDA). torage, maintenance and general formulation of the
product.
I0. Additional Cost for service
Ul has the right to charge additional fees for ervice other than speci tied
abo e.
11. Term of contract
Thi agreement . hall be effective for a period of 2 years, at which time the
agreement may be re-e aluated and renewed by mutual agreement of the panies
hereto. (Both partic re erve the right to determine \J hether to renew the agreement
or not renew the agreement.) During the term of this contract Ul agrees to continue
to upply OGI with its product under the bu ines procedure and practice
de cribed in this contract.
This Agreement may be terminated by either party upon . ixty (60) days
\: ritten notice to the other pany. Notwith tanding the preceding. the obligations of
the parties shall continue hereunder with re pect to the acceptance of payment of
any product ordered by OGI and the production of the product by OGI prior to any
such termination.

and OGI relating to the subject maner hereof. and it upersede any other

contractually bind OG I to full commitment and payment for P.0. #00 I dated Jan.
31.2014.

When our beloved 14 year old male Siamese cat named Billy dramatically

Thank you Whitney and thanks to everyone, who are joining us. With me today is Scott Davidson , our senior Vice President and Chief
Financial Officer.
We had an excellent second quarter. Product orders set a company quarterly record. Revenue of $80.4 million grew 15% year-over-year,
and was once again driven by our focus on products, training, marketing and services. Operating profit was also the highest in our history
at $14.9 million, a 22% year-over-year increase.

During the first half of 2016, our two concurrent incentive trips coupled with supreme bonus program help us maintain strong momentum.
Our supreme bonus program offers annual supplemental rewards for our members based on their overall performance and their
advancements in our international recogn ition program. We are also very excited to celebrate our upcoming 15th anniversary, at an
event (ph] in Hong Kong next month .
During the first half of 2016, we provid ed our qualifying members with performance based incentive opportun ities, including travel,
lodging and ticket. We expect that this event will draw 12,000 people with members present from all of our global market, includ ing North
America, Korea, Russia as well as several European and Southeast Asian countries.
Consumer demand for our products remains strong during the second quarter. Our active member base grew from 76,400 a year ago to
126,440 at June 30. Our top 3 selling products Premium Noni Ju ice , Essential Probiotics and Triotein comprised slightly over half of our
second quarter revenue .
As mentioned on our last call, we launched StemRenu in North Ameri ca during the second quarter and have been rolling it out
Internationally. StemRenu is a unique product based on a proprietary blend and a Norwegian avian egg extract available only to NHT
Global through an exclusive licensing agreement. Initial Interest for the product has been very positive and given its existing consumer
base, it is creating new avenues for international expansion.
In China, we continue to add new products to our portfolio with the recent introduction of [ph] line of toothpaste. This blended (ph] product
will become available in August. In regard to our geograph ical expansion, Southeast Asia is a top priority. We recently commenced
operations in Singapore and we're taking steps to establish local presence in Vietnam and Malaysia.

Well, I think so. You know, this is one area that we actively manage. We try to develop our product mix
in a way that we drive resources and our support behind the better margin products, so number one.
Number two is every time we introduce a new product, we have the goal of further improving our gross
profit margin. That's a very important item that can give us more resources to develop the market.
We also had some help from the market too. I mean, recently you probably know that ocean freight has
gone down and so we have a very long supply chain and freight help us too. We think that over the longterm this gross profit margin is sustainable and I'd like to further improve it too.
WIii Hamilton:
Okay, thanks. Then you mentioned Chinese E-commerce sales at $3.3 million. Is that entirely made up
of the Air and Water Purifier, just to confirm?
Chris Sharng:
Well, about two-thirds. (Inaudible). Yes, about two-thirds of that is Air Purifier and a little bit of Water
Purifier, and we just started taking orders and making shipments in the Water Purifier at the end of the
first quarter. Then we had some other items. We have a Skincare line; we have Essential Oil; and then
we have some Eye Care line-I mean, Eye Cream line. So those products, they are growing as well.
But, we have felt the most impact from the Home Product line and Air Purifier and Water Purifier.
Will Hamilton:
So are those sold through your members or distributors, or Is that just straight to consumer and there is
no sort of commission then?
Chris Sharng:
Right. They place the order online with us, with the Chinese subsidiary, and then we ship directly to the
consumers. There's no commission.
WIii Hamilton:
Okay. So it's a higher margin sale then?

Chris Sharng:
That's right. That's exactly right, yes.

Will Hamilton:
Okay. That's helpful. I understand that. Then, Chris, I just wanted to get your thoughts on this
StemRenu product, which you 've launched in North America, and you mentioned taking international in
the next couple of months. Do you think that this could be a big driver or just-I know you don't like to
provide guidance, but, I mean, it seems like a differentiated product, but just trying to frame the upside
potential of it.
Chris Shamg:
Well, we feel very good about this product and we stumbled upon the opportunity, and one of our- two of
our leaders in North America recruited this team that comes with the product. So we have some new

distributors that come with StemRenu. They are based in California and some of them are in Georgia.
We are staging events now to introduce them to our products-Premium Noni Juice and Alura and our
products-and we will be introducing their product, StemRenu, to our markets, most likely in the
summertime in Greater China. So I think this is a great opportunity. I don't know how much we can do
with it, but I look forward to developing the synergy of the product and also with this group of new
members.

Please be advised that our firm represents Ms. Tina Johnson ("Johnson") with certain legal issues
and our office has been instructed to write you this letter.
This letter shall confirm our client's resignation from any and all relationships with WellMed
Global. Indeed Johnson has always been an independent contractor, as evidenced by the fact that
WellMed has always provided her with a 1099 income statement. As you are aware, Johnson
resigned from her contracted relationships on December 14, 2015 during her in-person meeting
with Tom Lee. It was at this time Johnson agreed to stay on for a transitional period.
Regarding Johnsons role with the company, she has never been retained officially as an "officer"
or "director." Moreover, Johnson has never been afforded access to the company bank
account(s), she has never been added as an account signatory, nor has she ever received any
ownership interest or control in the company. Johnson's role with We!IMed Global was, in
reality, that of a contracted "'operations consultant." None of the authority and/or rights typically
afforded to a "President" have ever been granted to Johnson. Rather, it appears clear that
Johnson was given the title of President so1ely for marketing pmposes without any real control of
the company.

Just watched this - very good training - we all know how the $2000 packages went over with the one year auto
ship exemption - we can promote gold or platimnn with the auto bank.
They keep all volwne - binary, PV & accumulated team volume just by doing a qualified enrollment order &
going on auto bank. Yes even binary or team cycling bonus.
To qualify for team cycling bonus the need to sponsor one person on each leg with at least a 90 PV order. That
person doesn't have to stay active & they still qualify.
I can see how they say 48% of1he dollar is paid out since with this model no one has a valid excuse to quit

MUTUAL NON.DISCLOSURE AGREEMENT

This MUTUAL NON.DISCLOSURE AGREEMENT (the "Agreement") is made
effective as of March_, 2016 between Natural Health Trends Co rp., a Delaware corporation
("Vendor'').
(''NHTC"), and
WHEREAS, NHTC desires to evaluate purchasing or acquiring one or more products,
assets or services from Vendor, and Vendor desires to evaluate selling or otherwise transferring
one or more products, assets or services to NHTC; and
WHEREAS, in the course of allowing each party to conduct this evaluation, each party or
its affiliates, or its directors, officers, employees, agents and financial, legal and other advisors
(collectively, "Representatives") may disclose to the other party or its Representatives
confidential, important, and/or proprietary trade secret infonnation; and
WHEREAS, each party shall be a "Disclosing Party" with respect to Confidential
Information (hereinafter defined) which that patty discloses to the other, and shall be a
"Receiving Party" with respect to Confidential Information which that party receives from the
other,
THEREFORE, the parties agree as follows:
1.
Confidential Information. "Confidential Information'' includes, but is not limited
to, product formulas, ingredients lists, manufacturing processes, know-how, trade secrets, tools,
methods, methodologies, techniques, designs, specifications, computer source code, customer
lists, pricing information, marketing plans, personnel information, financial information and
business strategies, together with other information which, a reasonable person would conclude,
is intended to remain confidential, due to its nature or the circumstances under which it is
disclosed, and any other non-public information that either party designates as proprietary and/or
confidential pursuant to the terms herein. Disclosing Party shall not designate as Confidential
Information any materials or information which the Disclosing Party does not. in good faith,
consider to be proprietary and/or confidential.
2.
Exclusions.
Confidential Information does not include information that
Receiving Party can demonstrate : (a) was in Receiving Party's possession prior to its being
furnished to Receiving Party under the terms of this Agreement, provided the source of that
information was not known by Receiving Party to be bound by a confidentiality agreement with
or other continual, legal or fiduciary obligation of confidentiality to Disclosing Party; (b) is now,
or hereafter becomes, through no act or failure to act on the part of Receiving Party, genera lly
known to the public; (c) is rightfully obtained by Receiving Party from a third party, without
breach of any obligation to Disclosing Party~ (d) is independently developed by Receiving Party
without use of or reference to the Confidential Information or (e) is approved for disclosure or
release by written authorization from Disclosing Party.

3.
Confidentiality. Recipient and its Representatives shall not disclose any of the
Confidential Information in any manner whatsoever, except as provided in Paragraphs 4 and 5 of
this Agreement, and shall hold and maintain the Confidential Information in strictest confidence.
4.
Permitted Disclosures. Recipient may disclose Disclosing Party's Confidential
Information to Recipient's responsible Representatives with a bona fide need to know such
Confidential Information, but only to the extent necessary to evaluate providing, propose
providing or actually provide services to or for Disclosing Party, and only if such
Representatives are advised of the confidential nature of such Confidential Information and
agree to comply with the terms of lhis Agreement. Recipient may also disclose such information
to its representatives who are involved in audits or other reviews of the books and records of
Recipient or its affiliates and who agree to maintain the Confidential Information as confidential
in accordance with the terms and conditions of this Agreement.
5.
Required Disclosures. Recipient may disclose Disclosing Party's Confidential
Information if and to the extent required by applicable law, governmental regulation, rules or
requirements of a self-regulatory agency, audits or investigations of books and records, court
order, governmental decree or demand, interrogatories, subpoena, civil investigative demand or
other legal process. If Recipient or its Representatives are required to disclose Confidential
Infonnation pursuant to court order, governmental decree or demand, interrogatories, subpoena,
civil investigative demand or other legal process, Recipient shall provide notice (to the extent
practicable and not prohibited by law) to Disclosing Party of any such requirement so that
Disclosing Party may, at its sole expense, seek a protective order or other appropriate remedy.
Recipient agrees to cooperate with Disclosing Party in any such proceeding, at Disclosing
Party' s sole expense, provided 1M!, the foregoing shall not be construed to require Recipient to
undertake litigation or other legal proceedings on its own behalf. In the absence of a protective
order, nothing in this paragraph sha11 limit or otherwise affect Recipient's right to disclose
Confidential Infonnation if Recipient is advised to do so by its counsel. Regardless of whether
or not such protective order or other appropriate remedy is obtained, Recipient will only furnish
that porti on of the Confidential Infonnation that Recipient is required to disclose or furnish.
Also, Recipient may disclose such Confidential Infonnation to the extent necessary to protect or
enforce its rights and remedies hereunder or with respect to the possible transfer of an interest in
the Proposed Transaction to an assignee or participant who executes an agreement of
substantially the same substance as this Agreement. In addition, Recipient may disclose the
Confidential Information in the course of any general examination of its books and records by
any bank, securities, tax or other regulatory authority having jurisdiction without giving notice
thereof to Disclosing Party.
6.
Use . Recipient and its Representatives shall use the Confidential Information
solely for the purpose of evaluating or performmg an agreement with Disclosing Party relating to

the purchase and sale of products or services and shall not in any way use the Confidential
Information for personal gain or to the detriment of Disclosing Party. Nothing in this Agreement
shall be construed as granting any rights to Recipient, by license or otherwise, to any of
Disclosing Party's Confidential Information.
Return of Documents. At any time upon the request of Disclosing Party for any

reason, Recipient shall immediately returT! to Disclosing Party any and all records, notes, and
other written, printed or other tangible materials in its possession. The returning of materials
shall not relieve Recipient from compliance with other terms and conditions of this Agreement

No Additional Agreements. Neither the holding of discussions nor the exchange
of material or information shall be construed as an obligation of Disclosing Party to enter into
any other agreement with Recipient or prohibit Disclosing Party from providing the same or
similar infonnation to other parties and entering into agreements w ith other parties. Additional
agreements of the parties, if any, shall be in writing signed by Disclosing Party and Recipient.
9.
Irreparable Harm . Recipient understands and acknowledges that any disclosure
or misappropriation of any of the Confidential Information in violation of this Agreement may
cause Disclosing Party irreparable harm, the amount of which may be difficult to ascertain, and
therefore agrees that Disclosing Party shall have the right to apply to a court of competent
jurisdiction for specific perfonnance and/or an order restraining and enjoining any such further
disclosure or breach and for such other relief as Disclosing Party shall deem appropriate. Such
right of Disclosing Party is to be in addition to the remedies otherwise available to Disclosing
Party at law or in equity. Recipient expressly waives the defense that a remedy in damages will
be adequate and any requirement in an action for specific performance or injunction for the
posting of a bond by Disclosing Party.
10.
Choice of Law; Attorney Fees. This Agreement, and any dispute arising from the
relationship between the parties to this Agreement, shall be governed by California law,
excluding any laws that direct the application of another jurisdiction's laws. In any litigation,
arbitration or other proceeding by which one party either seeks to enforce its rights under this
Agreement or seeks a declaration of any rights or obligations under this Agreement, the
prevailing party shall be awarded its reasonable attorneys' fees and costs and expenses incurred.
11 .
Tenn . The terms and conditions set forth in t his Agreement shall automatically
tenninate three (3) years from the date of this Agreement.
12.
Severability of Agreement. If any tenn or provlSlon of this Agreement is
detennined to be illegal , unenforceable or invalid in whole or in part for any reason, such illegal,
unenforceable or invalid provisions or part thereof shall be stricken from this Agreement, and
such provision shall not affect the legality, enforceability or validity of the remainder of this
Agreement. If any provision or part thereof of this Agreement is stricken in accordance with the
provisions of this section, then this stricken provision shall be replaced, to the extent possible,
with a legal, enforceable and valid provision that is as similar in tenor to the stricken provision

GENERAL RELEASE AND INDEMNIFICATION AGREEMENT

This General Release and Indemnification Agreement (''Agreement"), is entered into this
___ day of March, 2016 by and between, on the one part TINA JOHNSON (''Johnson"),
MIND BODY & SPIRIT ("MBS") and UBQUITY INTERNATIONAL ("Ubiquity");
and on the other part ODYSSEY GROUP INTERNATIONAL ("Odyssey'') and WELLMED GLOBAL ("Well-Med").
NOW, THEREFORE, in consideration of the promises and covenants contained in this
Agreement as well as other valuable consideration, the sufficiency and receipt of which is
hereby acknowledged, the parties agree as follows:
1. Termination.
Effective December 14th, 2015 (the "Termination Date"), Johnson has resigned from any
and all of her positions and relationships with Well-Med. Johnson will , within one day of
execution of this Agreement, return t:o WeJI-Med all of their property in Johnson' s
possession, specifically office keys. Johnson further represents and warrants that she has
not retained any copies, electronic or otherwise, of any proprietary information.
2. Consideration.
In exchange for the promises contained in this Agreement as set forth below, the Parties
hereto agree as follows:

Johnson agreed to and has assisted Well -Med in transitioning her role to
Frania. Transition services were provided as reasonably requested of
Johnson until March 15, 2016. These services consisted of answering
questions and training Frania. For these transition services Well.Med has
paid Johnson $5,000.
Even though Thomas Lee is aware that the Stemfit product supply
agreement has expired, MBS agrees that it shall fulfill one ( l) final order
of the Stemfit product in the amount of 2,750 bottles for a purchase price
of $22,800. Such payment sha11 be paid to MBS prior to shipment.
Other than the obligations and promises contained in Section 2(a&b), the
Parties each re present and warrant that there are no continuing
obligations or restrictions on any of the Parties.
3. General Release.
All parties hereto (Johnson, MBS, Ubiquity, Well-Med and Odyssey) each voluntarily and
irrevocably release and forever discharge the other parties and their respective subsidiaries
and afti liates, and each and all of those entities' officers, board members, employees,
attorneys, agents, representatives, insurers, successors, predecessors and assigns (all
collectively referred to herein as the " Releasees") from and against any and all claims,
obligations, debts, liabilities, demands, or causes of action of any kind whatsoever (all
collectively referred to herein as the "disputes,,) with respect to any alleged acts or failures
to act occurring through the date that all Parties sign this Agreement. The disputes released

by Johnson and Well-Med include, but are not limited to, any and all disputes against the
Releasees concerning Johnson ' s consulting, role as a distributor, compensation, and any
service in other capacities (and the tennination thereof) with Well-Med. The disputes
released by Ubiquity, Odyssey, MBS, Johnson and Welt-Med include, but are not limited
to any and all disputes against each other concerning any business agreements or dealings
between SU-ch parties.
The disputes released herein include those known or unknown, actual or contingent, in law,
in equity, or otherwise, and whether based in tort, contract, statute, or any other basis. This
release includes all disputes by which a Party could seek equitable relief, as well as actual
damages, compensatory damages, consequential damages, punitive damages, special
damages, multiple or other damages, expenses (including attorneys' fees and costs), and
all other reimbursements or charges of any kind.
The Parties hereto intend that the disputes released by herein shall be construed as broadly
as possible to cover any and all disputes any of the Parties may have or believe to have
against any of the other Patties.
Each Party expressly understands and agrees that the releases contained in Section 3 fully
and finally release and forever resolve the matters released and discharged in such Section,
including those which may be W1known, unanticipated and/or unsuspected, and upon the
advice of legal counsel, hereby expressly waives all benefits under Section 1542 of the
California Civil Code, as well as under any other statutes or common law principles of
similar effect, to the extent that such benefits may contravene the provisions of Section 3.
Each Party acknowledges that it/she has read and W1derstands Section 1542 of the
California Civil Code, which provides as follows:
A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR
DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF
EXECUTING THE RELEASE, WHICH IF KNOWN BY HlM MUST HAVE
MATERJALLY AFFECTED HIS SE1TLEMENT WITH THE DEBTOR.
4. No Disputes Pending Or Assigned By Johnson.

Each party represents that he or it has not filed with any government agency or court any
claim against the other party relating to Johnson's relationship, termination of her
relationship or otherwise. "Each party covenants and agrees that he or it will never,
individually or with any person, or through any agent, commence or prosecute against any
Releasee any of the matters which are released in Section 3 of this Agreement. Each party
further agrees that he will not aid, assist, abet or in any way encourage any third party,
third-party entity to, or governmental entity, in any way, to pursue any action or liabilities
of any kind against the other party or any Releasee

Representations and Warranties.
Each Party hereto warrants, represents and agrees that in executing this Agreement:
(a) They has been advised to seek independent legal advice from an attorney with respect
to each aspect of this Agreement;

(b) They assume the risk of any mistake of fact with regard to any aspect of this
Agreement; and
(c) They carefully have read and considered this Agreement in its entirety and fully
understands its contents and the significance of each of its aspects.
(d) They understand that this Agreement releases and waives known and unknown claims
and rights and has other important legal consequences.
6. RESERVED.
7. Confidentiality and Non-disparagement Provisions.
Each party represents and warrants that she or it will not make any statements to any
person, the media, or other entity, which accuses or references any issues related to the
employment and termination of the Johnson, or which otherwise involve, in any way, any
other party. Moreover, each party agrees that they will not otherwise (i) disparage or
encourage or induce others to disparage any other party or its employees or (ii) engage in
any conduct or induce any other person to engage in any conduct that is injurious to any
other party's reputation. Furthermore, if a party is contacted by any person or entity about
any other party or their relationship with any other party it is only authorized to say that a
business arrangement existed and it has been terminated in an amicable fashion.
The parties also agree that the fact and terms of this Agreement are to be kept strictly
confidential and are not to be or caused to be disclosed, communicated, disseminated, or
publicized, directly or indirectly, specifically or generally, to any person, member of the
media, business organization, corporation, association, or governmental agency, except as
follows: (l) to the extent necessary to report income or expenses to appropriate taxing
authori6es; (2) in response to any order of a court of competent jurisdiction; (3) in response
to a subpoena duly issued by a state or federal court or governmental agency; (4) to his
accountants or other such professi onals in the course of providing necessary professional
services, such as tax preparation, and such personnel shall be informed of the
confidentiality provisions of this Agreement and agreed to be bound by the same.
8. Attorney's Fees.
Should any dispute arise hereunder the prevailing party shall be entitled to recover all costs,
expenses and attorney's fees incurred in the dispute, whether or not suit be brought, and
such right shall include all of such costs, expenses and attorneys' fees through appeals or
other a ctions. Otherwise, each party shall bear their own attorneys' fees and costs incurred
in the negotiation and drafting of this Agreement.
9. Governing Law.
This Agreement shall be deemed to have been executed and delivered within the State of
California, and the rights and obligations of the parties hereunder shall be construed and
enforced in accordance with, and governed by, the laws of the State of California.
10. Future Disputes.

Any action for breach of this Agreement or to enforce the terms of this Agreement shall be

adjudicated in a court of competent jurisdiction in the State of California. The parties

hereby submit to the jurisdiction and venue of the California State Court in Orange County.
California or the Federal District Court for the Central District Court of California.
11. Construction.
This Agreement shall not be construed against any party on the basis that such party was
the drafter. The headings are for the convenience of the parties and are not to be used in
construing the meaning of any provision of this Agreement.
12. Execution in Counterparts.
This Agreement may be executed in counterparts, and each counterpart, once executed,
shall have the efficacy of a signed original. True and correct copies of signed counterparts
may be used in place of the originals for any purpose.
13. No Waiver of Breach.
No waiver of any breach of any term or provision of this Agreement shaJI be construed to
be, nor shall be, a waiver of the breach of any other tenn of this Agreement. No waiver
shall be binding unless in writing and signed by the party waiving the breach.
14. Independent Legal Advice.
The parties acknowledge that they have been advised by their own independently selected
counsel and other advisors in connection with this Agreement, and that they enter into this
Agreement solely on the basis of that advice and on the basis of their own independent
investigation of all of the facts, laws and circumstances material to this Agreement or any
provisions thereof, and not in any manner or to any degree based upon any statement or
omission by the other party and/or its counsel.
15. Binding Effect

Each of the parties understands and expressly agrees that this Agreement shall bind and
benefit their past and present officers, directors, owners, subsidiaries, affiliates, attorneys,
insurers, underwriters. principals. agents, servants, employees, suppliers, heirs, successors,
transferees, any purchaser of any ownership interest in Defendants, licensees, and assigns,
as applicable.

Fertilized Egg Extract

One of the key ingredients in StemRenu is an extract from high
quality, fertilized eggs laid by unconfined, well-nourished
chickens in a natural environment in Norway, where the cold
climate protects from bacteria. As a result, the chickens need and

Dopamine
Another neurotransmitter that StemRenu affects is dopamine. Dopamine is best known for the pleasure and satisfaction it
produces in certain situations, such as exercise, eating, sex, and
drugs. Drugs produce a temporary high by artificially preventing
dopamine from being eliminated after it has been produced. When
the drug wears off, the dopamine suddenly drops, leaving the
person craving more drugs to get the wonderful feeling back.
Alternatively,

regulates
(usually
increasing)
dopamine production so there is no sudden drop and therefore no
feeling of addiction.
Dopamine research suggests it is related to extroverted behavior in
people, making them more outgoing and goal oriented. In addition,
Parkinson' s and some mental diseases such as schizophrenia, have
been shown to be correlated with reduced levels of dopamine.
Cortisol
In addition to affecting neurotransmitters, StemRenu has been
shown to boost the body' s ability to handle stress and therefore
reduce the release of co1iisol. Cortisol is a hormone produced by
the adrenal glands that sit atop the kidneys.

Cortisol increases the amount of energy in the body by releasing

sugar that has been stored in fat cells, manufacturing additional
sugar from reserves in the liver and converting muscle cells into
even more sugar for energy. All this energy was once very useful
when our ancestors needed to fight saber-tooth tigers or run from
them. In our modern world, it helps us sta1t the day and, indeed,
cortisol levels are highest in the morning and about half that much
around midnight.
As part of its function to prepare the body for extreme physical
effort, it raises blood pressure and reduces immune activity, freeing
the body to use all its energy for the external effort of fighting or
running. The reduction of immune activity is what makes people
under stress highly susceptible to illness.
Cortisol also reduces the pleasure chemicals, serotonin and
dopamine, to ensure you will not be calm and feel good when you
need to handle that dangerous saber-tooth tiger. While this was
perfect when life-threatening situations were common, stress has
become a major problem in modern life.
Although a little cortisol in the morning gets us going, extended
periods of high cortisol are very destructive to the body. Over a
long period of time, cortisol:
stimulates appetite.
promotes obesity.
causes collagen loss in the skin (wrinkles).
increases blood pressure.
interferes with mental clarity and focus.
causes hardening of the arteries.
reduces growth hormone and testosterone.
increases osteoporosis (bone loss).
.impairs fertility.

causes depression.
damages brain cells.
impairs learning.

Perhaps the serotonin increase which improves mood, the dopamine

increase which provides pleasure and satisfaction, and the reduction
of cortisol from the reduced stress are the reasons this fertilized egg

Jn addition, the fertilized egg extract dramatically speeds the
recovery rate after physical exercise and sports for athletes.
But the fertilized egg extract does more than that.
Stem Cells
In October 2012, something completely revolutionary won the
Nobel Prize for Medicine: stem cells. Stem cells are cells that can
become different types of cells, such as a brain or nerve cell. Other
stem cells might become liver cells, heart cells or ceJls of other
organs. This is how the single cell of a fertilized egg can become
the entire body : eyes, stomach, skin, hair, etc. In addition to that,
stem cells maintain the original, undamaged blueprint for each cell
throughout the life of the body.
Stem cell treatment has been of great interest to scientists and
doctors because they see stem cells as able to recreate failing and
diseased parts of the body. For example in 2010, surgeons in the
United Kingdom gave an 11 year-old boy a brand new airway in the
throat (trachea) that was grown entirely from his own stem cells.
Two years later, at the age of 13, the boy was well, happy and did
not need any drugs to prevent his body from rejecting the new
airway because it was actually grown from his own cells.
In 2012, the British Medical ournal reported an American
surgeon, Robert Lanza, enabled 2 women, who had
degeneration of vision (macular degeneration), to regain some of
their lost sight by injecting stem cells into their eyes. On this basis,
he was granted FDA approval for clinical trials.

Previously, stem cells that could functi on in anyone's body were

only found in embryos. This was controversial because obtaining
these stem cells required destroying the embryo. Howeve r, Shinya
Yamanaka, one of the two scientists sharing the 20 12 Nobel Prize
for Medicine for their work in stem cells, discovered a way to make
stem cells from ordinary skin cells!
Dr. Yamanaka transformed the ordinary cells by putting them into a
solution containing growth factors. (These growth factors should
not be confused with human growth hormone, which is
completely different.) Growth factors are capable of signaling cells
to grow, reproduce and differenti ate into specific ceJls, such as
stomach or skin cells.
One gro up of eel ls in your body develops into bone, cartilage or
collagen. (Collagen ho lds the body together and is found in skin,
cartilage, bone, blood vessels, intestines and spinal discs.) These
cells are called fibroblasts because they are in the shape of fibers.
The growth factor that signals these cells to become new skin, hair,
nails and blood vessels is called fibrobl ast growth factor. As you
might imagine, this growth factor is very important in healing
wounds.
Fibroblast growth factor is also vital to the development and
maintenance of brain and nerve cells. So much so that its lack can
lead to birth defects or brain/nerve malfunction.
Altho ugh your body contains stern cells, they are not replacing
damaged cells because they lack the growth factors necessary to
activate them if you are over the age of 20. The fibroblast growth
factor that is contained in the ferti lized egg extract in StemRenu
might explain its wide range of results.
Shark Cartilage
A 1989 study gave shark cartilage to six elderly patients suffering
from " significant" to 'unbearable'' joint pain for three weeks. In
all but one, the pain was cut in half. (Let's Live, March 1994)

A study published in 1987 treated 147 patients with either shark

cartilage or a placebo (substance with no treatment value, used fo r
comparison). The average pain score of those taking shark cartilage
dropped by more than 85%. The placebo group's score dropped
only 5%. More importantly, the joint degeneration of the shark
cartilage group was 37% less than the placebo group.
Aloe Vera Gel Extract

When you combine a protein and a carbohydrate (sugar) into one
molecule, you get a glycoprotein (glyco = sugar). The protein
becomes part of the cell wall and the carbohydrate acts as an
"exterior antenna" on the cell wall to receive and broadcast
biological signals to other cells.

them are in volved in cell-to-cell communication. As you age your
body loses the abi lity to make these eight sugars. At that point, you
must get them from your food. Seven of these eight structural
sugars are fo und in the inner gel of fresh aloe vera.

HOW TO TAKE STEMRENU

StemRenu contains vital ingredients and its unique growth
factor to help the body heal itself. This idea of the body healing
itself is nearly 2,000 years old in the Western world as taught by the

This repair and rebuilding of the body may occasionally cause
"retracing," which is the temporary re-experiencing of old illnesses,
injuries or pains as the body recovers from that old illness or injury.
This has also been called a healing crisis or detox symptom. It is a
very common experience in alternative healing. (For more details,
see "The 5 Stages of Disease" in the next section.) Retracing is a
double-edged sword. Although it can be unpleasant, it indicates the
body is taking steps to regain health.
To avoid a possibly unpleasant retracing, start with one capsule in
the morning on the first day and then one in the morning and one in
the afternoon the second day. After that, take two in the morning
and two in the afternoon each day for four weeks. If retracing

open the capsule and take half or reduce the effectiveness of it by

Egg and Fish Allergies

Although there have been no reports of adverse reactions, if you
have an egg or fish allergy you should NOT take StemRenu because it contains egg and fish protein.

WHEN WILL I SEE

RESULTS?
The key to understanding speed of results is knowing that unhealthy
conditions actually go through several stages before they appear as
a diagnosable disease. This alternative health concept 1s very
different than the medical concept that di sease just appears.
Alternative health sees the first few stages of disease as normal
body processes to combat the toxic influences on your body. A cold
develops to more rapidly detoxify your body with a runny nose and
fever. From an alternative health point of view, the fever should be
allowed to run its course. Your body is handling the cause of future
ill health by rapidly (if unpleasantly) detoxifying. Disease that is in
a later stage takes longer for the body to heal itself. So, you should
give yourself enough time to see results. Medicine sees the same
cold symptoms and prescribes something to stop the symptoms
(sneezing, runny nose and fever) and therefore does not address the
actual cause of the cold.
The cold/flu season, which fo llows the holiday season with its ritual
of overeating meat, rich foods, sweets and alcohol, is nature
attempting to clean out the body. lf this detoxification is prevented,
future problems are allowed to grow.
The 5 Stages of Disease

Elimination - When the body is first assaulted with toxic
substances that impede its normal function, it attempts to
eliminate them. Such substances could be from normal digestion,
such as uric acid from digesting meat; a bacterial infection, such
as strep throat; a bee sting or even pesticides. These toxins would
be neutralized by the liver and then eliminated through the colon,
bladder, lungs or sweat pores.

Irritation - When the body is overwhelmed by toxins and the

normal elimination channels are insufficient to eliminate all the
toxins that came in, the body throws additional means of
elimination into gear, such as skin rashes, bad breath, diarrhea, etc.
Inflammation - When the additional means of elimination are
insufficient to handle the toxic load, the body tries to localize the
toxins. The resulting location becomes inflamed: red, hot, swollen
and painful. Calling it tonsillitis just says the toxins "have taken up
residence ' in the tonsils; tendonitis says they have accumulated in
the tendons (the tough white bands at the end of muscles that
anchor them to the bones). Fever, from an alternative health point
of view, is a good thing. The high temperature kills viruses and
bacteria.
Chronic disease - If these warning signals are ignored and toxins
continue to assault the body, the now-visible disease becomes
chronic. Now the body attempts to quarantine those toxins by
sacrificing a particular organ or system to prevent death. Here, after
all three of the preceding stages, we find growths and chronic
disease, such as ulcers, irritable bowel, chronic fatigue syndrome,
etc.
Organ failure, cancer - Unable to reverse the chrome disease,
the body begins to die as a whole.
Why Some Take Longer

Dr. Chris Morris, a naturopathic doctor (one who uses food, herbs,
water and natural means to cure, rather than surgery or drugs) with

I recently started sharing office space with another nurse in San

Diego. She introduced me to StemRenu. She told me about the
