maximum potential range. This is the maximum available
sphere and cylinder range for the product. Availability is
calculated on the individual prescription of the lens and
may be affected by the cylinder, its direction or the overall
power of the lens.

Essilor reserves the right to suspend the
availability of non standard tints and customers
sample match tints.

European Community Directive 93/42/
CEE for medical devices, which defines the
minimum impact resistance of lenses, was
implemented on 15 June 1998. All optical
lenses supplied by Essilor comply with this
standard and our lens packaging carries the
CE marking. The CE regulations prohibit
Essilor from glazing any new frames which
are not marked with the CE mark, or are not
accompanied by a tag or literature which has
the CE mark. This does not refer to second hand
frames (so-called re-glazing) where normal
quality verification activity will be conducted.

For rimless eyewear, we recommend use of
Airwear 1.59, Ormix 1.6 or Stylis 1.67 lenses.
With low power lenses it may not be possible
to use stock lenses. Minimum drill hole and
edge thickness will be specified in order to
ensure the aesthetic appeal and integrity of
the rimless spectacles.
10 E
ssilor will only accept reglaze frames (patient
own) where appropriate and at customers
own risk. Whilst Essilor will endeavour
to provide the best outcome as possible,
Essilor will not be held responsible for any
frame damage or breakage. Reglaze frames
are not covered by credit.
5 Essilor will not undertake the removal of

vacuum coating or a hardcoat.
11 O
rders combining lenses of different indices
will not be accepted.

PRECAL will be charged provided at least
one of the lenses of a pair show a reduction
in centre thickness.
12 A
lterations and cancellations to prescription
orders cannot be accepted once orders
have commenced processing. In the case
of cancellation after the production of the
order has commenced, we reserve the right
to charge and ship as normal. If the order is
shipped, Essilor will not accept any return or
request for credit.
2 Due to the nature of dyes available, it is not

possible to guarantee an exact match for
any tints other than those from the Essilor
Tints range. Orders for single tinted lenses and
for pairs made of different index will not be
accepted.
7 UVX will normally only be applied to pairs of

lenses. Single lens orders for UVX are tinted
at the customers own risk.

Guarantees of Origin are available for
all Varilux products. Essilor honour the
Guarantee of Origin of their lenses only to
direct customers. Essilor will not forward
guarantees to retailers who have not
received them from their suppliers.

hese terms and conditions apply to all
distributors of Essilor products and shall be
incorporated into the Terms and Conditions
of Sale issued by Essilor from time to time.

ssilor reserves the right to withhold supplies to
any distributor who fails to honour these Terms
and Conditions and to claim compensation in
any courts having jurisdiction.

elivery times quoted in the catalogue are
indicative and are therefore not contractual.
These times do not include Sundays or
UK public holidays and may be subject to
variance due to operational conditions.
Essilor cannot be held accountable for
transport delays. Actual delivery times are
provided at the point of order placement and
Essilor endeavours to ensure a high level of
reliability of the quoted delivery duration.
LIST PRICES

prices or specifications without notice.
1.6 E
ssilor Ltd shall be entitled at its sole
discretion to refuse its consent to the use of
any Essilor trade mark, for example where
such use is incompatible with the image of
such trade mark.

ssilor Ltd reserves the right to withhold
its consent to the use of any Essilor trade
marks for any reason whatsoever.
1.8 A
ny consent given by Essilor Ltd to the
proposed use of an Essilor trade mark
applies only to the use submitted to Essilor
Ltd for approval and may be subject to
conditions specified by Essilor Ltd.
4 Essilor Ltd will apply a charge of 1.56% on

all credit card transactions. This represents
the cost that is levied upon Essilor Ltd by its
bank for providing this service. No charge
will apply to debit card transactions.
1.9 A
ll use of the Essilor trade marks shall
ensure for the benefit of Essilor Ltd.
ESSILOR TRADE MARKS
2.1 T
hese rules also apply to any trademarks
associated with Essilor Ltd.
Essilor trade marks symbolise the technical

excellence of Essilor products, and provide
distributors of Essilor products with an
assurance of quality and professionalism at
the leading edge of eye care.
Essilor trade marks add to the reputation and
image of the optical profession as a whole. We
must therefore protect them from improper use.
1.1 T
hese terms and conditions apply to all Essilor
trade marks that is, all trade marks, logos
and trade names of which Essilor Ltd or one
of its associated companies is the proprietor.
The visuals available on-line on Essilors
website www.essilorpro.co.uk are for the use
of Varilux Lens Specialist Opticians only.
1.2 A
list of Essilor trade marks is available on
request.
1.3 E
ssilor trade marks may not be used without
the prior written consent of Essilor Ltd.
UK 15
1.5 A
ny documents or other media making
use of an Essilor trade mark should be
submitted to Essilor Ltd in draft form for
approval prior to use. Essilor Ltd shall be
entitled at its entire discretion to specify
the correct method of using the trade
marks (notably media, graphics, colours
etc) and to require alteration to material
submitted for approval.
1.4 N
othing in these Terms and Conditions shall
grant or be deemed to grant the distributor
of Essilor products any right or interest in
any Essilor trade marks.
2.0 A
ny breach of any conditions specified by
Essilor Ltd for the use of its trade marks
may render void any such consent.
PROMOTIONAL MATERIAL SUPPLIED

BY ESSILOR LTD
2.2 Promotional material (for example, posters and
point-of-sale materials) supplied by Essilor Ltd
may not be altered in any way. Users of such
promotional materials are authorised to insert
details of the sales outlet into the appropriate
section in such promotional material but are
not otherwise entitled to place any additional
statements or trade marks unless agreed in
writing by Essilor.
2.3 P
romotional material supplied by Essilor
Ltd must be used exclusively for the sale
of products manufactured or supplied by
Essilor Ltd.
2.4 A
ny promotional material supplied by Essilor
Ltd must be kept in good condition and may
only be used in the United Kingdom.
2.5 E
ssilor Ltd shall be entitled to repossess at
any time any promotional material supplied
by them.

TERMS & CONDITIONS
1 GENERAL
1.2 A
ll quotations are given and all orders are
accepted on these Conditions which shall
override and exclude any other Conditions
stipulated or referred to by the Buyer and all
orders made by the Buyer shall be deemed
to be made subject to these Conditions.
1.3 N
o modification of these Conditions shall
be effective unless made by an express
written agreement between the Buyer and
the Seller.
1.4 N
o order placed by the Buyer shall be
deemed to be accepted by the Seller until
a written acknowledgement of order is
issued by the Seller or (if earlier) the Seller
delivers the Goods to the Buyer.
2 THE GOODS
2.1 A
ll descriptions and illustrations in the Sellers
catalogues, price lists and advertisements
or otherwise communicated to the Buyer
shall not form part of the contract, but
shall be treated as approximate only unless
otherwise stated. Sections 13 and 15 of the
Sale of Goods Act 1979 are hereby expressly
excluded.

2.2 T
he Buyer shall determine the suitability of
the Goods for their intended use and the
Buyer shall not rely upon any representations
made by or on behalf of the Seller.
2.3 T
he Buyer and the Seller hereby agree that
paragraph 9 of the Electronic Commerce
(EC Directive) Regulations 2002 shall not
apply to any order made by the Buyer
under these Conditions.
3 PRICE
3.1 T
he price to be paid for the Goods will be
the Sellers list price prevailing upon the
date upon which the Buyers order for the
Goods is accepted by the Seller.
3.2 T
he Seller shall be entitled to adjust the price
to be paid for the Goods by such amount as
it thinks fit at any time before the despatch
of the Goods in the event of any increase
in the cost to the Seller in supplying the
Goods, whether such increase shall result
from higher costs of raw materials, labour,
transport or overhead expenses, or from
any other cause whatsoever.
3.3 T
he Seller shall be entitled to make
an additional charge for postage and
packaging.
4 DELIVERY & RISK

4.1 E
very effort is made to meet delivery dates,
but a fixed date shall not be a condition of
the supply of the Goods.
UK 15
1.1 In these Conditions the Seller means

Essilor Limited, the Buyer means the
individual firm or company with whom
the Seller contracts to sell the Goods, and
the Goods means the goods materials or
services which are the subject of these
Conditions.
4.2 L
ate delivery shall not be a ground for
cancellation or refusal to take delivery of
the Goods and the Seller shall not be liable
for any loss, including consequential loss or
damages resulting from such delays.
4.3 T
he Seller shall not be liable for any delay
in delivery or non-delivery of the Goods
caused by any circumstances beyond the
Sellers control, including without limitation
any Act of God, explosion, fire, flood, war,
hostilities, accident, delay in delivery or
non-delivery by the Sellers suppliers,
breakdowns or accidents to machinery,
labour strike or dispute, order of decree of
any court, or action of any Governmental
authority and, on the occurrence of any of
the above events, the Seller reserves the
right to cancel or suspend the whole or part
of any delivery.
4.4 W
here the Seller concludes the contract
of carriage and/or insures the Goods in
transit, the Seller shall be deemed to be
acting solely as the Buyers agent and
sections 32(2) and 32(3) of the Sale of
Goods Act 1979 shall not apply.
4.5 If the Goods or any part thereof are
damaged or lost while in the custody of a
carrier, the Seller will, at its sole option,
either replace such Goods or part thereof,
or refund to the Buyer the cost or price of
the same.
4.6 T
he Seller shall not be liable for non
delivery of a whole consignment of the
Goods, unless the Buyer informs the Seller
in writing within twenty days of the date of
the invoice.
4.7 T
he Seller shall not be liable for damage to
the Goods or loss of part of a consignment
unless the delivery note is endorsed
accordingly and the Buyer notifies the Seller
within forty-eight hours of the delivery and
confirms such notification in writing within
5 days.
4.8 T
he Goods are at the risk of the Buyer from
the time of delivery.
5 PAYMENT
5.1 P
ayment for the Goods shall be made in full
without deduction or set off within thirty
days of the final day of the month in which
the Goods are invoiced by the Seller.

5.2 T
he Seller shall have the right to claim and
be paid interest at the rate of four percent
per annum above the Base Rate for the time
being of Lloyds TSB Bank Plc, calculated on
a day-to-day basis, on all sums due to the
Seller and unpaid for the period from the

date upon which payment is due, until the
date upon which payment is made, both
before and after any judgment, but nothing
herein shall entitle the Buyer to withhold or
delay any payment due to the Seller after
the date upon which it falls due, or in any
way prejudice or affect the Sellers rights in
relation to the said non-payment.
5.3 T
he Seller may at any time require the
Buyer to make payment in advance of
delivery.
5.4 S
hould the Buyer fail to make payment
by the due date or when required, the
Seller reserves the right without prejudice
to any other remedy which it may have
to cancel this contract and/or any other
contract between the Buyer and Seller and/
or to suspend delivery until payment shall
have been made.
5.5 Time for payment shall be of the essence.
5.6 N
o payment shall be deemed to have
been received until the Seller has received
cleared funds.
6 RETENTION OF TITLE
6.1 T
he title of the Goods shall not pass to
the Buyer until all sums due or owing by
the Buyer to the Seller on any account
whatsoever, (including the contract for the
supply of the Goods), have been paid in
full.
6.2 S
o long as property in the Goods shall
remain in the Seller, the Buyer shall hold
the Goods on a fiduciary basis as the Sellers
bailee and the Goods shall be set aside
from the Buyers general stock of Goods
and shall be marked with an indication that
they remain the property of the Seller.
6.3 If the Buyer shall commit any breach of
its obligations or shall make any default
in payment or any sum due to the Seller
under this or any other contract, or if any
distress execution or other legal process
shall be levied against the Buyers property
or assets, or the Buyer shall make or offer
to make any arrangement or composition
with its creditors, or any petition or order
be presented or made against the Buyer, or
if any resolution or petition to wind up the
Buyer shall be presented or passed or any
Administrator or Administrative Receiver be
appointed of all or any of its assets, then
in each case the Seller shall have the right
with or without prior notice at any time to
take possession of the whole or any part of

6.4 T
he Seller shall be entitled to maintain
an action for the price of the Goods
notwithstanding that the title of the Goods
may not have passed to the Buyer.
6.5 T
he Buyer shall be entitled to sell in the
ordinary course of its business any of the
Goods which are the property of the Seller,
on condition that the Goods are sold for full
market value and the Buyer shall hold on
trust for and on demand pay or transfer to
the Seller (to the extent of any monies due
to the Seller) the proceeds of such sale and
all claims that the Buyer may have against
its purchaser as a result of such sale.
6.6 W
here the Seller is unable to determine
whether any Goods are the goods in respect
of which the Buyers right to possession has
terminated, the Buyer shall be deemed to
have sold all goods of the kind sold by the
Seller to the Buyer in the order in which
they were invoiced to the Buyer.
7 GUARANTEE
7.1 If the Goods prove on inspection to be
defective in material or workmanship, the
Seller undertakes at its option to replace
the same or refund to the Buyer the price
of the Goods and in no circumstances will
liability exceed the cost of replacement or
the price paid by the Buyer of the Goods.
7.2 T
he liability of the Seller shall only apply to
defects that appear under proper use and
under conditions of the operation not more
onerous than those declared to the Seller
and, in particular, shall not apply to defects
that arise from the Buyers neglect, misuse
or from normal wear and tear.
7.3 T
he Buyer shall give the Seller a reasonable
opportunity to examine the defective
Goods and the Buyer (if asked to do so
by the Seller) shall return such Goods
to the Sellers place of business for the
examination to take place there.
7.4 A
ny goods returned to the Seller and
replaced by the Seller shall be the property
of the Seller.
7.5 T
he Sellers liability under this clause shall
be in lieu of any warranty or condition
implied by law as to the quality or fitness

for any particular purpose of the Goods and,

save as provided in this clause, the Seller
shall not be under any liability, whether
in contract tort or otherwise, in respect of
defects or injury.
7.6 C
omplaints by the Buyer in respect of the
Goods alleged to be defective shall be
made within 28 days of delivery and shall
not entitle the Buyer to withhold or set off
payments due to the Seller.
8 TERMINATION
8.1 If the Buyer shall commit any breach of its
obligations under this or any other contract,
or shall make any default in payment of
any sum due to the Seller under this or any
other contract, or if any distress execution
or other legal process shall be levied against
the Buyers property or assets, or the Buyer
shall make or offer to make any arrangement
or composition with its creditors, or any
petition or order be presented or made
against the Buyer, or if an Administrator or
Administrative Receiver be appointed of all
or any of its assets, then in each case the
Seller shall have the right to forthwith to
determine this contract and to cancel any
outstanding delivery without any prejudice
to any other remedy.
8.2 T
he Buyer shall not be entitled to cancel
this contract without the consent of the
Seller which, if given shall be deemed to
be on the express condition that the Buyer
shall indemnify the Seller against all loss,
damage, claims or actions arising out of
such a cancellation.
9 MISCELLANEOUS
9.1 T
he contract between the Seller and the
Buyer for the supply of the Goods shall be
governed and construed in accordance with
the Laws of England and the Buyer agrees
to submit to the jurisdiction of the Courts of
England and the Buyer agrees to submit to
the jurisdiction of the Courts in England in
respect thereof.
9.2 N
o forbearance or indulgence shown or
granted by the Seller to the Buyer shall in
any way affect or prejudice the right of the
Seller against the Buyer or be regarded as
a waiver of these Conditions.
9.3 T
he parties to the contract do not intend
that any term of the contract shall be
enforceable by virtue of the Contracts
(Rights of Third Parties) Act 1999 by any
person that is not a party to it.

the Goods (and for that purpose to go onto

any premises occupied by the Buyer or any
subsidiary, parent or associated company of
the Buyer) to the value of all sums due to the
Seller, without prejudice to any other remedy
of the Seller.
