SERVICE AGREEMENT

1- PARTIES:
This Agreement is entered into on 22.06.2015 under the following terms and conditions
by and between Ertan Acar letiim Hizmetleri Grup Anonim irketi, having its registered
office at Kasap Sokak Aslan Apartman N0: 11 Kat: 7 34394 Esentepe ili-stanbulTurkey (hereinafter referred to as TBAR ATLYES), and GLOBAL RAYTUR, having its
registered office at Loft 718-6 A Media Culture Creativity Park N0: 19 Ganluyuan,
Chaoyang District 100123 Beijing China.
2- SUBJECT-MATTER:
The subject-matter of this Agreement is the services that GLOBAL RAYTUR will purchase
from tibar Atlyesi as part of organization services, event management and
communication activities of the sculpture exhibition that Chinese sculptor Xu Hongfei will
hold in stanbul between July 23, 2015 July 30, 2015.
3- RESPONSIBILITIES OF TBAR ATLYES UNDER THE AGREEMENT:
The responsibilities of TBAR ATLYES are as follows for the sculpture exhibition where
GLOBAL RAYTUR make sure the CLIENT (Chinese sculptor Mr. Xu Hongfei) will undertake
and organize shipping of the sculptures from China to Turkey, customs clearance and
insurance services, storage and delivery in Turkey and placement to the place where they
will be exhibited, receiving them back from the exhibition locations in Turkey after the
exhibition ends, storage and delivery of the same in Turkey, their transportation to ports
in China, shipping to China and all relevant insurance services:
3.1. Following up on behalf of GLOBAL RAYTUR the procedures for getting permission for
exhibition of sculptures at locations within the borders of ili district of stanbul and at
Boazii University Campus and Ortaky Square within the borders of Beikta District of
stanbul, where the sculptures will be exhibited in stanbul, and accompanying the
process of placement of sculptures at defined locations,
3.2. Ensuring that exhibition locations and sculptures that are insured by the CLIENT are
protected with private security for 24 hours 7 days and working with a private security
company for this purpose,
3.3. As part of the exhibition opening ceremonies, other than GLOBAL RAYTURs
responsibilities, TBAR ATLYES should provide all necessary support during the
exhibition. including but not limited to the following:
- Preparation of guest list,
- Designing and printing of invitations and promotion materials (Brochure, Poster,
Exhibition Catalogue, Press File etc.)
- Sending invitations,
- Invitee R.S.V.Ps,
- Preparing, hanging and handing out outdoor promotion materials,
- Guaranteeing the OOH billboards
- Handing out flyers,
- Setting the stage,
- Providing audio and microphone system,
- Providing presenter and interpreter,
- Organizing a local dance group and the groups performance
- Organizing DJ,
- Providing hostesses and necessary personnel,
- Video and photo shoot,
- Reception and hospitality desk,
- Setting the press desk,
- Organizing cocktail and catering service, including local and foreign drink for 120 people
(90 guests + 30 protocol invitees),

- Providing sufficient number of waiters and service personnel for the complimentary food
and drink,
3.4. As part of the protocol dinner to be held in the evening of opening day of exhibition;
organizing a protocol dinner with set menu, including local drinks for 50 people, for
special guests such as press members, local artists and local politicians at a location with
Bosporus view,
3.5. As part of PR services;
- Preparing press invitations,
- Inviting press to the exhibition including Turkish local media and those from CCTV and
Xinhua News Agency,
- Receiving press R.S.V.Ps,
- Organizing special interviews,
- Preparing exhibition bulletin for the press and providing it to the press,
- Welcoming and accompanying the press at the exhibition venue,
- Inviting the columnists and editors of leading Turkish publications to the protocol dinner,
- Media monitoring of the exhibition and reporting services,
3.6. Organizing 10-people dinner meeting for the artists;
- Having meeting Xu Hongfei with local artists and local art scholars at a special dinner
meeting.
3.7. Providing the tourism organization including accommodation and breakfast for 25
people for 5 nights 6 days at a hotel priced 250 USD for one night designated by GLOBAL
RAYTUR, inner-city transfers in stanbul, lunches, dinners, a night boat tour at the
Bosporus, city tours, guidance, coordinator and interpreter.
4- RESPONSIBILITIES OF GLOBAL RAYTUR:
The following will be undertaken and carried out by CLIENT SIDE AND GLOBAL RAYTUR
for Xu Hongfeis exhibition to be held in stanbul from July 23, 2015 to July 30, 2015:
- Shipment of sculptor Xu Hongfeis sculptures from China to Turkey,
- Undertaking all customs procedures of the sculptures,
- Having all-risk insurance for the sculptures,
- All storage and delivery services for sculptures in Turkey,
- Delivery and placement of sculptures to locations where they will be exhibited,
- Taking the sculptures back from exhibition venues in Turkey after the exhibition is over,
- Storage and delivery procedures of sculptures in Turkey,
- Transportation of sculptures back to the ports in China,
- Shipment of sculptures to China and all relevant customs and insurance services
- Organizing the performance group coming from China that will take stage on the
exhibition opening cocktail and undertaking all expenditures of the group.
5- FINANCIAL OBLIGATIONS
5.1 GLOBAL RAYTUR will pay a total of 145.500 USD (one hundred-forty five thousand
and five hundred US dollars) including all taxes and service commissions specified in the
price quote offered before to TBAR ATLYES and in the accepted budget (the budget is
attached hereto in ANNEX-1), in return for all services set out above in Article 3 (3.1,
3.2, 3.3, 3.4, 3.5, 3.6, and 3.7).
5.2 50% of 145.500 USD (one hundred-forty five thousand and five hundred US dollars),
the total amount of the service price including all taxes and service commissions agreed
to be paid by GLOBAL RAYTUR to TBAR ATLYES, will be paid on June 23, 2015, the
date of signature of this Agreement and the remaining 50% will be paid in cash by
electronic transfer to the bank accounts designated by TBAR ATLYES on July 10,
2015, at the latest.

5.3 After GLOBAL RAYTUR makes the payments, TBAR ATLYES will make out service
invoice to GLOBAL RAYTUR in return for the services set out hereunder, and this invoice
will be delivered by hand to GLOBAL RAYTURs representatives in stanbul.
5.4 Extra hotel accommodations, food and other services requested by GLOBAL RAYTUR,
other than the services set out in Article 3 (including all sub-articles) and approved
budget, will be priced and invoiced separately. GLOBAL RAYTUR is obliged to notify
TBAR ATLYES about the increase in the number of persons attending to the dinner
invitations to be organized as well as the increase in the number of persons generating
additional costs and persons to be accommodated and provided transportation until June
29, 2015 the latest in order to fulfill additional costs within this Agreement. The price of
the additional payment generated by the additional costs will be added to the second
payment corresponding to 50% of the price emanating from this Agreement and will be
paid in cash to TBAR ATLYES on the date of July 10, 2015.
5.5 GLOBAL RAYTUR is obliged to make the payments set out in Article 5.2 in full to
TBAR ATLYES. If GLOBAL RAYTUR fails to make these payments, TBAR ATLYES
reserves its right to terminate this Agreement unilaterally and will not return to GLOBAL
RAYTUR the payments it has received until that time. In case GLOBAL RAYTUR does not
render payments stated in this agreement as the Agreement price, on the dates specified
and TBAR ATLYES terminates this Agreement unilaterally, TBAR ATLYES shall not
execute the services it commits and GLOBAL RAYTUR accepts this in advance.
5.6 Sculptor Xu Hongfei will give one of the sculptures he selects from among those to
be exhibited in stanbul as a gift to ili Municipality and GLOBAL RAYTUR and Client will
undertake all customs clearance, delivery, all formal procedures and coordination
regarding the sculpture which will be given as a gift.
6- TERM OF AGREEMENT
6.1 This Agreement will start as of June 22, 2015, and remain effective until August 31,
2015.
7. GENERAL PROVISIONS
7.1 Natural disasters in Turkey (including fire, flood, earthquake, storm, hurricane or other
natural disasters seen widely in the city of Istanbul), declaration of military vigilance due
to war, invasion, acts of foreign enemies within Turkey and hostilities (whether declared or
not) as well as civil war, riots widely spread in stanbul, revolution, revolt, military
operation or military coup, acts of terrorism, expropriation, blockage, sanctions and
international embargo, strikes and similar events will be considered force majeure for the
non-performance of obligations under this Agreement.
7.2 In case Xu Hongfeis exhibition cannot be held due to a force majeure event, TBAR
ATLYES will deduct the expenses made for the exhibition and reservation costs from all
payments it has received from GLOBAL RAYTUR, and return the balance amount to
GLOBAL RAYTUR.
7.3 stanbul Courts and Enforcement Offices are authorized in the resolution of all disputes
that may arise out between the parties.
7.4 Warning letters and notices served through notary public or registered letter to legal
residences indicated in this Agreement will constitute delivery of the same.
7.5 This Agreement, consisting of 3 pages and 7 articles, is exchanged, issued, sealed and
signed mutually by the parties in duplicate on June 22, 2015.
