VIKINGS FOOTBALL CLUB, INC. ("Vikings"),

WHEREAS, the Commission and the Vikings have engaged
in negotiations with respect to the development of private
spectator boxes in a domed stadium to be constructed in
downtown Minneapolis, Minnesota; and
WHEREAS,

the parties have concluded negotiations as

to the economics of an arrangement whereby the Vikings would


perform the role of lessee and lessor-operator of the private
spectator boxes at the stadium to be constructed; and
WHEREAS,

the parties now desire that the Vikings be

granted an option to enter into the private spectator box transaction with the Commission in order that the Vikings shall have
a period of time within which to test and determine public
acceptance of the private spectator box concept,
NOW, THEREFORE, in consideration of these premises,

the

sum of One Dollar ($1.00) in hand paid, and other good and

valuable consideration, the receipt and sufficiency whereof


are hereby acknowledged, the Commission hereby gives and grants

to the Vikings the right, privilege, and option of becoming
the private spectator box developer-operator at the stadium to
be constructed in downtown Minneapolis, all upon the terms and
conditions hereinafter set forth:
1.

The term of the within option shall commence on

the date hereof and shall terminate on the sixtieth (60th) day
following the date hereof.

If the Vikings shall elect to

exercise "the within option, it shall do so by giving written


notice to that effect, personally delivered to Dan Brutger,
Chairman of the Commission, or Donald Poss, Executive Director
of the Commission, or forwarded to the Commission by certified mail, return receipt requested.
2.

If the within .option is exercised, the rights

and obligations of the parties with respect to private spectator boxes in the stadium to be constructed shall be as
follows:
(a)

The Vikings shall have the sole and exclu-

sive right for development, construction, management, and


operation of the private spectator boxes to be constructed
in the stadium

from and after the date of initial beneficial occupancy of


the private spectator boxes.

In addition,

The Vikings shall give written notice of

its election to extend such term, such notice to


be delivered to the Executive Director of the
Commission or forwarded to the Commission by
certified mail, return receipt requested, such
notice to be given not later than the nineteenth
anniversary of the date of initial beneficial
occupancy of the private spectator boxes.
(ii)

commencement of such extended period, be in all

in payment of its obligations to the Commission
hereunder.

The Vikings shall undertake a program

of modification and renovation of the private


spectator boxes -- such program to be completed
prior to the commencement date of the extended
term -- in order that the private spectator
boxes be restored, at the Vikings' expense,
to a quality of condition substantially
equivalent to that in effect on the date of
initial beneficial occupancy thereof.
(b)

The Vikings, at the Vikings' sole cost and

expense, shall design and construct one hundred and twelve (112)

private spectator boxes within the stadium pursuant to plans and
specifications developed in the first instance by the Vikings
through the Commission's architect but subject to the approval
of the Commission, such approval not to be unreasonably withheld.

The construction of the private spectator boxes shall

be performed by appropriate Commission contractors engaged to


construct the stadium itself.

The terms and conditions of

Section 22.3 of the Football Use Agreement dated August 8,


1979, between the Commission and the Vikings, shall apply to
the design, construction, and finishing of the private spectator boxes and are hereby incorporated by reference.

and its subtenants.

In all events, the costs of maintaining

such private spectator boxes shall not be borne

to any extent by the Commission, except to the extent provided


in paragraph 2(e)(i) hereof.
(d)

For the privilege of developing and operat-

ing the private spectator boxes, the Vikings shall pay to the
Commission by the date the stadium is open to the general
public and the private spectator boxes are all available for
beneficial occupancy

Four Hundred Forty Thousand Dollars

($440,000.00) in each of the first five (5)


years a rental agreement shall be in force;
(ii)

Seven Hundred Thousand Dollars

($700,000.00) in each of the second five (5)


years a rental agreement shall be in force;

(iii)

One Million Dollars ($1,000,000.00)

in each of the third five (5) years a rental


agreement shall be in force; and
(iv)

One Million Three Hundred Thousand

Dollars ($1,300,000.00) in each of the fourth


five (5) years a rental agreement shall be in
force.
In the event the Vikings shall exercise its right to extend
the term of its exclusive operation of the private

spectato~

boxes, the Vikings shall pay to the Commission on the anniversary


date for each year of said extended term the amount of One Million
Three Hundred Thousand Dollars ($1,300,000.00).
(e)

The private spectator boxes, when constructed

by the Vikings, may be leased by them to such parties and on


such terms and conditions as the Vikings shall designate,
provided, however:
(i)

Three (3) private spectator boxes

located as the seventh and eighth boxes on the


third base side of the baseball press box and the
first box on the first base side of the baseball
press box shall be made available to the Commission
at no cost for such use as the Commission, in its

sole discretion, shall determine; provided, however,


that such private spectator boxes shall be unfinished
(as such term is defined in Section 1.4 of the
Football Use Agreement, but no water or sewer construction shall be provided), and provided further
that the Commission shall pay to the Vikings from
time to time the standard maintenance charge made by
the Vikings to each lessee of a private spectator
box.
(ii)

The professional baseball organiza-

tion which is a tenant in the stadium shall be


given an option to designate its customers
which shall have the right of first refusal
to lease from the Vikings, on such terms and
conditions as the Vikings shall designate,
those twenty (20) private boxes being
described as follows:
a.

The first, second, third, fourth,

fifth, sixth, ninth, tenth, eleventh,


and twelfth boxes on the third base
side of the baseball press box; and
b.

The second through eleventh boxes,

designated as having a right to lease such a
private spectator box must, as a precondition
thereof, purchase twelve (12) professional baseball season's tickets during each term of said
lease.
3.

If the within option be exercised, the Vikings,

at the Vikings' sole cost and expense, shall design and construct and finish a general purpose stadium lounge of at least
three thousand (3,000) sguare feet containing a service ki shen

and a wet bar.

Such lounge shall be considered the exclusive

year-round premises of the Vikings pursuant to paragraph 5.2


of a Football Use Agreement dated August 8, 1979, between
the Commission and the Vikings.

The lounge shall be designed

and constructed pursuant to plans and specifications developed


in the first instance by the Vikings through the Commission's
architect, but subject to the approval of the Commission,
such approval not to be unreasonably withheld.

The construe-

tion of the lounge shall be performed by the Commission

The

4.

If the within option be exercised, the Vikings

shall have and are hereby granted rights to sell, service,


and deliver food and beverage of both an alcoholic and nonalcoholic nature to the private spectator boxes and the general
purpose stadium lounge on the following basis:
(a)

Such right shall be exclusive insofar as

The rights of nll other parties

confined to the snle of such food and beverage from concession
stands situated on the stadium rampways.
(b)

The Commissiori will assist the Vikings in

obtaining the necessary food, beverage, and alcoholic beverage


licenses from the relevant governmental authorities

manner as is necessary and appropriate to effect the issuance


of such licenses.

The Vikings shall maintain, at its expense,

Dram Shop insurance in customary and reasonable amounts; and


the Commission, its members, employees, agents, and other
persons acting within the scope of their authority on behalf
of the Commission shall be named as an insured on such policy.
(c)

The Vikings shall then pay to the Commission

thirty percent (30%) of the gross receipts from the sale of all
food and beverage (but excluding sales of unopened bottles of
liquor) products sold to the occupants of the private boxes
and users of the general purpose stadium lounge.
(d)

All personnel required for such catering

and beverage service shall be supplied at the expense of and


be under the control of the Vikings.
(e)

The standard of quality of the food, bev-

erage, and service to be provided shall be no less than that

regurred by the Commission pursuant to its agreement with the


concessionaire to be selected for supplying consumable products
within the stadium proper.

5.

If the within option be exercised, each of the

parties covenants with the other to do all those things necessary to effectuate the intent and purpose of this agreement.
6.

In the event a multi-purpose stadiuQ in downtown

Minneapolis is not constructed by the Commission, this Agreement


shall be null and void without

have sufficient financial capability to permit performance
of the obligations undertaken, and compliance with Section 22.3
of the Football Use Agreement dated August 8, 1979 between the
Commission and the Vikings with respect to the design, construction, and finishing of the private spectator boxes.

August 8, 1979 between the Metropolitan Sports Facilities
Commission and the Minnesota Vikings Football Club, Inc,
Said agreement being entitled 'Private Spectators Box
Option Agreement', Said agreement provided for a sixty
(60) day option term which by action of your Board was
extended to December 1, 1979,
In accordance with the provisions of that Private Spectators
Box Option Agreement, the Minnesota Vikings Football Club,
Inc, hereby gives you notice that it exercises (and it
does hereby exercise) the option therein granted.
Having now exercised said option the rights and obligations
of the parties with respect to the subject matter thereof
shall be governed by paragraphs two through seven (2-7),
inclusive thereof of said option agreement,

This Agreement is made


between the Metropolitan Sports Facilities Commission ("Commission") ,
and the Minnesota Vikings Football Club, Inc.

("Team"), pursuant to

Section 5.2 and 22.3 of the August 8, 1979 Football Use Agreement
and pursuant to Paragraph No. 3 of the August 8, 1979 Private
Spectator Box Option Agreement between the Commission and the Team.
On entering into this Agreement both parties agree to waive the
August 20, 1979 deadline for entering into an agreement regarding
additional Team spaces.

IT IS HEREBY AGREED:
1.

The following work shall be performed in the Stadium

on behalf of the Team and pursuant to the Football Use Agreement and
Private Spectator Box Option Agreement:
(a)

Finish, according to Minnesota Sports Stadium

Project Contract Documents for Bid Package No. 7, the


ticket office/general purpose stadium lounge located
within the building nodule on the lower concourse level
between Column Line 13 and Column Line 15 and extending
60 feet east of Column Line A.

Furnish and install,

2.

Minnesota Sports Stadium Project Contract Documents

for Bid Packages No. 5 and No, 7 as they relate to the work
described in Paragraph 1 are approved by the Commission and the
Team and herewith made a part of this Agreement.
3.

In payment toward all costs which

costs, including trade contract change orders, construction
management fees and expenses, construction management performance

other insurance costs, the Team shall deposit with the Commission

As costs in connection with the work are incurred, the Team


authorizes the Commission to pay such costs by application of the
funds deposited in the manner herein provided.

that amount by which costs attributable to the work described in
Paragraph 1, above, shall have exceeded the sum of $4,100,000.

in Paragraph 1, above, shall be, in the aggregate, less than
$4,100,000, then and in that event the balance of funds deposited
by the Team with the Commission shall be returned and refunded to
the Team.

4.

All costs of physical maintenance for the Team's

exclusive year-around spaces referred to herein, including costs


relating to the mechanical and electrical systems exclusively
serving such spaces, shall be paid for by the Team.

ASSIGNHENT AND ASSUMPTION


This Assignment and Assumption is made June 23, 1982,
by and between the Minnesota Vikings Football Club, Inc.
("Team") and Vikings II, Inc. ("Vikings II").
W I T N E S S E T H:
For and in consideration of the sum of One Dollar
($1.00) and other good and valuable consideration, the receipt

of which is hereby acknowledged, the Team does hereby transfer


and assign to Vikings II its rights of u::e in the Hubert H.
Humphrey Metrodome described in that certain Private Spectator
Box Option Agreement dated August 8, 1979 between the
Met~:opolitan Sports Facilities Commission ("Commission") and
the Team (a copy of which is attached as Exhibit A) pertaining
to the premises described in Exhibit B hereto (the
"Premises"), which constitute part of the Team's exclusive use
space under Sectio~ 5.2 of the Football Use Agreement dated
August 8, 1979 between the Team and the Commission (a copy of
which is attached as Exhibit C), as said agreements have been
modified by the agreements between the Team and the Commission
set forth in Exhibits D, E and F attached hereto, subject to
all terms, conditions, covenants and agreements contained
herein.
Vikings II does he~:eby accept the foregoing assignment and transfer as of the day and year first above mentioned
and hereby assumes and agrees (a) to perform all the terms,
conditions, covenants and agreements of the Team under the
Private Spectator Box Option Agreement, as modified, and specifically agrees to assume the obligation to pay all rents,
fees and expenses thereunder, on the part of the Team to be
performed, and (b) to perform all terms, conditions, covenants
and agreements under the Football use Agreement insofar as the
same relates to the Premises and specifically agrees to assume
the obligation to pay the rents, fees and expenses thereon, on
the part of the Team to be performed, with respect to the
Premises.
It is understood that Vikings I I intends to use the
Premises in connection with its on-sale liquor license.
IN WITNESS WHEREOF, the Team and Vikings I I have executed this Assignment and Assumption as of the day and year
first above mentioned.

Amendment to Private Spectator Box Option Agreement

This Amendment, effective


, 2005, (the "Amendment") to the
Private Spectator Box Option Agre ent dated August 8, 1979, between the
Metropolitan Sports Facilities Commission ("Commission") and Minnesota Vikings
Football LLC, a Delaware limited liability company, as successor to the Minnesota
Vikings Football Club, Inc. (the "Vikings").
RECITALS
A.
The Commission owns and operates the Hubert H. Humphrey Metrodome,
900 South Fifth Street, Minneapolis, Minnesota (the "Metrodome" or "Stadium").
B.
The Vikings and Commission are parties to the Football Use Agreement,
dated August 8, 1979, as amended (the "Vikings Use Agreement") and to the Private
Spectator Box Option Agreement (the "Box Option Agreement") by which the Vikings
were granted the sole and exclusive right for the development, construction,
management and operation of the private spectator boxes to be constructed in the
Metrodome.
C.
The Vikings requested that the Commission consider and undertake a
physical improvement to the Metrodome, called the "Terrace Suite" project, which the
Commission considered and performed its due diligence with respect to the costs and
opportunities for revenue enhancement for the Vikings, the Minnesota Twins and the
University of Minnesota, all as more fully described in the Terrace Suite Agreement of
even date.
D.
The Terrace Suite project requires the construction of one large suite in
the spaces currently occupied by the following eight private spectator boxes: Suites
140A, 140B, 140C, 1400, 141A, 141B, 141C, 1410, together with approximately 207
seats in the lower level immediately in front of those eight suites.
E.
In consideration of the Vikings making available for demolition the
aforementioned eight (8) private spectator boxes in order to implement the Terrace
Suite, and the removal of seats in the Metrodome, as more fully described below, the
Commission has agreed to reduce the annual amount payable to the Commission by
the Vikings for the privilege of developing and operating the private spectator boxes in
the Metrodome.
AGREEMENT
NOW, THEREFORE, in consideration of the mutual covenants contained herein,
the Commission and the Vikings agree as follows:

Definitions

Unless otherwise defined herein, the capitalized terms defined in the Box Option
Agreement, when used in this Amendment, shall have the same meaning as those
defined terms are given in the Box Option Agreement.
II.

Demolition and Removal of Existing Private Spectator Boxes and Seats


2.1

Demolition and Removal of Private Spectator Boxes.

a.

In order to implement the Terrace Suite, the Vikings agree to make


available for demolition and removal the following eight (8) private spectator
boxes in the Metrodome:

The private spectator boxes to be demolished contain 114 seats.

2.2
Demolition and Removal of Seats in Metrodome. In order to implement
the Terrace Suite, the Commission will demolish and remove approximately 207 seats
in the lower level immediately in front of the eight (8) private spectator boxes referenced
above.
2.3
Demolition Schedule. The demolition and removal of the private spectator
boxes and seats referenced above will begin in June, 2005, and those private spectator
boxes and seats will not be available for use or occupancy thereafter.

Annual Payments
3.1

Annual Payment

a.
In consideration of (i) the Vikings' agreeing to make available eight
(8) private spectator boxes for demolition and removal; and (ii) the demolition and
removal of existing seats in the Metrodome in order to implement the Terrace
Suite, the Commission agrees to reduce the annual payments required under the
Box Option Agreement.
b.
Notwithstanding Paragraph 2(d) of the Box Option Agreement,
effective with the payment due March 31, 2005, and each March 31 thereafter,
the Vikings' annual payment under the Box Option Agreement shall be reduced
by Four Hundred Thousand Dollars ($400,000) for a revised annual payment of
Nine Hundred Thousand Dollars ($900,000). Payments required under the Box

Option Agreement will not increase during the term of this Agreement without the
mutual agreement of the parties.
IV.

Integration

This Amendment, together with the Box Option Agreement, constitute the entire
agreement among the parties.
V.

Confirmation

Except as provided in this Amendment, the Box Option Agreement remains in full
force and effect without change.
IN WITNESS of this Amendment, the Vikings and Commission have executed it
as of the date set out at its head.

AMENDMENT TO TERRACE SUITE AGREEMENT


TERRACE SUITE II
This Amendment, effective January 26, 2006, (the "Amendment") to the Terrace
Suite Agreement, dated August 11, 2005, (the "Terrace Suite Agreement") by and
between the Minnesota Vikings Football Club, LLC, a Delaware limited liability company
(the "Vikings") and the Metropolitan Sports Facilities Commission, established pursuant
to Minnesota Statutes Sections 473.551, et. seq., as amended (the "Commission").
RECITALS
A.
The Commission owns and operates the Hubert H. Humphrey Metrodome,
900 South Fifth Street, Minneapolis, Minnesota (the "Metrodome" or "Stadium").
B.
At the request of the Vikings, the Commission undertook a physical
improvement to the Metrodome called the "Terrace Suite" project, as more fully
.described in the Terrace Suite Agreement, and now and hereafter referred to as
"Terrace Suite 1".
C.
The Vikihgs have now requested that the Commission construct, furnish,
and equip an additional terrace suite, ("Terrace Suite II") to be located in the right field
seating area of the Metrodome.
D. . The Commission and the Vikings desire to enter into this Amendment to
set forth their respective roles and responsibilities, the cost of Terrace Suite II to be
borne by the Commission, and the opportunities for revenue enhancement to be
afforded to the Vikings, the Minnesota Twins, and the University of Minnesota.
AGREEMENT
Now, therefore, in consideration of their mutual covenants and promises
contained herein, the Commission and the Vikings agree as follows:

1.

Definitions.

Unless otherwise defined herein, the capitalized terms defined in the Terrace
Suite Agreement, when used in this Amendment, shall have the same meaning as
those defined terms are given in the Terrace Suite Agreement.

Design and Construction of Terrace Suite II.


2.1

Demolition and Removal of Private Spectator Boxes.

a.
In order to implement Terrace Suite II, the Vikings agree to make
available for demolition and removal the following eight (8) private spectator

boxes in the Metrodome:

The private spectator boxes to be demolished contain 112 seats.

2.2. Demolition and Removal of Seats in Metrodome. In order to implement


Terrace Suite II, the Commission will demolish and remove approximately 175 seats in
the lower level immediately in front of the eight (8) private spectator boxes referenced
above.

2.3. Demolition Schedule. The demolition and removal of the private spectator
boxes and seats referenced above will begin in January, 2006, and those private
spectator boxes and seats will not be available for use or occupancy thereafter.
2.4. Terrace Suite II. Terrace Suite II is being constructed in accordance with
plans and specifications approved by both the Commission and the Vikings on January
26, 2006. The Commission will construct, equip, and improve Terrace Suite II in
accordance with the approved plans and specifications. The Commission will consult
with the Vikings with respect to appropriate furnishings and equipment for Terrace Suite
II, subject to final approval by the Commission. The furnishings and equipment shall be
bid in compliance with Minnesota law. The Commission shall pay for all project-related
costs in an amount not to exceed Six Hundred Twenty Five Thousand Dollars
($625,000). Any cost overruns on Terrace Suite II shall be borne by the Vikings. All
furniture, fixtures, and equipment will become the property of the Commission.
2.5. Municipal Contracting Law. Terrace Suite II will be constructed, improved,
and equipped in compliance with Minnesota Statutes Section 471.345 and any other
applicable law, regulation, or ordinance.

Consideration

3.1. Box Option Agreement Amendment. In consideration of the Vikings


making the aforementioned suites available for demolition and construction of Terrace
Suite II, the Commission agrees to reduce the annual amount payable to the
Commission by the Vikings for the privilege of developing and operating the private
spectator boxes in the Metrodome. Pursuant to the Box Option Agreement, as
amended, the Vikings' payment of Nine Hundred Thousand Dollars ($900,000) shall be
reduced by Five Hundred Thousand Dollars ($500,000) for a new amount payable of
Four Hundred Thousand Dollars ($400,000), effective beginning with the payment due
March 31, 2006, and every March 31 thereafter during the time that the Vikings' Use
Agreement is in full force and effect. This reduction shall be memorialized in an
amendment to the Box Option Agreement, in form and substance set forth in Exhibit B
hereto, to be executed simultaneously with this Amendment.

3.2.

Use Agreement Amendment. In further consideration of the Vikings


making the aforementioned suites available for demolition and construction of Terrace
Suite II, the Commission agrees to increase the Vikings' share of concessions pursuant
to the Vikings' Use Agreement from 10% to 15%, effective beginning with the first home
game of the 2006 football season. The . increase shall be memorialized in an
amendment to the Vikings' Use Agreement, in form and substance set forth in Exhibit C
hereto, to be executed simultaneously with this Amendment.

3.3. Point of Sale System. The Commission intends to install and implement a
point of sales system ("POS System") in the Metrodome.
The Commission
acknowledges that the Vikings have stated their desire to share in gross concession
revenues generated by the POS System; however, it is impossible to determine, as of
this date of the Amendment, the impact of installation of the POS System without actual
experience. The Commission agrees to assess the operation and revenue of the POS
System at the end of the 2006 football season and continue its discussion with the
Vikings with respect to sharing gross revenues in the 2007 season and beyond.
IV.

Concessions to Minnesota Twins and University of Minnesota.

4.1
Use of Terrace Suites I and 11. The Vikings agree that the Minnesota
Twins and the University of Minnesota may use Terrace Suites I and II for their home
games and sponsored events without any usage charge payable to the Vikings.
Concessions at Terrace Suite I and II will be operated in accordance with the Terrace
Suites Agreement.

4.2

Single Game Suites. The Vikings agree to provide to the Minnesota Twins
and the University of Minnesota 12 single game suites for each of their respective home
games and sponsored events to sell for their own benefit without usage charges
payable to the Vikings. These 12 suites shall be located in reasonable locations as
determined by the Vikings annually, and shall not include suites rented on an annual
basis. The Minnesota Twins and the University of Minnesota shall be responsible for
the same types of expenses associated with the single game suites as are applicable to
the Terrace Suites, set forth more fully in the Terrace Suite Agreement. The Vikings
reserve the right to market and sell any single game suite provided to the Minnesota
Twins and University of Minnesota for use on an annual basis. In the event that a single
game suite has been sold, the Vikings will notify the Minnesota Twins and University of
Minnesota ~nd provide a substitute single game suite in a reasonable location.
V.

Relationship of Terrace Suite to Terrace Suite I and Terrace Suite II.

It is the intention of the parties that the terms "Terrace Suite I" and "Terrace Suite
II" shall have the same meaning as is attributed to "Terrace Suite" in the Terrace Suite
Agreement when that term is used to describe the use, management and control of the
Terrace Suite by the Vikings, and the use, rights, duties and obligations of the
Minnesota-Twins and University of Minnesota with respect to the Terrace Suite. The
rights, duties, and obligations of the teams applicable to the Terrace Suite pursuant to

The Vikings are off to a roaring start with the first regular season game at noon on
Sunday, September 18. In order to maximize the experience for all Commissioners and
guests, below please find the procedures for the use of Suites 130B and 131 A.

Suite 130B - Each Commissioner has chosen one Vikings game for use of
Suite 130B. Commissioners using 130B will be charged (at cost) for food
and/or beer and wine ordered for their usage of the suite. Arrangements can
be made directly with Susan Green of Centerplate at 612-335-3376- 48-72
hours notice on all orders is appreciated.

Suite 131A -- For Commissioners not using 131A you have been given two
tickets. If you will not be using your tickets contact Julie as other
Commissioners may need them. Please do not bring more guests than
yourself and one other for a total of two. Again, contact Julie if you need more
than two.

As noted in a previous e-mail, the Commission also has the use of Suite 123B. This
suite is located in the south end zone between the goal post and the corner of the end
zone. The view is inferior to MSFC suites 130B and 131 A. However, it is an opportunity
to use this resource for MSFC purposes.
There is an ongoing opportunity to host current and potential users of the stadium.
These include Feld Sports which hosts the motor sports events in the stadium every
year plus the Minnesota State High School League, state college conferences and
others.
We also have ongoing relationships with Meet Minneapolis, the University of Minnesota
and other Twin Cities organization$ such as the Metropolitan Council and the
Metropolitan Airports Commission.

Hi Nancy,
I hope you had a great Thanksgiving. It was a busy weekend around here ... We did have some usage in the suite for
popcorn and soda both days ... not sure who was here, but we checked on it a few times and made sure we had popcorn.
We did not do peanuts just in case of any allergies we were not aware of.
A few things from the Packers game. Mr. Thatcher continues to give my catering attendant a hard time about this Diet
Coke thing in the Suite 131A. We stocked it with 15 Diet Cokes, along with the other selections, and Melanie goes up
and replenishes 3 times a game, so they never run out. But, I am just wondering if we can pair down the offerings
altogether so she doesn't have to hear it from him every week. We usually go 6 of each soda (Sierra Mist, Diet Pepsi,
Mtn Dew, Diet Mtn Dew} and 12 of Pepsi and Diet Coke.
I was thinking maybe we could go 18 Diet Coke, NO Diet Pepsi, 12 Pepsi, 6 each of the rest... .. what do you and Mr. Lester
think??

Use of Commission Private Suites for Vikings Games

Greetings,
The Vikings are off to a roaring start with the first regular season game at noon on Sunday,
September 18. In order to maximize the experience for all Commissioners and guests, below
please find the procedures for the use of Suites 13 OB and 131 A.

Suite 130B- Each Commissioner has chosen one Vikings game for use of Suite 130B.
Commissioners using 130B will be charged (at cost) for food and/or beer and wine
ordered for their usage of the suite. Arrangements can be made directly with Susan
Green ofCenterplate (612-335-3376 or cell phone [REDACTED ~or through Julie.
Susan is in the process of updating the 20 11 menu. 24-48 hours notice on all orders is
appreciated.

Suite 131A -- For Commissioners not using 131A you have been given two tickets. If
you will not be using your tickets contact Julie as other Commissioners may need them.
Please do not bring more guests than yourself and one other for a total of two. Again,
contact Julie if you need more than two.

As noted in a previous e-mail, the Commission also has the use of Suite 123B. This suite is
located in the south end zone between the goal post and the comer of the end zone. The view is
inferior to MSFC suites 130B and 131A. However, it is an opportunity to use this resource for
MSFC purposes.
There is an ongoing opportunity to host cunent and potential users of the stadium. These
include Feld Sports which hosts the motor sports events in the stadium every year plus the
Minnesota State High School League, state college conferences and others.
There are also potential events that could be attracted to the stadium. These include The Big Ten
Football Championship and the Rolling Stones Farewell Concert Tour. Our goal is to host
representatives from each of the governing organizations at a game.

other Twin Cities organizations such as the Metropolitan Council and the Metropolitan Airports

every effort to accommodate requests.

Limited additional parking is available in the BTC Lot off of61h St. All Commissioner guests
will be parking in this Lot. (map attached). If you require an extra parking space for a guest,
please notify Julie and the guest's name will be added to the list for BTC.

Go into microsoft word, then Commission/Suiteuse/Lottery2010 (name of document). It will show the order from last
year. Whoever was no. !last year becomes last pick this year. everyone else moves up one. When the chart is made
out by you for 2011 thensend and e-mail to the first Commissioner on the list with a list of all the Vikings games and
dates. After no. 1 picks send an e-mail to no.2 and so on. ASK BILL if he wants to hold out the Green Bay game from
the choices. I accidentally put it in the mix last year. Put Tim Baylor in Timothy Rose's position and Ted Mondale in Roy
Terwilliger's spot for choice. You can double check with Bill! on this also, just in case.
I know you said yoy have the memo, but make sure it is for the Vikings and not the Twins. The memo should also be
under the suiteuse category probably like "memosuiteuse" or "suiteusememo" and possibly 2010 with it. It will probably
need some changes because I can't remember if Susan Green is listed for the Centerplate contact or if David Shkladesky
(who is no longer with Centerplate) is listed.

Use of Commission Private Suites for Vikings Games

The Vikings season is ready to kick-off with the first home pre-season game on Friday, August 17. In order
to maximize the experience for all Commissioners and guests, below please find the procedures for the
use of Suites 130B and 131A.
Each Commission will receive five tickets to these suites for all Vikings games. If you will not be using your tickets,
contact Julie Millikan (612-335-3310} as other Commissioners may need them. Again, contact Julie if you need
more than five.
The Authority also has the use of Suite 123B. This suite is located in the south end zone between the goal post
and the corner of the end zone. The view is inferior to the MSFA suite 130B and 131A. However, it is an
opportunity to use this resource for MSFA purposes.
There is an ongoing opportunity to host current and potential users of the stadium. These include Feld sports,
which hosts the motor sports events in the stadium every year, plus the Minnesota State High School League,
Hmong Americans, state college conferences and others. The goal is to host representatives from each of the
governing organizations at a game.
We also have ongoing relationships with Meet Minneapolis, the University of Minnesota and other Twin Cities
organizations, such as the Metropolitan Council and the Metropolitan Airports Commission.
There will be the opportunity for Commissioners to use 123B as well, subject to availability. Please coordinate
through Julie if you have guests you would like to seat there. She will make every effort to accommodate
requests.

Parking
Limited additional parking is available in the BTC Lot off of Sixth St. All Commissioner guests will park in this Lot.
(map attached}. If you require an extra parking space for a guest, please notify Julie and the guest's name will be
added to the list for BTC.

Bill,
As an MSFA commissioner, you receive tickets and suite access for Vikings games. However, the food supplied at the suites is an
additional expense to the catering company, Centerplate, and cannot be covered by the MSFA as a public expense. Thus, Centerplate
calculated the total outstanding charges for food for alllO Vikings games and that amount was evenly divided between each
commissioner. That amount totaled $420.13 for each commissioner.

Ticket Distribution:
Each commissioner & CEO /Executive Director receive 5 tickets in 1308 or
131A (per game totals 30 tickets, 2 seats remaining for extra guests)

123B to be used for marketing/user groups both for thankyousjappreciation & new stadium outreach: work w / Bobbi on groups

*Need to look at staff game (Bears game), game for maintenance &

Mail full season tickets to commissioners all at once. Can distribute how they

Guests:
CANNOT distribute freely to legislators, elected officials, government
employees, they must pay for tickets

Must communicate by Tuesday before game names & # of guests, & parking

Each commissioner is responsible for relaying logistics, rules & payment info

Each week, Centerplate distributes sample menu with established cost per

Guest Information for Game Days


Parking/Coming to Suite:

When you come to the Metrodome, you should enter the parking lot off of
11th Ave and 5th Street (there will be a parking attendant station and it
will be located around Gates C and D). Please check in with the parking
attendants and let them know you are a guest of (commissioner name).
They will give you a pass and will direct you where to park.
After parking, you should make your way west towards where you drove
in. You will follow the stadium down to the street level at Gate E (there will
be a sign directing you). At Gate E, street level, you can enter the Dome.
The door is located below the purple lettering "Hubert H. Humphrey
Metrodome. ").You will then have to go through security at this door.
After security, guests can either check in at the MSFA office located directly
to the right as they walk in for instructions to the suites, or can head
through the doors straight ahead to the suites. Suites are located to the left
as you exit the Authority offices.
Security:

Mary,
If possible, can you outline clear direction for the use of the suites? There seems to be confusion at every game of what costs
can be covered, who can sit in, and how staff is allowed to participate, and I have been told different things at each situation.
I would like to have a clear set of rules so that I can establish them with guests from the beginning, so that people can know
what they will have to cover and can then make decisions for what they would like to do.
Outstanding questions:
-All food and beverage costs must be covered by staff who sit in the suites correct?
-When individuals other than commissioner guests use the suites, what information is supposed to be detailed?
-names & affiliations of attendees?
-business purposes (what constitutes a business purpose?), for each group, it seems that the overriding purpose is to
promote stadium operations and develop and foster relationships for either the project, the new stadium or the Metrodome.
Sometimes, we would like to thank individuals or groups for their work. Isn't that a business purpose?
-At which point, should the business purpose and names of attendees be detailed? Would it maybe make sense to send to
you ahead of time for any guidance before people are invited and later have to find out that they either should not have been
in the suite or that they have to cover food costs?
-Other than elected officials, are there any individuals or groups who should be barred from use of the suites?
Please let me know if I have overlooked any other rules.

Authority Suites. From and after the Commencement Date, (i) the Authority shall
have sole ownership of two (2) suites for its exclusive use and possession for any legal purpose
during the Term (the "Authority Suites"), and (ii) the Team agrees to provide to the Authority
during the Term, without any charge, license, use or other fee of any kind, a number of tickets to
all Team Stadium Events that are open to the public, including NFL/MLS playoff and
championship Team Games corresponding to the number of seats in each such Authority Suite,
plus the number of "standing room only" tickets customarily allocated by the Team to other
holders of comparably-sized Suites (it being understood that each Authority Suite will have
sixteen (16) seats). The Authority Suites shall be adjacent to each other and located on the Main
Concourse in the farthest northeast corner of the Stadium (which Suites, as of the date hereof, are
Suite Nos. 11 and 12 in the plans of the Stadium architect). The Authority shall be responsible
(A) to pay with respect to the Authority Suites all costs related to food and beverage service and
(B) for the conduct of the Persons it invites to its Authority Suites for Stadium Events. The
Pmties agree that the Authority Suites constitute the only Suites that will be retained by any
Govemmental Authority.

Go into microsoft word, then Commission/Suiteuse/Lottery2010 (name of document). It will show the order from last
year. Whoever was no. 1 last year becomes last pick this year. everyone else moves up one. When the chart is made
out by you for 2011 thensend and e-mail to the first Commissioner on the list with a list of all the Vikings games and
dates. After no. 1 picks send an e-mail to no.2 and so on. ASK BILL if he wants to hold out the Green Bay game from
the choices. I accidentally put it in the mix last year. Put Tim Baylor in Timothy Rose's position and Ted Mondale in Roy
Terwilliger's spot for choice. You can double check with Billl on this also, just in case.
I know you said yoy have the memo, but make sure it is for the Vikings and not the Twins. The memo should also be
under the suiteuse category probably like "memosuiteuse" or "suiteusememo" and possibly 2010 with it. It will probably
need some changes because I can't remember if Susan Green is listed for the Centerplate contact or if David Shkladesky
(who is no longer with Centerplate) is listed.
I will copy Bill on this because of the Green Bay Game. There may be a folder called Suite Use either in my desk drawer
or the file behind you. There are some stadium maps in there and last year's lottery. I have no written instructions as
it was just in my head.
For the Two Vikings pre-season games again check with Bill what he wants to do. Either the Commissioners get two each
for one 1301A and 130B is up to Bill or they can get four and use both suites.
For the extra suite 123B (I think this is the right number) Bill and Bobbi usually invite users of the stadium, etc. to
promote booking of events. Check with them. I will copy Bobbi on this.

I am unable to locate a folder on the lottery procedures. I touched base with Bobbi and Mary and they indicated there
was an order to follow when asking Commissioners. Do you/ perhaps, remember this order?
I have been able to locate the memo and other related information.
