Agustus 1989 perihal Persetujuan Prinsip pendirian Bank Umum PT. Bank Yudha Bhakti di
Jakarta, pada tanggal 14 September 1989 diadakan kembali Rapat Umum Pemegang
Saham Kedua, yang menghasilkan keputusan penting antara lain: Penambahan satu Pusat
Koperasi lagi sebagai Pendiri/Pemegang Saham yaitu PUSKOP DEPHANKAM serta
pengesahan LOGO Bank.
Pada tanggal 23 Oktober 1989 mendapatkan Surat Rekomendasi dari Menteri Koperasi
dengan Nomor: 266/M/X/1989, yang memberikan izin kepada INKOPAD, INKOPAL,
INKOPAU, INKOPPOL, INKOPPABRI, PUSKOP MABES TNI, dan PUSKOP DEPHANKAM
untuk mendirikan Bank dan sejak tanggal 9 Januari 1990 Bank Yudha Bhakti mulai
beroperasi.
Sejak memasuki industri perbankan Indonesia sampai dengan pertengahan tahun 1997,
dimana krisis ekonomi moneter mulai menerpa Indonesia dan dirasakan oleh seluruh sektor
industri, tak terkecuali industri perbankan yang juga mengalami imbas yang cukup besar.
Hal ini ditandai dengan dilikuidasinya beberapa bank swasta nasional. Namun krisis moneter
tersebut tidak membawa pengaruh yang berarti bagi Bank, bahkan Bank dapat menangkap
peluang yang positif dengan adanya krisis tersebut. Justru Bank dalam kurun waktu krisis
mampu diklasifikasikan sebagai Bank berkategori A, sehingga tidak diperlukan adanya
upaya penyelamatan dengan obligasi rekap dari pemerintah. Dimulai sejak tahun 2001 Bank
mampu melakukan ekspansi secara berkelanjutan dengan pembukaan Kantor Cabang dan
Kantor Cabang Pembantu di wilayah Jawa dan Sumatera.
Dari sisi permodalan, Bank yang pada awalnya hanya dimiliki oleh Induk Koperasi dan Pusat
Koperasi di lingkungan TNI/POLRI serta Dephankam, dikarenakan kebutuhan penguatan
modal maka masuknya investor swasta tidak dapat dihindari lagi. Bank juga terus
melakukan pemupukan modal secara bertahap baik secara organik maupun fresh money
dalam rangka memenuhi ketentuan permodalan yang dipersyaratkan oleh Bank Indonesia.
Selanjutnya perkembangan serta dinamika kebutuhan permodalan, akhirnya mengantarkan
Bank untuk merubah statusnya menjadi Perusahaan Terbuka dengan masuknya investor
baru yang berasal dari masyarakat melalui proses Initial Public Offering (IPO) yang efektif
sejak pencatatan perdana sahamnya di PT Bursa Efek Indonesia pada tanggal 13 Januari
2015. Bank juga kembali melakukan penambahan modal dengan melakukan Penawaran
Umum Terbatas I (PUT I) kepada para Pemegang Saham dengan memberikan Hak
Memesan Efek Terlebih Dahulu pada Semester I tahun 2016. Sampai dengan Semester I
tahun 2016 Bank memiliki modal dasar sebesar Rp. 1.500.000.000.000,- (satu trilyun lima
ratus milyar rupiah) yang telah ditempatkan dan disetor penuh oleh para pemegang saham
on August, 14th, 1989, and on September, 1st, 1989, got the recommendation letter from the
Central Bank with the number 22/530/UUPS/PSbD subject to the preparation of the bank
establishment, refers to the letter of the Minister of Finance number S-982/MK.13/1989 on
August, 14th, 1989, subject to principle approval of the bank establishment. On September,
14th, 1989 held the second General Meeting of Shareholders, which resulted important
decisions, among others: the addition of one more Pusat Koperasi as a founder or
shareholder that is PUSKOP DEPHANKAM, as well as the endorsement of the banks Logo.
On October, 23th, 1989, got a recommendation letter from the Minister of Cooperatives with
number 260/M/X/1989, which gives permission to the INKOPAD, INKOPAL, INKOPAU,
INKOPPOL, INKOPPABRI, PUSKOP MABES TNI, and PUSKOP DEPHANKAM to establish
the bank. Bank began its operational on January, 9th, 1990.
Since entering the Indonesian banking industry up to mid-1997, where the economic crisis
began to hit Indonesias monetary and felt by all sectors of the industry. With no exception,
the banking industry also experienced the outbreak. It is characterized by several national
private bank which has been liquidated. But the monetary crisis has not brought the matter
to the bank, bank can even capture opportunities that positively with the existance of the
crisis. Thus bank in crisis was able to be classified as A categories. So it not necessary the
existance of the rescue efforts with bonds recap of the government. Started in 2001, the
bank was able to do sustainable expansion with the opening of branch offices and
supporting branch offices in the area of Java and Sumatera.
From the side of the capital, the bank that initially only owned by Inkop and Puskop in the
environment of TNI/POLRI as well as Dephankam, due to the need of strengthening the
capital, then the influx of private investors cannot be avoided any longer. The bank also
continued to undertake fertilization of capital gradually, both organically as well as fresh
money in order to meet the provisions of capital required by the Central Bank. Further
development as well as the dynamics of capital needs, eventually delivering the bank to
change its status into a public company, with the entry of new investors coming from the
public share through the Initial Public Offering (IPO) process, which is effective as of the
listing of its shares in the Indonesia Stock Exchange on January, 13 th, 2015. The bank also
return to capital increase by performing a Limited Public Offering I (LPO I) to shareholders
by providing the right ordering effects in advance in the first half year of 2016. Up to the first
half year of 2016, the bank has authorized capital of Rp. 1.500.000.000.000,- (one trillion five
hundred billion rupiah), that had been placed and paid in full by shareholders amounting to
Rp. 402.425.600.000,-, with PT Gozco Capital and PT Asabri (Persero) as the shareholders
with ownership as above 5 % (five precent).
Along with the advancement of infprmation technology, the bank constantly do the
consummation infrastructure technology more closely with the business needs of the
customer. Another thing that has been done by management is to always improve the work
culture (corporate culture) based on the capabilities and needs, so as to provide a positive
impact on the banks optimal performance.
A strong commitment and synergistic measure from the shareholders, the Board of
Commissioners, Board of Directors and all employees, able to place and brings the bank to
grow and develop in a sustainable way. The bank has proved that as a public company, the
bank was able to improve its business performance in line with demands from investors and
stakeholders, also in this case the bank will still be able to put forward the principles of good
corporate governance, so investor confidence can keep awake.
