Articles of Association 2007

Article I. Name and Place


The Newman Park Neighborhood Association (hereinafter termed the Association) shall perform
its functions at Newman Park or within its neighborhood boundaries determined by the
Association and the city of El Paso.

Article II. Mission Statement


The mission of the Newman Park Neighborhood Association is:

To improve the quality of life in the Newman Park neighborhood through care
and attention to the park and surrounding areas, and to build a community
network of care, watchfulness and concern for each other and our beautiful
desert environment.

Article III. Membership


The general membership shall be comprised of the residents and/or property owners within the
Newman Park neighborhood boundaries who have paid their annual contributions.

Article IV. Dues


The annual membership contribution per household is established by the Board and is payable by
July 31st of each year or upon joining the Association.

A voting membership shall be allocated one vote per dues paid contribution.

The dues shall be spent exclusively for Association purposes as determined by a vote of the
Board of Directors.

An accounting of expenditures of such dues shall be strictly recorded and will be available for
inspection by any member upon reasonable notice.

Article V. Meetings
Regular general membership meetings will be held during any month of each quarter of the year
with the exception that the meeting in the third quarter shall always be in July. That meeting will
be the Annual Meeting at which time nominations and elections of the Board members will be
held. The Board shall schedule 3 other meetings during the year during one of the months of
each quarter of the year – January through December. Except for the Annual Meeting, a
quarterly general membership meeting may be scheduled at the same time as a regular board
meeting.

The Board of Directors shall meet on the third Saturday of each month or as directed by the
President with the consent of a majority of board members.

Board members are expected to attend all meetings.

A quorum shall consist of ½ of the filled Board positions or 5 members. A simple majority of the
quorum (3 members) shall be required for passage of any motion.
Article VI. Board of Directors
A Board of Directors shall govern the Association.

These directors are drawn from the general membership of the Association.

The Board shall consist of no fewer than 7 persons and no more than 10 persons who will serve a
2-year term with 5 of those 10 members being nominated and elected by the general membership
in even numbered years and 5 nominated and elected in odd numbered years.

There will only be one voting board member per household.

Termination of a Board member requires a 2/3 vote of the remainder of the Board.

If for any reason a vacancy occurs on the Board, the unexpired term of that position shall be
filled by nomination and vote of the Association membership at the next regular quarterly
membership meeting.

Article VII. Officers


The Board shall elect the Officers of the Association.

The officers of the Association shall hold office for a term of 2 years.

The term of Office shall begin in July of each year.

The officers of the Association shall be President, Vice President, Secretary and Treasurer.

The President shall call and preside at all meetings, act for and on behalf of the membership of
the Association with consent from the Board, and appoint any special committees necessary for
the operation of the Association. In addition, the President or the President’s designee(s) with
consent of the Board shall act as spokesperson for the Association. The President shall oversee
the committee activities and committee reporting to ensure the Association’s goals and
objectives are achieved.

In the absence of the President, the next present officer as listed above shall be empowered to
assume the duties of the President.

The Vice President shall, in the absence of the President, assume all the duties of that office.

The Secretary shall keep records of all formal meetings, relevant correspondences and legal
transactions of the Association. Minutes of each meeting shall be made available the day before
the next board meeting.

The Treasurer shall keep all financial receipts and a permanent record of all financial business of
the Association. An up to date financial report shall be submitted at each meeting.

Article VIII. Committees


The President shall have the power to appoint committees or make other assignments as
necessary to implement the purposes of the Association with the advice and consent of a
majority of the Board membership.

Article IX. Amending of Articles


These articles of Association may be amended by two-thirds (2/3) vote of the full Board of
Directors after 2 days notice has been given.

Article X. General
No officer, representative, spokesperson, or member shall have any financial liability for the
Association.

Article X. Dissolution of Association


This Association may be dissolved by two-thirds (2/3) vote of the full Board of Directors after
notice has been given.

Article XI. Effective Date


These Articles of Incorporation shall be effective July 1, 2007.
