MEMORANDUM OF AGREEMENT made this 10th day of May 2010 between

WORLDWATCH INSTITUTE, 1776 Massachusetts Ave., NW, Washington, DC 20036


(hereinafter referred to as The Proprietor) of the first part,

and

Ecowiki Russia Project, 27-5-3, Bolshoi tolmachevky Str., Moscow, Russia (hereinafter referred
to as The Publisher) of the second part.

Whereby, it is mutually agreed as follows concerning an original work of nonfiction in an


electronic format only entitled State of the World 2010: Transforming Cultures from
Consumerism to Sustainability (hereinafter referred to as the Work)

1) RIGHTS AND TERRITORY


The Proprietor hereby grants to the Publisher the non-exclusive license to translate the Work in
the Russian language and to distribute only the Russian translation through the Russian web-site
http://ecowiki.ru/, subject to the terms and conditions following, and the Proprietor guarantees
that he has full power and authority to make this agreement and grant.

2) PUBLICATION AND PRODUCTION


The Publisher shall publish the Work within 4 (four) months of the date of this agreement. If he
fails to do so this agreement shall terminate automatically and the Proprietor shall resume
possession of the license and of all rights without further notice.

3) ADVANCE AND ROYALTIES


The proprietor requests no advance or royalties for the publication of the said Work.

4) PUBLICATION DATE AND RETAIL PRICE


The Publisher shall notify the Proprietor of the exact date of the release of the said Work by the
Ecowiki Russia Project..

7) TRANSLATION
The translation of the said Work shall be made by translators who are knowledgeable of
environmental issues, and who are accomplished in writing in English as well as their native
language of Russian. During the translation process, these translators may add explanations or
make slight modifications in the original text of the work to achieve an accurate and idiomatic
translation. Such explanations or modifications shall not materially change the meaning or
otherwise materially alter the text. Once translated, all text must be reviewed for accuracy by an
experienced Editor who is knowledgeable of environmental issues and who is accomplished in
writing both in English and Russian. Under no circumstances should computer translation
software be used to achieve a final translation process of the Work.

8) TITLE
The original title of the said Work in English shall appear beneath the Russian title or on the
back of the title page (together with the original copyright notice) of the electronic format for the
Russian version.

9) COPYRIGHT & AUTHOR'S NAME


The Publisher agrees to print the English title and copyright notice on the title page or reverse
thereof of every copy of the Work exactly as it appears in the original English language edition.
The Publisher undertakes that the name of the author shall appear in due prominence on the title

10) INFRINGEMENT OF COPYRIGHT


In the event the copyright in the Work shall be infringed in the language of the translation within
the territory of the grant, the Publisher shall take such steps as may be necessary to restrain such
infringement, and in the event that the Publisher shall collect damages therefore, then the
Publisher shall thereupon pay to the Proprietor one-half of all sums so collected after deduction
of legal expenses and court fees paid by the Publisher in enjoining the said infringement and
effecting the collection of said sums. The Proprietor shall have the right and option to engage
counsel of his own choosing, at his own expense, to join with the Publisher in any action to
restrain infringement, or to bring an action separately in the name of the Proprietor or the
Publisher.

11) ADVERTISEMENTS
Advertisements may not be inserted in the electronic version of the Work, whether issued by the
Publisher or its Licensee, without the Proprietor's prior written consent.

12) EXCERPTS AND SERIALIZATIONS


The Proprietor may, upon request from the Publisher, grant in writing to the Publisher the
privilege to sell excerpts, synopses, serializations, scenarios and/or summaries of the Publisher’s
edition of the Work so long as the excerpts and serializations sold in the aggregate do not exceed
10,000 (ten thousand) words or 10% (ten percent) of the Work and/or of any photoplay based on
the Work and so long as they are only sold for the purpose of advertising and exploiting such
rights, and provided all steps are taken which may be necessary to protect the copyright of the
Work. The Publisher shall print the appropriate credits and copyrights notices.

13) LICENSE
The license herein granted is assigned to the Publisher solely and shall not be transferred without
the written consent of the Proprietor. All rights not specifically mentioned in this agreement are
reserved to the Proprietor.

14) BANKRUPTCY OR OTHER INABILITY TO MEET OBLIGATIONS


Should the Publisher be declared bankrupt or insolvent or otherwise unable to meet its
obligations, whether by voluntary act or order or decree of any court, the rights herein granted
shall automatically and forthwith terminate and revert to the Proprietor without prejudice to the
Proprietor's right of recovery of any sums due to him under the terms of the agreement and/or
damages.

15) TERMINATION

This Agreement shall automatically terminate and all rights granted by it to the Publisher shall
revert to the Proprietor in the following circumstances:

(a) if the Publisher fails to fulfill or comply with any of its provisions within one month after
written notification from the Proprietor of his representatives of such failure.

(b) If the Publisher goes into liquidation other than voluntary liquidation for the purpose of
reconstruction only or have a receiver, administrative receiver, receiver and manager, or
administrator appointed in respect of the whole or any part of its assets.

In all of these cases this Agreement shall terminate without prejudice to any claim which the
Proprietor may have either for monies due to him and/or damages and/or otherwise.

16) LENGTH OF AGREEMENT

This agreement for State of the World 2010: Transforming Cultures from Consumerism to
Sustainability is valid for 1 (one) year from the date of first publication in the Russian language
and the rights herein granted shall revert automatically to the Proprietor on that date. This
agreement is limited strictly on the terms and period stated herein and any arrangements for
additional printings or periods of time shall be subject to a new agreement.

17) DISPUTES
Any disputes surrounding this agreement will be interpreted according to the laws of the District
of Columbia, United States of America.
