registered with the Corporate Affairs Commission (CAC) of Nigeria to provide

Please note that PHASES 2 - 4 can be executed in any array and except for any
force majeure situation, we will do well to keep to the disclosed timelines.
6. DELIVERABLES/ROLES AND RESPONSIBILITIES
SERVICE PROVIDER/CONSULTANT: AMACOFFSHORE
Overall design and online support of the entire process. AMACOFFSHORE will
provide
Domain Registrar technical /agency services and will execute the
entire project using her proprietary automated PerfProcess and shall have
the sole discretion to choose any software platform (eg CMS, Open Source etc)
to design the site/technology support for the entire system during initial
design/setup and subsequent site maintenance updates/upgrades. All designs,
original or any third party modified templates/CSS styles sheets or any other
codes are intellectual property of AMACOFFSHORE .
AMACOFFSHORE shall provide start-up funding/technical expertise for the
takeoff of the first phase of the project and will also be responsible for sourcing

funds to complete the other phases and to continue to manage the entire
project through placement of online banner adverts (from individuals/corporate
organisations) on the website.
AMACOFFSHORE reserves the right to continue to manage the domain
including updates/overhauls and other related technical services as will be
contained in updates arrangements/plans.
AMACOFFSHORE shall provide a quarterly report of the progress of the project
to the District Council (Council) or District ICT Head (ICT Head) and
quarterly maintenance updates thereafter.
CLIENT: FOURSQUARE AGBADO DISTRICT:
Official acceptance of above terms and other warranties.
Provide AMACOFFSHORE access to softcopies of digital media-logos/other
designs/pictures/any other multimedia materials needed for the take off and
subsequent updates of the website project going forward and approval of the
demo website before hosting. These materials should not infringe on any legal
copyrights/patents.
7.0 PROJECT FINANCING PLANS

1. The project start-up will be financed and maintained by the church.
2. The District should be committed to initial start up funds for Domain
Name Registration, Domain Hosting and Email Setup.
3. From the earlier financial proposal, it will be noticed that more funding will be
required from PHASE 2 4. AMACOFFSHORE proposes that private
individual/ corporate pockets/sponsors can manage the other stages going
forward OR the District execute it in phases.
4. AMACOFFSHORE suggests that additional funds be raised through adverts
from corporate firms/organizations so as to be able to completely execute the
remaining (Phase 2-4) of the project seamlessly.
5. These adverts will be displayed on the Agbado District website discretely in the
following strip/web positions:

a) Platinum Header position (1024 X 56 pixels or similar size) throughout

the website maximum of seven sponsors/partners.
b) Gold Left or Right side of Home page (40 X750 pixels or similar size) up
to a maximum of five sponsors/partners.
c) Silver - Mid-size flash banners - 64 X 64 pixels or similar size up to a
maximum of four on D.O. Message for the Month Newsletter page.
d) Bronze 32 X32 pixels or similar size on Special Partner page for all
bronze partners.
e) These adverts run for a minimum of three months and renewable
perpetually as long as the subscriber(s) is/are in good financial standing.
6. This funding scheme will be able to execute/cater for the PHASE 2-4 life span
and the yearly maintenance/upgrade requirements of the Agbado District
Website going forward.
8.0 TERMS AND CONDITIONS
PAYMENT AND WARRANTY/SITE UPGRADE TERMS
In addition to the explicit commitments and references to deliverable,

roles and responsibilities, and approvals (3.0, 6.0.3), this web services
project
is
executed
under
the
general
web
non.NG
and
.NG
Registrant/Hosting terms of Agreement, the Digital Millennium Act (DMA)

procedures which specifically prohibits the use of infringing digital
materials, the Android/Open Handset Alliance (OHA), the GNU License
and all other Open Source Agreements. All relevant third party patents,
copyrights/ trademarks are recognized and acknowledged.
All designs (styles sheets, templates and other digital/intellectual

properties acquired and developed during the course of this project) are
exclusive properties of AMACOFFSHORE.
EFFECTIVE DATE/TENURE OF AGREEMENT
The effective start date of the agreement will be the date of ratification of
this plan by Council by an official letter addressed to AMACOFFSHORE.
