DECISION
Before this Commission for resolution are the "Application". and
"Amended Application" filed on March 7, 2014 and March 19, 2014,
respectively, by the San Carlos Solar Energy, Inc. (SACASOL) for
authority to develop, own, or operate dedicated point-to-point limited
transmission facilities to connect the 19.8 MW solar power plant to
the Cadiz-San Carlos 69 kV line, with prayer foe provisional authority.
Having found said application and amended application to be
sufficient in form and in substance with the required fees having been
paid, an Order and a Notice of Public Hearing, both dated May 19,
. 2014, were issued setting the case for initial hearing on June 10,
2014.
In the same Order, SACASOL was directed to cause the
publication of the attached Notice of Public Hearing, at its own
expense, once (1x) in a newspaper of general circulation in the
Philippines, at least ten (10) days before the scheduled date of initial
hearing. It is also directed to inform the consumers, by any other
means available and appropriate, of the filing of the instant
application, its reasons therefor and of the scheduled hearing
thereon.

The Office of the Solicitor General (OSG), the Commission on


Audit (COA) and the Committees on Energy of both Houses of
Congress were furnished with copies of the Order and Notice of
Public Hearing and were requested to have their respective duly
authorized representatives present at the initial hearing.
Likewise, the Offices of the Provincial Governor of Negros
Occidental and the Mayors of the City of San Carlos and the
Municipality of Calatrava, Negros Occidental were furnished with
copies of the Order and Notice of Public Hearing for the appropriate
posting thereof on their respective bulletin boards.
On June 5, 2014, SACASOL filed its "Pre- Trial Brief'.
During the June 10, 2014 initial hearing, SACASOL, VMC Rural
Electric Service Cooperative, Inc. (VRESCO), National Transmission
Corporation (TRANSCO), National Grid Corporation of the Philippines
(NGCP) and Engr. Robert F. Mallillin appeared.
At the said hearing, SACASOL presented its proofs of
compliance with the Commission's posting and publication of notice
requirements which were duly marked as Exhibits "A" to "J", inclusive.
Thereafter, it conducted an expository presentation of its application.
Upon the termination of the expository presentation, the
Commission directed VRESCO, TRANSCO and NGCP to file their
respective petitions to intervene and pre-trial briefs within five (5)
days from the said hearing. The Commission then scheduled the
next hearing of the case on June 17, 2014. .

TRANSCO and NGCP appeared. VRESCO and Engr. Mallillin failed

At the said hearing, the Commission conducted a pre-trial
conference.
Thereafter, SACASOL presented the following
witnesses: 1) Atty. Teresita M. Repizo, its Legal Manager, who

testified, among others, on the following: a) her duties and


responsibilities as legal manager; b) the legal personality of the
SACASOL and its current capital structure; c) the existence of
documents submitted in support of the application such as the
Articles of Incorporation, By-Laws, General Information Sheet (GIS),
Certificate of Increase in Capital Stock, Energy Service Contract, and
Certificate of Confirmation of Commerciality; and d) cost associated
with the development and construction of dedicated point-to-point
facility project and the documents in support thereof such as the Bill
of Quantities, Audited Financial Statements and the Projected
Financial and Economic Analysis; and 2) Engr. Vasco Teofilo R.
Saldana, its Operations Manager, who testified, among others, on the
following: a) his duties and responsibilities as Operations Manager; b)
his familiarity of the dedicated facility project application including the
description, conceptual engineering designs and drawings; c) the
viability of the proposed project which was certified and considered in
the formulation of its Transmission Development Plan (TDP); and d)
he identified various documents in support of the application.
In the course of their direct examinations, additional documents
were presented and marked as exhibits. The direct examinations
having been terminated, the Commission propounded c1arificatory
questions on the said witnesses. SACASOL was, then, directed to
submit additional documents for the proper evaluation of the
application. On the other hand, VRESCO, TRANSCO and NGCP
were directed to file their respective comments on the instant
application.

DISCUSSION
SACASOL is a corporation duly organized and existing under
and by virtue of the laws of the Republic of the Philippines with
principal office address at Emerald Arcade, F.C. Ledesma Street,
San Carlos City, Negros Occidental, Philippines.
The instant application was filed pursuant Section 9 of Republic
Act No. 9136 (R.A. No. 9136) or the "Electric Power Industry Reform
Act of 2001" of the EPIRA and Section 5 of its Implementing Rules
and Regulations (IRR), to wit:

"(a) Subject to prior authorization from ERC, TRANSCO
or its Buyer or Concessionaire may allow a Generation
Company to develop, own and/or operate dedicated
point-to-point limited transmission facilities: Provided,
That:
(i) Such dedicated point-to-point limited transmission
facilities are required only for the purpose of connecting
to the Grid which will be used solely by the Generation
Facility, and are not used to serve End-users or
Suppliers directly;
(ii) The facilities are included and consistent with the
TOP as certified by TRANSCO or its Buyer or
Concessionaire; and
(iii) Any other documents that may be required by the
ERC.

It is the holder of Solar Energy Service Contract No. 2013-09037 (Service Contract) duly notarized on October 30, 2013 by virtue
of which it was granted the exclusive right to explore, develop and
utilize Solar Energy Resources within an area located in San Carlos
City and Calatrava, Province of Negros Occidental (Contract Area).
Pursuant to the Service Contract, it is developing the Solar
Power Plant located in San Carlos City, Negros Occidental, which will
commence commercial operations in 2014 (Solar Power Project).
Notably, Republic Act No. 9513 (R.A No. 9513) otherwise known as
the "Renewable Energy Act of 2008", (RE Law) mandates that the
Solar Power Plant shall enjoy the benefit of priority dispatch as a
generating unit utilizing intermittent renewable energy resource.

In order to test, commission, and dispatch the Solar Power


Plant, it shall develop and construct a dedicated point-to-point facility
which will connect the Solar Power Plant to the Visayas Grid through
the Cadiz - San Carlos 69 kV line (Dedicated Facility Project). The
Dedicated Facility Project will be used solely by the Solar Power
Plant for connection to the Visayas Grid.

It is worthy to note that NGCP has recommended the Dedicated


Facility Project for the connection of the Solar Power Plant to the
Visayas Grid.
The Dedicated Facility Project will only require a three (3) meter
line from the Solar Power Plant's substation to the tapping point at
the Cadiz-San Carlos 69 kV and the construction thereof may be
completed in approximately sixty (60) days.
Considering that the Service Contract was only awarded in
favor of SACASOL in 2013, the Solar Power Project has not been
included in the 2012 Transmission Development Plan (TOP) of
NGCP.
Nevertheless, NGCP has confirmed the inclusion of
SACASOL's Solar Power Project in its 2013 TOP.
In November 2013, NGCP performed a System Impact Study
(SIS) to determine the impact of connecting the Solar Power Plant to
the Cadiz-San Carlos 69 kV line. Since the Solar Power Plant is
situated along the 69 kV line, NGCP recommended in the SIS that
the Solar Power Plant switchyard be tapped directly to the 69 kV
Cadiz-San Carlos line. The SIS further showed that the proposed
connection of the Solar Power Plant is technically feasible and no
overloading was observed prior to and after the connection of
SACASOL.
In pursuit of the tap-connection facility for the Solar Power Plant
as the only viable option, SACASOL is in the process of securing a
Connection, Metering Service and Transmission Agreement with
NGCP for the physical interconnection of the generation and
connection facilities.

Once completed, it shall undertake the operation, service, and
maintenance of the Dedicated Facility Project, which shall involve,
among others, regular patrolling of the point to point interconnection
facilities, checking of pole and guy wire conditions, trimming of overgrown bushes and conducting tree and grass-cutting operations,
among other operations and maintenance activities, through its key
and qualified personnel.

b. Project Rationale
To provide connection asset to deliver full 19.8 MW capacity
to the grid.
c. Project Cost
The estimated capital investment for the proposed project
to be implemented amounts to Thirty-Four Million Two
Hundred Thirty-Seven Thousand Seven Hundred SixtyFour Pesos (PhP34,237,764.00). Shown below is a tabulation
of itemized and detailed costs of dedicated point-to-point

The cost estimates were based on the EPC Contracts with


Schema Konsult Inc. and Conergy Asia and Me Pte. Ltd. The cost of
the Dedicated Facility Project will be funded by SACASOL through
equity and debt financing.

Issues raised by the TRANSCO

In its "Comment (On SACASOL's Application)" filed on June 27,


2014, TRANSCO raised the issue of classification of the Cadiz-San
Carlos 69 kV line as sub-transmission assets. In addition, it argued
that there is an existing Lease Purchase Agreement (LPA) between
the TRANSCO and Northern Negros Electric Cooperative, Inc.
(NONECO), formerly VRESCO.

In its comment, SACASOL argued that its right to develop and


own or operate dedicated point-to-point limited facilities to connect its
Solar Power Plant to the Visayas Grid, subject to prior approval of the
Commission, is not dependent on the classification or ownership of
the Cadiz-San Carlos 69 kV line.
The Commission believes that the LPA between the TRANSCO
and VRESCO which was approved on October 10, 2010 has not
been consummated.
The subject 69 kV line is presently being
operated by the NGCP. The resolution of the instant case is only for
the connection of SACASOL to the grid subject to the approval of a
reclassification case docketed as ERC Case No. 2014-033 MC,
entitled "In the Matter of the Approval for the Reclassification of the
Cadiz-San Carlos 69 kV Line Into Transmission Asset. "
Result of System Impact Study (SIS) Conducted by NGCP
The connection scheme considered in the study involves
tapping at the overhead 69 kV line from Cadiz to San Carlos. Since
the plant itself is situated along the 69 kV line, the plant switchyard
can tap directly to the line, which also serves as the connection point
of the proposed 19.9 MW San Carlos Biomass and VRESCO's
existing San Carlos Substation.
The proposed connection of the project is technically feasible.
No overloading was observed prior to and after the connection of
SACASOL. After the conduct and analysis of the transient stability
stimulations, it was observed that the grid is stable even after a
disturbance has occurred in the system. The loss of SACASOL Solar
Power Plant is not likely to trigger ALD.

The study shows that it is technically feasible to connect the


Solar Power Plant to the grid and may be fully dispatched without
constraints. The system still remains in stable condition even during
extended faults and loss of SACASOL.
It has completed the construction of its Dedicated Facility
Project consistent with the findings and recommendations of the SIS.
The DOE has confirmed the electromechanical completion of the
Solar Photovoltaic Power Plant and has issued a Certificate of
Endorsement for the first phase of SACASOL's Solar Power Project
as an eligible project under the Feed-In Tariff System.
The
Commission has issued Certificates of Compliance (COC) for the first
and second phases of SACASOL's Solar Power Project.
Necessity of the Project
As stated in its "Amended Application" and as borne out by the
evidence during trial, SACASOL 19.8 MW Solar Power Plant located
in San Carlos City, Negros Occidental is set to commence
commercial operation by May 2014. The dedicated point-to-point
transmission facility is essential to the testing, commission, and
delivery of power from the Solar Power Plant to the Visayas Grid.
Further, the Solar Power Plant is located in an area of short
supply and increasing demand for power.
With the temporary
shutdown of the Unified Leyte Geothermal Power Plant (ULGPP), it is
imperative that other sources of energy for the Visayas Grid start
operation at the shortest possible time.
Technical Configuration
The SLD presented shows that the proposed project will be
used solely by SACASOL in compliance with Rule 5 Section 5 (a) (i)
of the IRR of R.A. No. 9136, which states that:
llSuch dedicated point-to-point limited transmission facilities
are required only for the purpose of connecting to the Grid
which will be used solely by the Generation Facility, and
are not used to serve End-users or Suppliers directly. "

Technical and Financial Capability of SACASOL


SACASOL entered into Engineering Procurement Construction
(EPC) contracts with Schema and Conergy for the development and
construction of the Solar Power Plant, including the Dedicated Facility
Project. Such EPC Contracts include Coordination Agreements with
Schema and Conergy, Onshore Construction Contracts with Schema,
and Offshore Construction Contracts with Conergy.

Its technical
staff shall undertake the operation
and
maintenance of the Dedicated Facility Project and has submitted its
General Preventive Maintenance Service Program. Further, Conergy
shall provide technical support by providing operation and
maintenance manuals for the Solar Power Plant as part of Conergy's
commitment under the EPC Contracts.
The Dedicated Facility
Project is less than three (3) meters which is more or less the same
as the connection point.

It has shareholders with considerable technical and financial


resources, namely, Bronzeoak Philippines, Inc. (Bronzeoak) and
ThomasLlyodCleantech
Infrastructure Fund GMBH (ThomasLloyd).
Bronzeoak and ThomasLloyd own in SACASOL equity interests at
97.09.10 and 2.91%,
respectively.
The Board of Directors and
Shareholders of SACASOL has further approved the increase of its
authorized capital stock to PhP528,079,200.00, the amount of
PhP469,431,561.31 of which has been subscribed and paid by
Bronzeoak and ThomasLloyd.

It submitted justifications as to its technical capability to operate


and maintain
its proposed
dedicated
point-to-point
limited
transmission facilities by presenting, as witness Engr. Vasco
Saldana. It claimed that it will ensure to possess the capability to fully
operate and maintain said point-to-point transmission facilities. The
chosen operations and maintenance strategy will ensure that the
SACASOL - Cadiz to San Carlos will be in compliance with the
requirements and standards under the Philippine Grid Code (PGC).

Considering that the subject facility is less than three (3) meters
from the connection point, it may operate the subject facility in
constant coordination with the NGCP or whoever will be the operator
of the Cadiz-San Carlos 69 kV line.
A perusal of the evidence presented herein showed that the
approval of SACASOL's application 1 for authority to develop, own,
and operate dedicated point-to-point limited transmission facilities to
connect the 19.8 MW Solar Power Plant to the Cadiz-San Carlos 69
kV Line, with prayer for provisional authority is in accordance with the
provisions of Section 9 paragraph 3 of Republic Act No. 9136 (R.A.
9136), or the "Electric Power Industry Reform Act of 2001" (EPIRA)
and will redound to the benefit of the electricity consumers in terms of
continuous, quality, reliable and efficient power supply.

WHEREFORE,
the foregoing
premises considered,
the
application filed by San Carlos Solar Energy, Inc. (SACASOL) for
authority to develop, own, and operate dedicated point-to-point
limited transmission facilities to connect the 19.8 MW Solar Power
Plant to the Cadiz-San Carlos 69 kV Line, with prayer for provisional
authority, is hereby APPROVED subject to the following conditions:

a) In the operation and maintenance of the subject


dedicated point to point transmission facilities, SACASOL
shall be in constant coordination with the National Grid
Corporation of the Philippines (NGCP);
b) The subject facilities shall be developed and constructed
in accordance with the System Impact Study (SIS) and
Facility Study (FS) requirements;
c) The subject facilities
generating facility; and

Relative thereto, SACASOL is hereby directed to remit to the


Commission, within fifteen (15) days from receipt hereof, a total
permit fee in the amount of Two Hundred Fifty-Six Thousand
Seven Hundred Eighty-Three Pesos (PhP256,783.00), computed
