We have reviewed the accompanying statement of unaurlited financial results of SEAMEC

Limited ('the Company') for the quafter ended December 3 1,2016 and year to date from April
01, 2016 to December 3l ,2016 (the "statement") attaclred herewitlr, being subrnitted by the
Cornparry plrrsuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and
Disclosure Requirenrents) Regulations, 2015, read with SLIBl Circular No.
CIR/CFD/F Acl62l20l6 dated Julv 05, 2016.

2 This Statement is the responsibility of the Company's management and has been approved by the
Board of Directors. Our responsibility is to issue a repoft ou the Statement based on ourreview.

3 We conducted our review in accordance with the Standard on Review Engagements (SRE) 2410,
Review of lnterirn Financial Inforrnatiorr Perfonned by the lndependent ALrditor of the Entity
issued by the lnstitute of Chartered Accountants of India. This standard requires that we plan and
perlbrrn the review to obtain moderate assurance as to whether the Statement is free of rnaterial
misstatenrent. A review is limited prirnarily to inquiries of company personnel and analytical
procedures applied to fiuancial data and thus provides less assurance than an audit. We have not
performed an audit and accordingly, we do not express an audit opirrion.

4 Based on our review conducted as above, nothing has corne to our attention that causes us to
believe that the accompanying Statement, prepared in accordance with recognition and
rneasurer-nent principles laid down iu the applicable [ndian Accountiug Standards prescribed
under Sectiorr 133 of the Cornpanies Act,2013, read with relevarrt rules issued thereunder and
otlrer recognised accour.rting practices and policies has not disclosed the inforrnatiorr required to
be disclosed in terms of Regulation 33 o1' the SEBI tiListing Obligations and Disclosure
Requirements) Regulations, 2015, read with SEBI Circular No. CIR/CFDlFACl62120l6 dated
July 5,2016, including the manrler in which it is to be disclosed, or that it contains any rnaterial
misstatement.

5. We draw attention to note 5 of the Statement, regarding rnanagerial rernuneration for the year
ended March 31,2016 being in excess of the applicable lirmits under the Companies Act. 2013.
