MEMORANDUM OF AGREEMENT

KNOWN ALL MEN BY THESE PRESENTS:

This agreement made and entered into by and between:

VERNON MARQUEZ HAULING SERVICES, a corporation

existing under Philippine laws with business address at
Aparri, Cagayan, represented by its Owner, VERNON
MARQUEZ hereinafter referred to as HAULER,

-AND -

LOCAL GOVERNMENT UNIT OF CALAYAN, a local government

untit with address at Calayan, Cagayan, represented by its
Local Chief Executive, MAYOR ALFONSO M. LLOPIS,
hereinafter referred to as CLIENT,

-WITNESSETH -

That on June 14, 2014, HAULER received a request from

CLIENT to send salvage boat and personnel to survey and
conduct salvage operation of MV Eagle Ferry, which was
reported to have partially sunk at Brangay Dadao, Calayan
Island, Cagayan;

That HAULER agreed to shoulder all expenses first as

stipulated in the contract entered into by the Hauler and the
Client;

That salvage and towing operations on MV Eagle Ferry

has been completed three days later or on June 17, 2014;

That Hauler is now collecting from the Client all

expenses the former has shouldered during the towing
operations;
 That Client authorizes the Hauler to collect directly from
the General Service Insurance System, proceeds of the
insurance for MV Eagle Ferry.

IN WITNESS WHEREOF, the parties have hereunto

signed these presents in Tuguegarao City, Cagayan,
Philippines, this 26th day of October 2016.
