TermsandConditionsfor3DSecureprocessintroducedbyICICIBankLimited("ICICIBank")fortheCard

Theseterms(the"Terms")regulatesthe3DSecureService(VerifiedbyVisa("VbV")forVisacardsimplementedforICICIBankCard/s.Allcapitalizedtermsusedhereinbutnotdefined
shallhavethesamemeaningasprescribedunderthePrimaryTermsandConditionorGeneralTermsandConditions.

Inadditiontothefollowing,thewordsandphrasesintheseTermsandConditionsshallhavethemeaningsasdefinedunderthePrimaryTermsandConditionorGeneralTermsand
Conditions.

"Card"shallmeanaVisaCardissuedbyICICIBanktotheCardmember.

"Cardmember"meansanypersonholdingavalidCardissuedbyICICIBankandwhodesirestomakepaymentstotheMerchantusinghis/herCardthroughtheInternet.

"Merchant"meansanypersonwhoownsormanagesoroperatestheMerchantEstablishmentthroughawebsiteandacceptsonlinepaymentmadebytheCardmemberusingtheCard
fortheproductand/orservicepurchasedthroughtheMerchantswebsite.

"3DSecurePIN"meansthe6digitnumericpersonalidentificationnumbercreatedbytheCardmemberinrelationtotheCardandapprovedbyICICIBankfromtimetotimeforthe
purposeofauthenticatingtheCardmemberwhilemakingonlinepaymentusingtheCard.

"Service"meansthe3DSecureprocessVerifiedbyVisaintroducedbyICICIBankforthepurposeofauthenticatingtheCardmembertomakeonlinepaymentsthroughtheuseofthe
Card.

"UserID"meanstheCardnumberprovidedtotheCardmemberbyICICIBanktoenableCardmembertomakeCardpaymentsthroughtheInternetusingtheCard.

"Website"meansthewebsiteofICICIBanklocatedattheURLhttps://www.3dsecure.icicibank.com/.

1.APPLICABILITYOFTERMS:

TheseTermsformthecontractbetweentheCardmemberandICICIBankfortheusageofService.TheCardmembershallcreatethe3DSecurePINinthemannerprescribedbyICICI
BankatitssolediscretionfromtimetotimeforuseoftheService.TheseTermsareinadditiontoandnotinderogationoftheTermsandConditionsgoverningICICIBankCards
Facilities(hereinafterreferredtoasthe"PrimaryTermsandConditions"),TermsandConditionsforICICIBankDebitCards,TermsandConditionsgoverningInternetBankingServices
ofICICIBank,TermsandconditiongoverningICICIBankPhoneBankingServices,TermsandConditionsgoverningICICIBanksSavingsAccount(hereinafterreferredtoasthe"General
Terms and Conditions"). Notwithstanding anything contained herein, all terms and conditions stipulated by ICICI Bank and/or its Affiliates pertaining to the Card and/or to any
services/facilitiesofferedbyICICIBankand/oritsAffiliates,shallcontinuetobeapplicabletotheCardmember,provided,however,intheeventofaconflictinsuchothertermsand
conditionsstipulatedbyICICIBankand/oritsAffiliatesandtheTermsherein,theTermsshallhaveanoverridingeffect.

2.TERMSFORCREATIONOF3DSECUREPIN:

TheCardmembershallregisterfortheServicebyprovidingsuchpersonalandCarddetailsasshallberequiredbyICICIBankfromtimetotimeforthepurposeofcreatingthe3D
SecurePIN.ICICIBankshallvalidatetheCardandpersonaldetailsprovidedbytheCardmembertoenabletheCardmembertocreatethe3DSecurePIN.Intheeventanyofthe
personalorCarddetailsoftheCardmemberisnotasperthedetailsavailablewithICICIBank,ICICIBankshallatitssolediscretionrejectthecreationof3DSecurePINbythe
CardmemberandtheCardmembershallberequiredtoupdatehispersonalandCarddetailswithICICIBankinthemannerprescribedbyICICIBank.TheCardnumbershallbetheUser
IDforthepurposesofauthenticationoftheCardmember.

Onsuccessfulcreationofthe3DSecurePINbytheCardmember,ICICIBankshallcommunicatethesametotheCardmemberinamannerasshallbedecidedbyICICIBankatitssole
discretion.IftheCardmemberhasmorethanoneCardlinkedtothesameCardAccount,theCardmembershallberequiredtocreate3DSecurePINforeachoftheCardissuedtohim
byICICIBank.

3.TERMSFORTHECARDMEBERREGISTEREDFORTHESERVICETHROUGHTHEINFINITYPASSWORD:

IntheeventtheCardmemberholdingaCardisalreadyregisteredfortheServicethroughtheInfinity,he/sheshallberequiredtoreregisterfortheServiceandcreatea3DSecurePIN
inthemannerasshallbeprescribedbyICICIBankfromtimetotime.

4.CHARGES:

ICICIBankreservestherighttochargeandrecoverfromtheCardmember,servicecharges/otherapplicablechargesforprovidingtheService.TheCardmemberherebyauthorises
ICICIBanktorecovertheservicechargebydebitingtheCardoftheCardmemberorbysendingabilltotheCardmemberwhowillbeliabletomakethepaymentwithinthespecified
period.FailuretodososhallresultinrecoveryoftheservicechargebyICICIBankinamannerasICICIBankmaydeemfitalongwithsuchinterest,ifany,and/orsuspensionofthe
ServicewithoutanyliabilitytoICICIBank.

5.AUTHORITYTOICICIBANK:

ICICIBankshallhavenoobligationtoverifytheauthenticityofanytransaction/instructionreceivedorpurportedtohavebeenreceivedfromtheCardmemberotherthanbymeansof
verificationofthe3DSecurePIN.WhileICICIBankandtheAffiliatesshallendeavourtocarryouttheinstructionspromptly,theyshallnotberesponsibleforanydelayincarryingonthe
instructionsduetoanyreasonwhatsoever,includingduetofailureofoperationalsystemsoranyrequirementoflaw.ICICIBankmayrefusetocomplywiththeinstructionswithout
assigninganyreasonandshallnotbeunderanydutytoassesstheprudenceorotherwiseofanyinstructionandhavetherighttosuspendtheServiceifithasreasontobelievethatthe
CardmembersinstructionswillleadorexposetodirectorindirectlossormayrequireanindemnityfromtheCardmember.

6.LIABILITYOFTHECARDMEMBERANDICICIBANK:

NeitherICICIBanknortheAffiliatesshallbeliableforanyunauthorisedtransactionsoccurringthroughtheuseoftheServiceandtheCardmemberherebyfullyindemnifiesandholds
ICICIBankandtheAffiliatesharmlessagainstanyaction,suit,proceedinginitiatedagainstitoranyloss,costordamageincurredbyitasaresultthereof.ICICIBankshallunderno
circumstancebeheldliabletotheCardmemberiftheServiceisnotavailableinthedesiredmannerforreasonsincludingbutnotlimitedtonaturalcalamities,legalrestraints,faultsin
thetelecommunicationnetworkornetworkfailure,oranyotherreasonbeyondthecontrolofICICIBank.UndernocircumstancesshallICICIBankbeliableforanydamageswhatsoever
whethersuchdamagesaredirect,indirect,incidentalconsequentialandirrespectiveofwhetheranyclaimisbasedonlossofrevenue,interruptionofbusinessoranylossofany
character or nature whatsoever and whether sustained by the Cardmember or by any other person. Illegal or improper use of the Service shall render the Cardmember liable for
paymentoffinancialchargesasdecidedbyICICIBankorwillresultinsuspensionoftheService.

7.DISCLAIMEROFWARRANTIES:

TheCardmemberexpresslyagreesthatuseoftheWebsiteisatitssolerisk.TheWebsiteisprovidedonan"asis"and"asavailable"basis.ExceptaswarrantedintheTerms,ICICIBank
expresslydisclaimsallwarrantiesofanykind,whetherexpressorimpliedorstatutory,including,butnotlimitedtotheimpliedwarrantiesofmerchantability,fitnessforaparticular
purpose,dataaccuracyandcompleteness,andanywarrantiesrelatingtononinfringementintheServiceprovidedbyICICIBank.

ICICIBankdoesnotwarrantthataccesstotheWebsiteandServiceshallbeuninterrupted,timely,secure,orerrorfreenordoesitmakeanywarrantyastotheresultsthatmaybe
obtainedfromtheWebsiteoruse,accuracyorreliabilityoftheService.

ICICIBankwillnotbeliableforanyvirusthatmayentertheCardmemberssystemasaresultoftheCardmemberusingtheService.ICICIBankdoesnotguaranteetotheCardmember
oranyotherthirdpartythattheServicewouldbevirusfree.

8.GENERALTERMS:

The Cardmember acknowledges, represents and warrants that the 3D Secure PIN created by the Cardmember enable him/her to make online payment using the Card and that
Cardmemberisthesoleandexclusiveownerandistheonlyauthoriseduserofthe3DSecurePINandacceptssoleresponsibilityforuse,confidentialityandprotectionofthe3DSecure

The Cardmember grants express authority to ICICI Bank for carrying out transactions and instructions authenticated by such 3D Secure PIN. The Cardmember unconditionally
undertakestohavethe3DSecurePINofsuchnumberofdigitsasmaybenotifiedbyICICIBankfromtimetotimeandensurethatthesameiskeptconfidentialandtonotletany
unauthorisedpersonhaveaccesstothe3DSecurePINwhiletheCardmemberispurchasingtheproductsand/orservicefromtheMerchantswebsite.IftheCardmemberforgetsthe3D
SecurePIN,thentheCardmembermayrequestfortheissueofanew3DSecurePINbyclickingonthe"Forgot3DSecurePIN"andvalidatinghimselfinthemannerrequiredbyICICI
Bankfromtimetotimeandthisshallnotbeconstruedasthecommencementofanewcontract.Such3DSecurePINmaybeissuedwithinsuchtimeasmaybeintimatedbyICICIBank
fromtimetotime.TheCardmemberagreesandacknowledgesthatICICIBankshallinnowaybeheldresponsibleorliableiftheCardmemberincursanylossasaresultofinformation
being disclosed regarding his Card(s) or ICICI Bank carrying the instruction of the Cardmember and the Cardmember shall fully indemnify and hold harmless ICICI Bank and the
Affiliatesinrespectofthesame.TheCardmembershallmaintainthesecrecyofallinformationofconfidentialnatureandshallensurethatthesameisnotdisclosedtoanyperson
voluntarily, accidentally or by mistake. The Cardmember agrees and acknowledges that any loss, damage, liability caused or suffered by the Cardmember due to disclosure of all
informationofconfidentialnatureshallbebornebytheCardmemberwithouttransferringanyliabilityorresponsibilitytowardsICICIBank.

IntheeventtheCardgetsblockedafteranumberofincorrect3DSecurePINattempts,uptosuchnumberasmaybeintimatedbyICICIBankfromtimetotime,theCardmembershall
berequiredtocontactICICIBank24hoursCustomerCareCentreandrequestforunblockingofhisCardaftersuccessfullyauthenticatinghimself.

ChangeofTerms:ThisServiceshallbeprovidedatthediscretionofICICIBankwhoreservestherighttoadd,revise,suspendinwholeorinpartanyoftheServicesprovidedbyit.By
usingtheService,theCardmembershallbedeemedtohaveacceptedtheseTerms.ICICIBankshallhavetheabsolutediscretiontoamendorsupplementanyoftheTermsand/or
termsandconditionsstipulatedbyICICIBankand/oritsAffiliatespertainingtotheServiceand/ortoanyservices/facilitiesofferedbyICICIBankand/oritsAffiliatesatanytimeand
shallgivepriornoticeofonemonthbyhostingthesameontheWebsiteorinanyothermannerasdecidedbyICICIBank.TheCardmembershallberesponsibleforregularlyreviewing
these Terms and the terms and conditions stipulated by ICICI Bank and/or its Affiliates including amendments thereto as may be posted on the Website. Such amended Terms
stipulatedbyICICIBankand/oritsAffiliateswillthereuponapplytoandbebindingontheCardmemberattheexpiryofonemonthfromthedateofnotice.

ByusinganynewservicesasmaybeintroducedbyICICIBank,theCardmembershallbedeemedtohaveacceptedthechangedtermsandconditionsstipulatedbyICICIBankand/orits
Affiliates.

TheCardmemberisawarethatincaseofonlinepaymentusingtheCardovertheInternet,theCardmemberwillnotsignthechargeslipsatthetimeofmakingtheonlinepayment.
Accordingly,theCardmemberacceptsthat,intheeventofanydisputeregardingtheauthenticityorvalidityofsuchapaymentafterbeingauthenticatedthroughtheService,forany
reasonwhatsoever,theCardmembershallbeliabletopaytheoutstandingamountpayable.ICICIBankshallnotbeliable,inanymannerwhatsoever,forthesame.

TheCardmembershallbesolelyresponsibleforthepaymentsmadethroughtheInternetevenintheeventoftheCardmemberclaimingnonpossessionoftheCardwithhim/her.The
CardmembershallfurtherbesolelyresponsibleforanypaymentsmadeusingtheCardthroughtheInternetfortravelandentertainmentpurposesandcannotclaimtheinvalidityofthe
same.

TheCardmemberagreesandacknowledgesthatICICIBankshallinnowaybeheldresponsibleorliableiftheCardmemberincursanylossasaresultofcarryingtheinstructionofthe
Cardmemberpursuanttotheverificationthroughthe3DSecurePINandtheCardmembershallfullyindemnifyandholdharmlessICICIBankandtheAffiliatesinrespectofthesame.
The Cardmember shall maintain the secrecy of all information of confidential nature and shall ensure that the same is not disclosed to any person voluntarily, accidentally or by
mistake.TheCardmemberagreesandacknowledgesthatanyloss,damage,liabilitycausedorsufferedbytheCardmemberduetodisclosureofallinformationofconfidentialnature
shallbebornebytheCardmemberwithouttransferringanyliabilityorresponsibilitytowardsICICIBank.TheCardmembershallcomplywithsuchguidelines,instructionsortermsas
ICICIBankmayprescribefromtimetotimewithrespecttothe3DSecurePIN.

AnypaymentmadeontheInternetusingtheCardmembers3DSecurePINshallbedeemedtobeaninstructionreceivedfromtheCardmember.TheCardmembers3DSecurePIN
createdbyhim/her,allowsCardmembertomakepaymentsthroughInternetandthatCardmemberisthesoleandexclusiveowneroftheCardmembers3DSecurePINandacceptssole
responsibilityforuse,confidentialityandprotectionofthe3DSecurePIN,aswellasforallpaymentsmadeusingsuch3DSecurePIN.TheuseoftheCardbytheCardmemberfor
makingpaymentsontheWebsiteisattheCardmembersownriskandistheCardmemberssoleresponsibility.

TheCardmembershallindemnifyandholdICICIBank,includingitsofficers,employeesandagents,indemnifiedagainstalllossesandexpensesonfullindemnitybasiswhichICICIBank
mayincur,sustain,sufferorislikelytosufferinconnectionwiththeexecutionoftheCardmembersinstructionsandagainstallactions,claims,demands,proceedings,losses,damages,
costs,chargesandexpensesasaconsequenceorbyreasonofprovidingtheService.

ICICIBankhasnoobligationtoverifytheauthenticityofanypaymentmadefromtheCardmembers3DSecurePINotherthanbymeansofverificationoftheCardmembers3DSecure
PIN.

ProprietaryRights:ICICIBankshallmakereasonableeffortstoadvisefromtimetotimethesoftwaresuchasbrowsers,whicharerequiredforavailingoftheService.Therewillbeno
obligationonICICIBanktosupportalloranyversionsofthesoftwareasmayberequiredforofferingtheService.TheCardmemberacknowledgesthatthesoftwareunderlyingthe
Servicearethelegalpropertyoftherespectivevendors.ThepermissiongivenbyICICIBanktoaccesstheservicewillnotconveyanyproprietaryorownershiprightsinsuchsoftware.
TheCardmembershallnotattempttomodify,translate,disassemble,decompileorreverseengineerthesoftwareunderlyingtheServiceorcreateanyderivativeproductbasedonthe
software.
