At close ofbusiness on 28 February t h e i s s u e d s h a r e c a p i t a l o f S t a n d a r d C h a r t e r e d P L C c o n s i s t e d of:

99,250,000 per cent non-cumulative irredeemable preference shares of each with no equity voting
rights;

96,035,000 p e r c e n t n o n - c u m u l a t i v e i r r e d e e m a b l e p r e f e r e n c e s h a r e s o f 1 e a c h w i t h n o e q u i t y v o t i n g
rights;

7,500 6.409 per cent non-cumulative redeemable preference shares of U S $ 5 each with no equity voting
