Training Orientation Programme

As per Company Secretaries Regulations, 1982 (amended the significance and methodology of training, business
from time-to-time) every student apart from passing the final environment, corporate culture, communication and
examination of the Institute is also required to possess the behavioural aspects. Keeping in view the above factors, the

Dear Students,
At the out set, I want to take this opportunity to wish you all a happy, healthy, safe and prosperous New Year
2007. As we step in the New Year, we look with hope to the year ahead and the opportunities it will bring for us.
Hope 2007 is a great one for all of us. May God bless you and give you the sagacity to make the right wishes
and the courage and strength to exert, stretch and apply yourselves to fulfill all your wishes.
Friends, time is one of our most precious possessions. Each moment is more precious than its predecessor
and successor moment. The Bhagwat Gita says not even a single moment you should stay without action.
Management experts say that the most valuable commodity in the world is time. If you cannot utilize this
commodity properly then you cannot do any thing properly or efficiently. The gift of time is not ours alone. I am reminded of Steven B. Cloud who
has said that time is given equally to each person. Rich and poor, educated and ignorant, strong and weakevery man, woman and child has the
same twenty-four hours every day. Another important thing about time is that you cannot stop it. There is no way to slow it down, turn it off, adjust
it, store or retrieve it. Time marches on. It may be noted that about 50% of our time is already scheduled i.e., sleeping, eating, personal cleaning,
praying and commuting etc., require about 12 hours daily. Therefore, it is very important to utilize the other 12 hours effectively. Some people
make a lot of contributions whereas others do not even perform their normal 8 hours duty properly. The main reason for higher contributions is
better utilization of time. The world is there to enrich us all provided we spend each moment in benefiting from its immense richness: of knowledge,
wealth, happiness, art, culture, work and interaction.
As I have stated above that time is given equally to each person and it marches on, likewise in my case also time has marched on and my tenure
as the President of the Institute will be over on 19th January 2007. I am proud to be a part of this Institute and profession which has touched new
heights and dimensions in the changing global environment.This is my last communication through the Student Company Secretary to all of you.
During my tenure as the President of the Institute, my endeavour has been to create awareness about the Company Secretaryship course with
vigor and zeal. I have made every possible effort to serve the profession and the students with utmost commitment and I have always tried to do
what was best for the profession and the students. I take this opportunity to narrate some of the major achievements /developments that have
taken place during the year.
ICSI National Award for Excellence in Corporate Governance
Corporate Governance is vital in medium and long-term perspective to enable companies to compete globally in a sustained manner and make
them flourish and grow. It is concerned with the accountability of persons who are managing it towards the stakeholders. The Corporate Governance
Award instituted by the ICSI has created an atmosphere where corporates are striving for excellence in good corporate governance in the global
dynamic environment.
The conferment function for ICSI National Award for Excellence in Corporate Governance for the Sixth consecutive year was held on Saturday,
the 23rd December, 2006 at ITC Hotel Park Sheraton & Towers, Chennai. Shri Surjit Singh Barnala, His Excellency, the Governor of Tamil Nadu
presented the ICSI National Award for Excellence in Corporate Governance for the year 2006 to the two Best Governed Companies viz.
Abhishek Industries Limited & ITC Limited. Shri Pawan Jain, Company Secretary, Abhishek Industries Limited and Shri B B Chatterjee, Company
Secretary, ITC Ltd., received the Awards. The ICSI Life Time Achievement Award was conferred on Dr. J J Irani, Director Tata Sons Ltd., for
translating excellence in Corporate Governance into reality. The Company Secretaries of the Awardee companies, Shri Pawan Jain, Company
Secretary, Abhishek Industries Ltd., and Shri B B Chatterjee, Company Secretary, ITC Ltd., were also honoured for their contributions.
The function was preceded by a Panel Discussion on Corporate Governance for Corporate Performance. The dignitaries on panel included:Shri
T S Krishna Murthy, Former Chief Election Commissioner of India, Shri Arun Jain, Chairman & Managing Director, Polaris Software Lab Limited,
Dr. K.C. Chakrabarty, Chairman & Managing Director, Indian Bank, Shri K. Raghavendra Rao, Managing Director, Orchid Chemicals &
Pharmaceuticals Ltd., Shri L. Lakshman, Chairman & Managing Director, Rane Holdings Limited, Shri Rajnikant Patel, Managing Director &
CEO, Bombay Stock Exchange Ltd.
A Souvenir and Book on Corporate Governance was also released on the occasion. The Book on Corporate Governance contains Modules for
best practices relating to disclosure of various items of compliances in the light of revised clause 49 of the listing agreement and is a user friendly
treatise on Corporate Governance for Corporates and Professionals. The Prospectus on the Post Membership Qualification Course in Corporate
Governance was also released.
The 34th National Convention
A successful global professional is one who surrounds himself with excellence and is not afraid of it. This was the message of the 34th National
Convention on the theme Reshaping the Profession Creating New Niches organized successfully by the Institute on September 7-9, 2006 at
Kolkata. The Convention was inaugurated by Shri Prem Chand Gupta, Honble Union Minister of Company Affairs, Government of India. Speaking
on the role of Company Secretaries in the emerging regulatory framework and the service delivery systems, Minister stated that it was now the
responsibility of the corporate professionals to spearhead the reform movement. He expressed that the professionals like Company Secretaries
could weave the threads of enterprise, knowledge, experience, idea and tasks into a fabric and could take the corporate sector to excellence.
National Conference of Student Company Secretaries
The National Conference of the Student Company Secretaries is an endeavour to assist the students to find what are the global challenges and
the ways and means to deal with them. Keeping in tune with the global challenges, the Eastern India Regional Council of the Institute organized
its 21st Regional Conference of Student Company Secretaries on July 15, 2006 at Kolkata. Likewise, the Bangalore Chapter of the Institute also
organized 7th National Students Conference on the theme Emerging Areas in the Profession An insight on July 30, 2006 at Bangalore.
Student Activities
Professionals have to communicate at various forums while discharging their professional responsibilities. So they should be capable of
communicating their viewpoint clearly and effectively. Taking cognizance of this desirable necessity, the Institute through its Chapters and

Regional Councils organized various competitions/programmes to enable the students to hone their communication skills. The EIRC of the
Institute organized All India Essay Writing Competition for students on the theme Company Secretary the Corporate Strategist. Ahmedabad
Chapter of the Institute organised 5th All India National Elocution Competition on July 8, 2006 in Ahmedabad. Further, to equip the students to
understand the technicalities of representing before the tribunals and quasi-judicial bodies, NIRC of the Institute organised 4th All India Moot Court
Competition on July 21-23, 2006 at New Delhi. Furthermore, NIRC also organised Regional Level Moot Court Competition for students on July
16, 2006 at New Delhi. That apart, SIRC of the Institute also organized 6th All India Company Law Quiz on August 12, 2006 at Chennai.
SMTP
CCRT Navi Mumbai organised Residential Secretarial Modular Training Programmes (RSMTP) for those students who passed the CS-Final
examination. Various programmes on topics of practical and general managerial relevance were also conducted in the evening. In addition to the
subjects covered under regular SMTP, special emphasis was on management subjects and personality development including Yoga and Meditation
in the morning hours.
Recognition of Company Secretary Qualification
The Institute has always made earnest efforts to secure new recognitions for the CS qualification. The University of Bikaner, Rajasthan has
accorded recognition to Company Secretaryship qualification as equivalent to Post Graduate Degree for the purpose of registration for Ph.D in
the disciplines of Commerce/ Management/Law. Osmania University, Hyderabad has accorded recognition to the CS qualification as equivalent
to M.Com Course and treated it as allied to MBA for the purpose of pursuing Ph.D in Business Management.
Meeting of the International Federation of Company Secretaries
The 3rd meeting of the Governing Body of the International Federation of Company Secretaries (IFCS) was held on July 7, 2006 in Dhaka,
Bangladesh. The Institute of Chartered Secretaries & Managers of Bangladesh, one of the founding members of the IFCS, hosted the meeting.
The meeting of the Governing Body was followed by an International Conference on the Theme: Corporate Management: Global Practice.
Ministers from Govt. of Bangladesh as well as professional luminaries from Bangladesh, India, Kenya, Pakistan and Sri Lanka addressed the
Conference.
At the 3rd meeting of the Governing Body of the IFCS, new President, Vice President and the Secretary of IFCS were elected. Mr. Pir Muhammad
A Kaliya, a member-representative and past President of the Institute of Corporate Secretaries of Pakistan was elected as President of the
Federation. Mr. Mohd. Sanaullah, President of the Institute of Chartered Secretaries & Managers of Bangladesh, was elected, as the Vice
President, while Mr. N K Jain, Secretary & CEO, the Institute of Company Secretaries of India, was re-appointed as the Secretary of the IFCS.
Globalisation of Profession
During the year, the Institute continued with its spreading the wings programme and organised International Conference at Kenya, third meeting
of the IFCS, developed close cooperation with the Company Secretaries in Nepal, with Regulatory Authority in Maldives for its corporate governance
initiatives and published CD on Doing Business in Singapore, to enunciate business knowledge about Singapore.
Foundation Day of the Institute
The Institute celebrated its Foundation Day on December 4, 2006 at Scope Convention Centre, Scope Complex, Lodi Road, New Delhi. Shri
Wajahat Habibullah, Chief Information Commissioner, Central Information Commission delivered the Foundation Day Lecture on the theme
Promoting Professionalism Through Right to Information Act. He said democracy required an informed citizenry and transparency of information
which were vital to its functioning and also to contain corruption and to hold governments and their instrumentalities accountable to the governed.
Audit of Compliance of Labour Laws
In the present global competitive environment where the thrust is on compliances and good corporate governance, the compliance of labour laws
has become as important as any other corporate, economic and securities laws. Recognising this necessity, the Institute has mooted the concept
of audit of compliance of labour laws by practicing Company Secretaries, to help industries and commercial establishments significantly in
improving the standards of labour law compliances. In this regard the Institute organised National Seminar on Labour Law Reforms for Good
Corporate Governance, on April 8, 2006 at New Delhi to create desired awareness on the need for compliance of labour laws. I hope that such
efforts would continue with more vigor and zeal until the goal is achieved.

During the year the Institute has released following new publications :

l Handbook on Arbitration and Alternate Dispute Resolution;
l CD on Doing Business in Singapore.
l Fourth edition of Chartered Secretary on CD ROM containing updations upto July 2006; and
l Corporate Governance Modules of Best Practices (5th edition)
Friends, in todays business climate we are experiencing more interest in professionalism. A professional is recognized when three qualities are
present in him. The first quality is trustworthiness. When trust is present, people will buy from you or recommend your service. Secondly, one
should be helpful. By being helpful, you are essentially putting the other person in a better position. And lastly, a professional must care. Caring
shows a desire to gain a better understanding of an individuals current scenario and what opportunities exist for you. When all three qualities of
a professional are present, expect to see not only a professional but one that gets paid well and has a well balanced life.

Listing of Securities on Indian Stock Exchanges is essentially governed by the provisions in the Companies Act, 1956, the Securities
Contracts (Regulation) Act, 1956, the Securities Contracts (Regulation) Rules, 1957, Rules, bye laws, regulations of concerned stock exchange,

- (a) is a registered student and produces a certificate from the head of the coaching administration ( by whichever name designated) to the effect that he has
undergone satisfactorily a course of postal or oral tuition for the Intermediate examination; and
- (b) has successfully completed computer training program as may be specified from time to time by the Council and in the manner so specified or
exempted there from;
- (c) applies with such examination fee as may be determined by the council from time to time so as to reach the Secretary, in accordance with the
directions given by the Council.
In terms of the aforesaid amendment in the Company Secretaries Regulations, 1982, all students are required to successfully undergo a Compulsory
Computer Training Programme for becoming eligible for appearing in the CS Intermediate Examinations from June, 2007 examinations onwards.
The Institute, in compliance of the aforesaid amendments, has tied up with M/s NIIT through which 70 hours of computer training shall be provided to the
students/members of the Institute in all Centres of NIIT all over the country. To undergo this course, a student/member has to approach any NIIT Centre on
all India basis. To take admission, he/she has to deposit the requisite fees at the respective NIIT Centre and fulfill the formalities as per the requirements of
the Computer Training Centre.
The list of NIIT Centres including detailed course contents, module details and topic-wise time duration etc. have been published on the website of the
ICSI i.e. www.icsi.edu under FAQ.

Every student of the Institute who has been sponsored for 15 months training either in a company or under a Company Secretary in practice
is compulsorily required to attend and complete 25 Hours Academic Development Programmes (ADP). The duration of each ADP would be eight
hours and those who have attended three such programmes would be deemed to have attended 25 Hours ADP. Fee Rs. 250/- per participant.
