Madam, Gentlemen: : New Mauritius Hotels Ltd (NMH) | act on behalf of Sunnystars Resorts Holdings Ltd and | am instructed to report to you the facts set out hereunder. 1. In or about June 2015, the promoters of my client decided to look into doing a Voluntary Offer on NM and taking effective control of the company. 2. On or about 24% September 2015, they caused my client to be incorporated under the laws of Mauritius as a Special Purpose Vehicle for the purpose of the envisaged Voluntary Offer. 1. On or about 22% October 2015, my client purchased 1,008 shares in NMH at a price of Rs.17.85, 4. My client's promoters had already caused to be incorporated two other Special Purpose Vehicles, under the name of Lion Express Ltd and Mayan Ltd, under the laws of the Republic of Seychelles for the purpose of buying shares in NMH on behalf of Sunnystars Resorts Holdings Ltd, {n oF about November 2025, my client was contacted by one named individual (hereinafter referred to as ‘the broker’) who informed it that he had a client (holding shares through two entities) who ‘was selling approximately 4.7% shares in New Mauritius Hotels Ltd (NMH) and he had heard that my
