1.SCOPEOFWORK

TheArchitectisrequiredtoprovideservicesinrespectofthefollowing:

1.1TakingClient'sinstructionsandpreparationofdesignbrief.

2.2Siteevaluation,analysisandimpactofexistingand/orproposeddevelopmentonitsimmediate
environs.

3.3Designandsitedevelopment.

4.4Structuraldesign.

5.5Sanitary,plumbing,drainage,watersupplyandseweragedesign.

6.6Electrical,electronic,communicationsystemsanddesign.

7.7Heating,ventilationandairconditioningdesign(HVAC)andothermechanicalsystems.

8.8Elevators,escalators,etc.

9.9Firedetection,FireprotectionandSecuritysystemsetc.

10.10PeriodicinspectionandevaluationofConstructionworks.

2.SCHEDULEOFSERVICES:

TheArchitectshall,aftertakinginstructionsfromtheClient,renderthefollowingservices:

CONCEPTDESIGN[STAGE1]:

2.01AscertainClient'srequirements,examinesiteconstraints&potentialandprepareadesignbrieffor
Client'sapproval.

2.02Preparereportonsiteevaluation,stateofexistingbuildings,ifanyandanalysisandimpactof
existingand/orproposeddevelopmentonitsimmediateenvirons.
2.03PreparedrawingsanddocumentstoenabletheClienttogetdonethedetailedsurveyandsoil
investigationatthesiteoftheproject.

2.04Furnishreportonmeasuresrequiredtobetakentomitigatetheadverseimpact,ifany,ofthe
existingand/orproposeddevelopmentonitsimmediateenvirons.

2.05Prepareconceptualdesignswithreferencetorequirementsgivenandprepareroughestimateofcost
onareabasis.

PRELIMINARYDESIGNANDDRAWINGS[STAGE2]:

2.06Modifytheconceptualdesignsincorporatingrequiredchangesandpreparethepreliminarydrawings,
sketches,studymodel,etc.,fortheClient'sapprovalalongwithpreliminaryestimateofcostonarea
basis.

DRAWINGSFORCLIENT'S/STATUTORYAPPROVALS[STAGE3]:

2.07PreparedrawingsnecessaryforClient's/statutoryapprovalsandensurecompliancewithcodes,
standardsandlegislation,asapplicableandassisttheClientinobtainingthestatutoryapprovalsthereof,if
required.

WORKINGDRAWINGSANDTENDERDOCUMENTS[STAGE4]:

2.08Prepareworkingdrawings,specificationsandscheduleofquantitiessufficienttoprepareestimateof
costandtenderdocumentsincludingcodeofpracticecoveringaspectslikemodeofmeasurement,method
ofpayments,qualitycontrolproceduresonmaterials&worksandotherconditionsofcontract.

APPOINTMENTOFCONTRACTORS[STAGE5]:

2.09Invite,receiveandanalysetendersadviseClientonappointmentofcontractors.

CONSTRUCTION[STAGE6]:

2.10Prepareandissueworkingdrawingsanddetailsforproperexecutionofworksduringconstruction.

2.11Approvesamplesofvariouselementsandcomponents.

2.12Checkandapproveshopdrawingssubmittedbythecontractor/vendors.

2.13Visitthesiteofwork,atintervalsmutuallyagreedupon,toinspectandevaluatetheConstruction
Worksandwherenecessaryclarifyanydecision,offerinterpretationofthedrawings/specifications,attend
conferencesandmeetingstoensurethattheprojectproceedsgenerallyinaccordancewiththeconditions
ofcontractandkeeptheClientinformedandrenderadviceonactions,ifrequired.

2.14Inordertoensurethattheworkatsiteproceedsinaccordancewiththecontractdocuments/
drawingsandtoexercisetimeandqualitycontrols,thedaytodaysupervisionwillbecarriedoutbya
ConstructionManager(ClerkofWorks/SiteSupervisororConstructionManagementAgencyincaseofa
largeandcomplexproject),whoshallworkundertheguidanceanddirectionoftheArchitectandshallbe
appointedandpaidbytheClient.

2.15IssueCertificateofVirtualCompletionofworks.

COMPLETION[STAGE7]:

2.16PrepareandsubmitcompletionreportsanddrawingsfortheprojectasrequiredandassisttheClient
inobtaining"Completion/OccupancyCertificate"fromstatutoryauthorities,whereverrequired.
2.17Issuetwosetsofasbuiltdrawingsincludingservicesandstructures.

3.PROFESSIONALFEE:

3.01InconsiderationoftheprofessionalservicesrenderedbytheArchitect,heshallbepaidprofessional
feeandotherchargesinaccordancewiththeScaleofCharges.

3.02Anytaxleviedbylaw,suchasServicetax,etc.contingenttoprofessionalservicesrenderedbythe
Architect,shallbepayablebytheClient,overandabovethegrossfeeschargedbytheArchitectin
relationtotheservicesprovided.

4.SCHEDULEOFPAYMENT:

TheArchitectshallbepaidprofessionalfeeinthefollowingstagesconsistentwiththeworkdoneplus
otherchargesandreimbursableexpensesasagreedupon:

5.EFFECTINGPAYMENTTOTHEARCHITECT:

5.1ThefeepayabletotheArchitectshallbecomputedontheactualcostofworksoncompletion.The
paymentduetotheArchitectatdifferentstagesbecomputedonthefollowingbasis:

5.1.1Retainer:Onroughestimateofcost.

5.1.2AtStage1:Onroughestimateofcost.

5.1.3AtStages2to4:Onpreliminaryestimateofcost.

5.1.4AtStages5to6b:Acceptedtendercost.
5.1.5AtStage7:Actualtotalcost.

5.2Progressive,onaccount,paymentsshallbemadebytheClienttotheArchitectagainstanyofthe
abovestagesbasedonthequantumofworkdoneduringthatstage,asmaybemutuallyagreedto
betweentheClientandtheArchitect.

5.3NodeductionsshallbemadefromthefeeoftheArchitectonaccountofpenalty,liquidateddamages,
partratesorothersumswithheldfrompaymentorrecoveredfromcontractors/suppliers.

5.4Whentheworkisexecutedwhollyorinpartwitholdmaterialsorlabourorcarriageisprovidedbythe
Client,thepercentagefeesshallbecalculatedasiftheworkhadbeenexecutedwhollybythecontractor
supplyingalllabourandnewmaterials.

5.5Theactualcostofthecompletedworksshallincludecostofexecutionofassignedworks,referredtoin
ScopeofWorkandalsothecostofequipment&machinerysuchasTransformers,DGSets,Substations,
Lifts,AirConditioningMachines,Pumps&Motors,WaterandSewageTreatmentPlant,etc.,butexcluding
thecostofland.

6.DOCUMENTATIONANDCOMMUNICATIONCHARGES:

Apartfromtheprofessionalfee,theClientshallpaytotheArchitectDocumentationandCommunication
charges,@10%oftheprofessionalfeepayabletotheArchitectatallstages.

7.REIMBURSABLEEXPENSES:

InadditiontotheamountsreimbursableagainstsitevisitsbytheArchitect/Consultant,theClientwill
reimbursetheArchitectthefollowingexpensesincurredbyhimfordischargeofhisobligations:

7.01.Actualcostoftravel(to&fro),boarding&lodgingandlocaltransportforanyvisitmadebyhisstaff
tothesiteorsuchotherplaceasmaybenecessaryinconnectionwiththeexecutionofworkandin
connectionwiththeperformanceofdutiesreferredtointhisagreement.

7.02.Costofpresentationmodels,computersimulation,presentationdrawings,etc.,preparedatthe
instanceoftheClientforpurposesotherthantheDesignandexecutionoftheproject.

8.CLIENT'SROLEANDRESPONSIBILITIES:

TheClientshalldischargeallhisobligationsconnectedwiththeprojectandengagementoftheArchitectas
follows:

8.01Toprovidedetailedrequirementsoftheproject.

8.02Toprovidepropertylease/ownershipdocuments.

8.03Toprovideasiteplan,toasuitablescale,showingboundaries,contoursatsuitableintervals,existing
physicalfeaturesincludinganyexistingroads,paths,trees,existingstructures,existingserviceandutility
linesandsuchlinestowhichtheproposedservicecanbeconnected.Incasesuchinformationisnot
readilyavailable,theClientshallarrangeforthesurvey/collectionofnecessaryinformationandpayfor
thesame.

8.04TofurnishreportsonsoilconditionsandtestasrequiredbytheArchitectorpayforthepreparation
ofthesame.

8.05Tofurnishspecificconditions/Statutorystipulations/CodesofPractice/Scheduleofrates,etc.,
desiredtobefollowed.
8.06Topayallthefees,levies,securitydepositsandexpensesinrespectofstatutorysanction.

8.07TogiveeffecttotheprofessionaladviceoftheArchitectandcausenochangesinthedrawingsand
documentswithouttheconsentoftheArchitect.

8.08TohonourArchitect'sbillswithinonemonthofitssubmission.

8.09ToappointaConstructionManager(ClerkofWorks/SiteSupervisororConstructionManagement
Agencyincaseofalargeandcomplexproject)aspertheArchitect'sadvice.

9.EXECUTIONOFTHEASSIGNMENT:

9.01TheArchitectshallkeeptheClientinformedabouttheprogressofworkinhisoffice.

9.02TheArchitectshallappointspecialisedconsultantsinconsultationwiththeClient,ifnecessary.

9.03TheArchitectshallberesponsibleforthedirectionandintegrationoftheconsultantswork.The
consultants,however,shallbefullyresponsibleforthecalculations,thedetaileddesignandperiodic
inspectionandevaluationoftheworkentrustedtothem.TheArchitectshall,ifrequested,makeavailable
thedesigncalculations.

9.04TheArchitectwilladvisetheClientontheTimeSchedule(BarChart/PERT/CPMNetwork)preparedby
thecontractorsforthecompletionofwork,ifrequired.

9.05TheArchitectshallsupplytotheClient,freeofcost,uptosixsetsofdrawingsatdifferentstages.

9.06TheArchitectshallnotmakeanydeviations,alterationsoromissionsfromtheapproveddrawings,
involvingfinancialimplicationswithoutpriorconsentoftheClient.

9.07AnyprofessionalservicestoberenderedbytheArchitectattheinstanceoftheClientafterthe
agreedprojectcompletionperiodshallbecompensatedforonmutuallyagreedterms.

9.08TheArchitectshallexerciseallreasonableskill,careanddiligenceinthedischargeofhisdutiesand
shallexercisesuchgeneralsuperintendenceandinspectionasmaybenecessarytoensurethatworksare
beingexecutedinaccordancewiththeConditionsofContract.

9.09Anyrevisioninthedrawings,tendersanddocuments,onceapproved,requiredtobemadebythe
ClientshallbecompensatedasadditionalservicesrenderedbytheArchitectandpaidfor@50%ofthefee
prescribedfortherelevantstage(s).

9.10Nochangeshallbemadeintheapproveddrawingsandspecificationsatsitewithouttheconsentof
theArchitect.

9.11Anycurtailmentoftheprofessionalservices,beyondStage2,shallmakeitobligatoryfortheclientto
payatleast20%ofthefeefortheremainingStage(s)ofthecurtailedwork/Services.

10.TIMESCHEDULE:

TheArchitectshall,inconsultationwiththeClient,prepareaTimeScheduleinrespectofvariousservices
toberenderedanddischargeofClient'sobligations.

11.INDEMNIFICATION:

IntheeventthataclaimorsuitisbroughtagainsttheArchitectortheConsultantsbyanythirdpartyfor
damagesarisingfrompersonalinjuryorpropertydamagecausedwhollybytheClient,oranyone
employedbytheClient,oranyoneforwhoseactstheClientmaybeheldresponsible,thentheClientshall
indemnifytheArchitectandfullyreimburseanyloss,damageorexpenses,includingtheattorney'sfees,
whichtheArchitectmayincurinconnectiontherewith.

12.OWNERSHIPOFCOPYRIGHT:

ArchitecturaldesignisanintellectualpropertyoftheArchitect.Thedrawings,specifications,documents
andmodelsasinstrumentsofservicearethepropertyoftheArchitectwhethertheproject,forwhichthey
aremade,isexecutedornot.TheClientshallretaincopiesoftheArchitect'smodels,drawings,
specificationsandotherdocumentsforhisinformationanduseinconnectionwiththeproject.Theseshall
notbeusedforanyotherprojectbytheClientortheArchitectoranyotherperson,exceptforthe
repetitionasstipulatedintheScaleofCharges.

13.TERMINATIONOFAGREEMENT:

13.1AgreementbetweentheArchitectandtheClientmaybeterminatedbyeitheronegivingtheothera
writtennoticeofnotlessthan30(thirty)days,shouldeitherfailsubstantiallytoperformhispartof
responsibilities/duties,solongasthefailureisnotcausedbytheoneinitiatingthetermination.

13.2WhenterminationofthisAgreementisnotrelatedorattributable,directlyorindirectlytoanyact,
omission,neglectordefaultonthepartoftheArchitect,theArchitectshallbeentitledtoprofessionalfees
asstipulatedunderClause4andsubclauses9.09and9.11ofClause9.

13.3IntheeventofArchitect'sfirmclosingitsbusinessortheClienthavingterminatedtheagreement,
theClientshallhavetherighttoemployanotherArchitecttocompletethework,aftermakingpaymentto
thepreviousarchitect'sfirm.

14.INTERPRETATION:

IncaseofanyambiguityordifficultyintheinterpretationoftheConditionsofEngagementandScaleof
Charges,theinterpretationoftheCouncilofArchitectureshallbefinalandbindingontheArchitectandthe
Client.

15.ARBITRATION:

AlldisputesordifferenceswhichmayarisebetweentheClientandtheArchitectunder"Conditionsof
EngagementandScaleofCharges"withregardtothemeaningorinterpretationormatterorthingsdone
ortobedoneinpursuancehereof,suchdisputesanddifferencesshallbereferredforarbitrationtothe
CouncilofArchitecture.ThearbitratorshallbeappointedbythePresident,CouncilofArchitecture.The
arbitrationshallbeconductedaspertheprovisionsoftheArbitrationandConciliationAct,1996.The
decisionandawardofthearbitratorshallbefinalandbindingontheArchitectandtheClient.
