ENGINEERING SERVICES AGREEMENT

(for the three (3) storey building with roof deck
located at A. Guarra St. Baclaran Paraaque)

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and executed this ___ day of October 2015 at
the City of Paranaque, Philippines by and between:

ALEJANDRO CRUZ PADUA DELA CRUZ CORP., a corporation duly

organized and existing under Philippine laws and with post office address
at 2039 G. G. Cruz St., Baclaran, Paraaque City, represented hereto by
Mr. Jorge Alejandro, hereinafter referred to as the FIRST PARTY and

ENGINEERING DESIGN SERVICES, a company duly organized

and existing under Philippine laws and with post office address at
_____________________________________ represented hereto by
______________________, hereinafter referred to as the SECOND
PARTY.

ARTICLE I. DESCRIPTION OF THE PROJECT

The project encompasses the construction of a three (3) storey

building with a roof top to which the SECOND PARTY is tasked to provide
the required building plan in accordance with the Building
Code of the Philippines. The SECOND PARTY is likewise tasked to secure
all the required signatures from the different government agencies within
the shortest period possible so that the construction of the project will
begin.

ARTICLE II. DRAWINGS, PLANS AND SPECIFICATIONS

All drawings, plans and specification should be submitted to the

FIRST PARTY and no actions shall be done by the SECOND PARTY
without the consent of the FIRST PARTY
ARTICLE III. CONFIDENTIALITY

The SECOND PARTY agrees that any reports, information, maps,

data or other forms of recorded information identified as confidential by the
FIRST PARTY and given to or prepared or assembled by the SECOND
PARTY and its subcontractors in the completion of this work shall be kept
confidential for a period of five (5) years from the date of completion of the
work and shall not be made available to or reproduced for any individual or
organization without the prior written approval of the FIRST PARTY

ARTICLE IV. CONTRACT PRICE

The parties hereto agree that the contract price for the services
rendered by the SECOND PARTY shall be at FIFTY THOUSAND PESOS
(Php50,000.00) Philippine Currency.

A down payment of FIFTEEN THOUSAND PESOS (Php15,000.00)

shall be given by the FIRST PARTY to the SECOND PARTY upon the
signing of this agreement.

The balance of THIRTY FIVE THOUSAND PESOS (Php35,000.00)

shall be paid by the FIRST PARTY to the SECOND PARTY upon the
completion of the scope of work as stated above which includes the
presentation of the Building Plan with the signatures of all the government
agencies concerned.

The SECOND PARTY undertakes that all its dealings with the FIRST
PARTY is in good faith

ARTICLE V.ENTIRE AGREEEMENT AND BINDING EFFECT:

This Agreement contains the entire agreement of the parties as to this

contract, and shallsupersede any other agreements which they may have
executed in any jurisdiction, with respect to the matters contained herein.

This Agreement shall be governed by, and construed in accordance

with, the laws of the Republic of the Philippines.

IN WITNESS WHEREOF, each of the parties have executed this

Agreement on the date and place written above.
