AGREEMENT

The agreement is entered between Indra Industries Ltd 17A and 18A
industrial area Dewas and Shri Ravindra Baxi working in the capacity of
consultant. The agreement lists down the scope of both the parties
involved in the transaction related to improving the plant performance
from existing level of 125-140 Metric tonne per month. This agreement is
valid for two years from the date of signing.

Scope of Indra Industries

1. Provide man, machine, material and financial support to run plant

on optimum capacity
2. Legal and statutory responsibility related to the company

Scope of Mr. Ravindra Baxi

1. Provide technical expertise to improve machine performance,

machine maintenance.
2. Support to build team to run plant

Joint Responsibilities with mutual consent

1. Arrangement of man power

2. Selection of orders
3. Selection of machinery and spares

Compensation Details

1. Mr. Baxi will be entitled for 4-6 visits per month

2. Mr. Baxi will be paid INR 1 lakh per month for initial 3 months.
3. The profit for the entire production achieved will be calculated net
off basic cost which is fixed to be INR 12/kg.
4. The profit thus obtained will be shared in 70-30 basis between Indra
industries ltd and Mr Baxi.
