SPECIAL POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS:

_________________________ , have a purchase agreement with SM
DEVELOPMENT CORPORATION for:

That I appoint ____________________ , of legal age, Filipino, _____ and with


Philippine Postal Address at ____________________ , whose signature appears
below as my true, lawful, and exclusive attorney-in-fact and granting unto my
said Attorney full power to:

1. Make, endorse, accept, receive, sign, seal, execute deeds of


conveyance, pledge, encumber, hypothecate, acknowledge and deliver
any documents, instruments or papers necessary or convenient to
purchase in my name and for my use the abovementioned properties;

2. Facilitate all documentation and payments required to transfer the


abovementioned properties to my name;

3. Exclusively receive from SMDC all pertinent documentation and more


importantly, the titles to the said properties in my name;

4. To sell, transfer and convey all whatever price and terms and
conditions that he may deem proper and fit, to whosoever may buy or
purchase my abovementioned properties;

5. Contract for the transmittal or acquisition, gratuitously or for valuable


consideration, of ownership of, create or convey real rights over, or
lease for durations of more than one year or otherwise, the said
properties.

6. Accept and collect full payment in his name and/or in my name, the
proceeds of sale of the afore described properties and sign for the
receipt thereof;

7. Sign and execute any and all documents of sale, transfer or


conveyance of the aforementioned properties;

8. Pay any and all unpaid or accrued property taxes including such
capital gains and documentary stamp taxes necessary to effect the
registration of the sale and the transfer of title of the said properties
to the buyer or purchaser of the same;
9. Engage in the services of a reputable real estate broker, a lawyer, a tax
professional and such other professional real estate practitioner, if
necessary, to ensure the expeditious and smooth sale of the property
and to pay their respective fees and/or commissions from out of the
proceeds of sale of the same;

10. Do and perform any and all other lawful act and deeds necessary
to undertake the execution and finalization of sale, transfer, or
conveyance of the said properties.

I HEREBY GIVE AND GRANT unto my said attorney-in-fact full power


and authority whatsoever requisite and necessary or proper to be done in
or about the premises, including full power of substitution, as fully to all
intents and purposes as I might or could lawfully do if personally
present, and hereby ratifying and confirming all that my said attorney,
his delegates, and substitutes, shall do or cause to be done under and by
virtue of these presents.

I also hereby acknowledge that this special power of attorney is granted


for consideration and hence, may only be revoked or modified by the
prior agreement of the parties in a separate instrument. Any existing
power of attorney over said properties other than to the herein attorney-
in-fact is also hereby completely revoked.
