MEMORANDUM OF AGREEMENT

KNOW ALL PERSONS BY THESE PRESENTS:

This Memorandum of Agreement made and entered into by and between:


SOUTHERN LUZON STATE UNIVERSITY, a state university, organized and
existing under the laws of the Republic of the Philippines, with principal office at Quezon
Ave., Brgy. Kulapi, Lucban, Quezon, represented by its President, MILO O. PLACINO,
Ph.D., and herein referred to as FIRST PARTY;

-and-
Armscor Global Defense, Inc., a firearms and ammunition manufacturing
company, organized and existing under the laws of the Republic of the Philippines, with
principal office address at 2 Arms Cor Ave., Brgy. Fortune, Marikina City, represented by
its engineering supervisor, Engr. Roberto R. Espina, and herein referred to as
SECOND PARTY

WITNESSETH THAT:
WHEREAS, practicum training is part of academic requirement of FIRST PARTY
which shall further develop specific competencies of its students acquired during
theoretical teaching;
WHEREAS, SECOND PARTY has agreed to provide opportunities for the students
to enrich specific competencies by providing an actual training into the operation and
administration of offices;
WHEREAS, FIRST PARTY shall provide carefully screened students based from
the requirements submitted by the SECOND PARTY;
NOW THREFORE, for and in consideration of the foregoing premises, the parties
hereto agree to enter into this Memorandum of Agreement for the practicum training of
FIRST PARTY students under the following terms and conditions:

GENERAL TERMS AND CONDITIONS


1. Students of the FIRST PARTY who shall successfully complete the practicum
program shall be entitled to a curricular credit of 5 units;

2. Students of the FIRST PARTY shall be required to report at the


office/designated site of the SECOND PARTY punctually and regularly
depending on the students class schedule and the training program;

OBLIGATIONS OF FIRST PARTY


3. FIRST PARTY shall, upon signing of this Agreement, accept the students
whose names and addresses are hereto attached as Annex A, as trainees in
HR Department which shall undergo practicum training for not less two hundred
hours (250 hours);

4. FIRST PARTY shall be under obligation to conduct the necessary orientation
upon its students in office decorum and discipline, and other rules and
regulations necessary for the proper administration of the practicum program;

5. FIRST PARTY shall be under obligation to monitor the individual performance


of its students and under take measures to ensure faithful compliance with this
agreement.

OBLIGATIONS OF SECOND PARTY


6. SECOND PARTY shall provide the necessary practical training to the students
of the FIRST PARTY in any or all of the following fields/settings Clinical,
Educational, and Industrial

7. SECOND PARTY shall provide students of FIRST PARTY a defined program


of activities and/ or assignments with the necessary facilities based on its
regular office workload;

8. SECOND PARTY shall not be under obligation to remunerate the students or


afford them benefits usually given to its regular employees other than those
voluntarily given, as there exists no employer-employee relationship between
SECOND PARTY and FIRST PARTY;

9. SECOND PARTY shall provide humane conditions of workplace and never


assign the students in a work which will endanger their health and safety;

10. SECOND PARTY shall ensure that the students of the FIRST PARTY are
amply protected from harassment, exploitation or any incident will shall put
under peril their life, health and honor.

11. SECOND PARTY shall be liable for any loss, damage or injury that the students
may suffer during the period of practicum save in intentional or negligent acts
on the part of the latter;

12. SECOND PARTY shall allow authorized representative of the FIRST PARTY
to visit/check the students in the actual place of work;

13. SECOND PARTY shall not require the students to perform work during
weekends and holidays as well as overtime work unless proper compensation
shall be given;

14. SECOND PARTY reserves full discretion to screen and evaluate the individual
competence of the students performance both in practical and theoretical
aspect of the training;

15. SECOND PARTY reserves the right to allow or not to reproduce in print,
approved and signed sample of work/s of students of FIRST PARTY for
verification purposes.

JOINT OBLIGATION OF TWO PARTIES
16. Parties shall be under joint obligation to promote the welfare of the students
and assist in the formation of their intellectual, moral and professional
competence.

17. The venue for all legal action or proceeding with respect to this Agreement shall
be in the proper Courts in Quezon Province;

18. Assignment of this agreement to third person shall not be allowed without
previous consent of the other party;

19. This Agreement shall constitute the entire agreement of the parties and shall
not be modified, amended or varied in any manner unless such modification,
amendment or variation is in writing and executed by the parties;

20. This Agreement shall be effective upon signing thereof by the parties until
August, 2017 and shall be automatically and extra-judicially terminated and
cease to be effective and binding between the parties upon expiration thereof.
Either party may terminate this Agreement before expiration thereof for valid
cause by serving at least five (5) days prior notice to the other party

21. Parties shall be bound by the following system of grading the students;
(a) Grading period shall be based from the schedule provided by the FIRST
PARTY;
(b) SECOND PARTY, through its Coordinator/ OJT in-Charge of the practicum
program, shall provide Seventy five percent (75%) of the weighted average
for the practicum period while FIRST PARTY through its assigned
FACULTY/OJT Coordinator shall provide Twenty five percent (25%) of the
weighted average for the same practicum period.

22. Parties shall endeavor to base the grades or rating of the students on the
following:Attendance/Punctuality;Competence/Dependability;Accuracy/Effecti
veness; Interest/Cooperation; Personality/Interpersonal Relations;

IN WITNESS WHEREOF, the parties hereto have set their hands and affixed their
