1. GENERAL ASPECTS

1.1. INTRODUCTION AND JUSTIFICATION

According with Law 1427 of 2010 of Colombia, SATENA is an economy mixed company which
depends of the Ministry of Defense of Colombia. Its main mission is to provide air transportation
service benefiting the isolated regions of Colombia.

The same Law establishes that the Contract Process of SATENA is governed by the private law. In
addition, the Law 1150 of 2007 Article 16 excludes SATENA to apply the Estatuto General de la
Contratacin Estatal (Colombian Procurement General Manual) and, therefore, SATENA adopted
its own Procurement Manual as special and supplementary regulations. Notwithstanding the above,
under the terms of Articles 13 and 16 of the Law 1150 of 2007, SATENA applies in its procurement
activity, the principles of administrative and fiscal management stated on Articles 209 and 267 of
the Constitucin Poltica de Colombia. The Manual is available at the website of the Airline
www.satena.com.

One of the functions assigned to the Technical Department of SATENA, is to acquire the
maintenance services required to carry out the scheduled and unscheduled maintenance of its
aircrafts and its major components, at the right time in order to maintain its continued airworthiness
condition, complaining with their routes and providing an adequate service to passengers.

Based on the above, SATENA issued the following Request for Proposal (RFP).

1.2. SUBMISSION OF PROPOSALS

The limit date in order to submit the proposal is May 26 , 2014, at 17:00 local hour (Bogot
Colombia). All proposals received after the time and date limit would be excluded of the selection
process. The proposals have to be sent to the following electronic mails:

1.3. VALIDITY OF PROPOSALS

SATENA requires that the proposal has a minimum 90 days of validity.

1.4. EVALUATION OF PROPOSALS

SATENA, as consider necessary, will carry out some negotiation meetings in order to clarify and
adjust the proposal to the requirements of SATENA. During these meetings, SATENA shall explain
the most relevant aspects of the proposal which will be taken into account for the final decision.

1.5. TERMINATION OF SELECTION PROCESS

SATENA reserves its right to terminate at any time and without prejudice to any of the parties, the
selection of a Repair Station. In consequence, there is no obligation for agreement with any of the
Repair Stations that submitted proposals.

SATENA will not be liable to the Repair Station for any direct or indirect loss, expense, damage
suffered by the Repair Station as a result of its participation in any stage of this RFP. The Repair
Station expressly waives any rights, which it may have now or in the future to take any legal
proceedings against SATENA based on documents or information provided during the selection
process.

 1.6. CONFIDENTIALITY
The information contained within the RFP is proprietary and confidential to SATENA. Any disclosure
or distribution without the express written consent of SATENA is prohibited.

2. OBJECT AND TECHNICAL REQUIREMENTS

2.1. OBJECT
Get maintenance proposals for PT6A-135A and PW127E/F Engines; identifying an EASA/FAA
Repair Station approved by the engine manufacture and which has the capability to:

Provide Hot Section Inspection and Overhaul for PW127E/F and PT6A-135A engines.
Provide different cost options of management program: Event/Term Cost Plan and Time
and Material Plan, permitting SATENA to choose the most suitable condition.
Be able to deliver agreed and established service levels.
Conform to EASA/FAA applicable regulations.
Conform the standards stated by the manufacturer on its technical manuals.

2.2. TECHNICAL SPECIFICATIONS

2.2.1. Engine Fleet Covered

2.2.3. Engines Maintenance Intervals

The engine maintenance intervals, applicable as per the Maintenance Program approved by the
Local Authority to SATENA, are:

*Initially the PT6A Engine fleet will be controlled by Hard Time, but the objective is to pass to
the On Condition Control, once all requirements for this control are accomplished.

2.3. MAINTENANCE SERVICES REQUIRED

SATENA requires two (2) options of Cost Plan for the Engine Services Agreement proposal:

2.3.1. Event Cost Plan [ECP]

Has to offer minimum the following basic services included within hourly fee (Pay by hour at
event):
Engine Hot Section Inspection
Engine Overhaul
Reduction and Accessory Gear Box Overhaul
Basic Unplanned Engine Removals (BUER).
During the shop-visit the repair and inspection components described in the chart
of the Annex 3.
Upgrade of those Engine Components which are accessible at time of shop visit.
Shop Level Repair Services to return the engine to a condition in accordance with
OEM.
LCF Components Replacement.
OEM parts, consumables and materials required to service the engines accordingly
to each repair.
Engine Rental Support.
Engine acceptance test;

Web-ECTM software and analysis.
Fuel Nozzle refurbishment (Line/Shop); for the PT6A-135A Engine Fleet we require
kits in advance.

2.3.2. Term Cost Plan [TCP]

Has to offer minimum the following basic services included within hourly fee (Pay by the
hour monthly):
Engine Hot Section Inspection
Engine Overhaul
Reduction and Accessory Gear Box Overhaul
Basic Unplanned Engine Removals (BUER).
Basic Unplanned Accessory Removal (BUAR) for the PT6A-135A Fleet.
Recertification tests and repair as required of accessories sent with the engine.
Annex 3
Upgrade of those Engine Components which are accessible at time of shop visit.
Work scope planning guide.
LCF Components Replacement.
Engine Rental Support.
Fuel Nozzle refurbishment (Line/Shop); for the PT6A-135A Engine Fleet SATENA
requires kits in advance.
All OEM parts, consumables and materials re accordingly to each type of repair.
Engine acceptance test;
Work scope planning guide.
Web-ECTM software and analysis.

2.3.3. Time & Material [T&M]

For the T&M option SATENA requires that the proposal include:
Estimate cost of HSI and OH for each Fleet, including labor, estimated parts and
applicable flat rates.
Prices of LCF hardware.
Costs associates to Engine Rental Support.
Fuel Nozzle refurbishment (Line/Shop); for the PT6A-135A Engine Fleet we require
kits in advance.
Upgrade of those Engine Components which are accessible at time of shop visit.
Work scope planning guide.

2.4. OTHER ASPECTS REQUIRED

Additionally to the minimum requirements of the Cost Plans and the goods and services in the Time
and material option, the proposal must include the below services:

2.4.1. Turnaround Time (TAT)

SATENA request the following TATs for the different engine repair types called for hereby.
Penalties must apply in case of the applicable TAT is exceeded. All charges afford by SATENA due
to TAT non-compliance will be reimburse by the Repair Station to SATENA.

2.4.2. Rental Engines

SATENA requires a Rental engine on site per engine in shop available for use of SATENA during
the repair process.

Proposals must include free of charge the critical situations due to TAT delays. If the Repair Station
cannot provide a rental engine on critical situations, then the Repair Station would reimburse the
rental engine costs paid by SATENA.

2.4.3. Spare Engine

SATENA requires one (1) Spare Engine PW127F with a Characterization Plug for E and one (1)
Spare Engine PT6A-135 on-site during the agreement term.

2.4.4. Field Support

When required, SATENA might request technical assistance for Engines or their components.

2.4.5. Transportation
The repair station will arrange and pay for the cost of Engine roundtrip transportation from SATENA
facilities and repair station facilities.

2.4.6. Service Bulletins and Airworthiness Directives

Airworthiness Directives, Alert 1 to 8 categories to be implemented during the shop visit proposal,
Reliability Service Bulletins above 8 categories shall be subject to SATENA decision prior to engine
shop visit induction.

2.4.7. Program Manager

The proposal must assign a Program Manager who will carry out support activities, including but not
limited to:

Be the point of contact,

Share the procedures for the Services, which will be review and approve together.
Support SATENA on a monthly basis, the SATENAs Planning Engine Removals.

2.4.8. Engineering Support

The Repair Station will provide engineering support that includes, but is not limited to:

Notification of any deviations from the configuration specification of the Equipment

delivered for service.
Providing findings report (which may include pictures), identifying damage detected and
repair(s) accomplished.
Free of Charge engineering consulting in general. Proposals must specify the standard
response time.

 2.4.9. Training Support
Repair Stations shall offer free of charge training to PW127 and PT6A engines. The condition of
duration, location and curriculum will be revised and defined together.

2.4.10. Subcontracted Work

If it is need, Repair Stations must specify what kind of work will be subcontracted and who will be
the subcontractor. The proposals must include the priority, TAT and warranty term for the
subcontracted work. However, in case of subcontracting, the Repair Station will be liable before
accurate and timely performances of all by the Repair Station itself.

2.4.11. Beyond Economical Repair Coverage (BER)

SATENA requires that the BER for the Repairable Components be included in the proposal.

3. AGREEMENT INITIAL CONDITIONS

3.1. TYPE OF CONTRACT

According with the Contracting Manual of SATENA, the contract which results of this request would
be a Services Agreement.

3.2. CONTRACT TERM

The term of the agreement that results from this Request of Proposal shall commence on the date
of signature of Agreement and it shall continue for a term of one (1) year, being automatically
renewed for additional periods of one (1) year, limited to four (4) periods, provided that SATENA
issues the Certificado de Disponibilidad Presupuestal and make the appropriate budgetary
appropriations in its budget each year.

3.3. PLACE OF EXECUTION

The service of maintenance will be carried out at the approved facilities of Repair Station selected.

3.4. PAYMENTS
The payments will be as per the Cost plan selected and agreed together with SATENA and the
Repair station, but not before to the 60 days after the Invoice issue.

Each invoice or charge will have to be approved with a certificate of received to satisfaction of each
service.

The payment will be done by electronic transfer according with the Bank information confirmed by
Repair Station.

3.5. OBLIGATIONS OF REPAIR STATION

a. Show OEM and FAA/EASA approval certificates indicating the Shop capability.
b. Accomplish Shop Level Repair Services to return the engine to a serviceable or overhauled
condition in accordance with OEM work scope planning guide.

 c. Compliance with the Turnaround Time established and agreed between SATENA and the
Repair station.
d. Issue all documentation required as evidence of the Engine Airworthiness after the shop-
visit.
e. Accomplish with the additional services agreed.
f. Inform timely to SATENAs team any deviation or inconvenience during the service of
Engines repair.
g. Follow the maintenance procedures stated on the applicable manufactured maintenance
manuals.
h. Conform to EASA/FAA applicable regulations.
i. All services must be performed on an engine OEM approved repair station capable of
performing HSI and overhaul to PT6-135A and PW127E/F engines, as applicable.

3.6. OBLIGATIONS OF SATENA

a. Supervise and ask a timely and suitable execution of the contracted services.
b. Inform to the contractor when there are faults or deficiencies during the execution.
c. Supply to the Repair Station the engines data covered (TSN, TSO, TSR, TSHSI) and as
reasonably the Repair Station required.
d. Ensure that all sections of the Engines Look Book are properly completed and provided to the
Repair Station when at time of Shop-visit.
e. Verify and process opportunely the invoices with its supports required for the payments.
f. Pay to the contractor the amounts agreed according with the each services acquired.

3.7. ENGINE ADDITIONS OR REMOVALS

The proposal will include the option to include or remove Engines or Engine components after the
signature of the Engine Service Agreement.

3.8. EXCLUSIONS
The Repair Station must include in the proposal the exclusions which apply to the Agreement
Services.

3.9. WARRANTIES
SATENA requires warranties as describe in the following Chart:

3.10. POLICIES
SATENA shall require Policies of (1) Quality and (1) Loss of revenue and emergent damage. Each
policy must be for amount of 10% of the total price of the Agreement.
