Conveyance of all original property documents like
the title, Tax Declarations, etc. shall pass to the
buyer only upon full payment of the agreed sale
consideration.

Taxes/Other Expenses: The applicable capital gains tax or creditable


withholding tax shall be for the account of the
owner-seller. The documentary stamp tax shall be
for the account of the ________. Property taxes
accruing up the end of the quarter / end of the year
following the Closing Date, shall be for the
account of and to be paid by the owner-seller.

On the other hand, all costs and expenses to be


paid for the transfer of title including but not
limited to, local transfer tax, notarial expenses,
registration of sale, legal documentation expenses,
if any, and such other Register-of Deeds-related
costs, fees, expenses and charges as well as all
other incidental and miscellaneous fees, expenses
and charges that may be necessary and/or required
to effect the smooth transfer of title/ownership of
the lots in the name of the buyer, shall be for the
sole and exclusive account of the buyer..

Other Conditions : Other terms and conditions which may govern


the sale transaction may be discussed between the
owner-seller and the buyer.

I am/We are prepared to accompany you (and your other company executives) in conducting an
ocular inspection of the property at your convenient date and time. I/We would
appreciate it though, if you can provide me/us with at least a day’s notice of your
intention to inspect the site so I/we can properly arrange the inspection schedule with the
owner-seller.
