MEMORANDUM OF AGREEMENT

KNOW ALL BY THESE PRESENTS:

This Memorandum of Agreement is made and executed by and between:

SAINT LOUIS UNIVERSITY, an educational institution organized and existing under


the laws of the Republic of the Philippines, whose principal office is located at BONIFACIO
ST., BAGUIO CITY, PHILIPPINES represented by REV. FR. GILBERT B. SALES,
CICM, President, hereinafter referred to as the SCHOOL.

-and-

CITY GOVERNMENT OF BAGUIO, a government entity organized and existing under


the laws of the Republic of the Philippines, whose principal office is located at
XXXXXXXXXXXXXXX, represented herein by Engr. Wilbur Suanding , hereinafter referred
to as the CITY.

-Witnesseth-

WHEREAS, the SCHOOL offers various degree programs including engineering


courses which require exposure of students to areas such as laboratory testing and in the
industrial setting to augment their theoretical knowledge.

WHEREAS, the CITY (Baguio Sewage Treatment Plant), that employs analytical
testing technology in its laboratory setting, is willing to provide students with actual hands-on
experience in laboratory analysis.

NOW THEREFORE, for and in consideration of the foregoing premises, the CITY and
the school do hereby agree as follows:

1. That the SCHOOL determines and endorses enrolled and qualified Chemical Engineering
students/trainees to undergo Industry Immersion (On-the-Job Training) at the CITY for a
minimum period of 320 hours under the following conditions:

a. There will be no employer-employee relationship between the CITY and the


SCHOOL and between the CITY and the student;

b. The student and the SCHOOL shall be personally responsible for any liabilities for
the damage to properties or injury to third persons, which may be occasioned by their
intentional or negligible acts while in the course of training;

c. The participants in the training program shall not imply any further employment
rights to the students upon endorsement of the SCHOOL. The CITY neither
represents nor implies any obligation to the student upon completion of the Industry
Immersion;

d. The student/trainee, through the endorsement of the SCHOOL, shall abide by all the
rules and regulations of the CITY and shall comply with all the regulations as
provided in the MOPG, attached herewith in this Memorandum of Agreement, of the
Industry Immersion; otherwise they shall be excluded from further participation.
e. This agreement may be terminated for convenience by the CITY upon prior written
notice within reasonable time to the SCHOOL or the Department Head of the
Department of Chemical Engineering; this paragraph shall not be deemed to waive,
prejudice or diminish any right the CITY may have in law or equity for any unlawful
termination or other breach of this agreement by the SCHOOL;

f. The SCHOOL may pull out any student from the Industry Immersion Program on
reasonable grounds after a written notice about such pull out;

g. Each student shall submit to the CITY detailed reports and necessary documentation
with respect to the services performed by him/her as maybe periodically required by
the CITY. The report shall disclose an update of all the work or services completed,
including results and ideas, with the developments and inventions derived and
conceived to be practiced during formula, sketches, drawing summaries and the like;

h. The product of student services, including results and all ideas, development and
inventions which the student conceived or deduced to practice during the course of
each training under this agreement, shall be exclusive property of the CITY. Any and
all trade/industry information shall not be disclosed to anyone outside the CITY or
used by the students without prior written consent of the CITY;

i. In the event that the student, during or after this Agreement, but prior to the students
execution of a similar agreement with a third party, develop additional ideas not
included here-under but within the scope of this agreement, he/she shall communicate
the ideas to the CITY which shall have the right of first refusal to utilize students
services and to develop this additional ideas for the benefit of the CITY;

j. That the student/trainee shall adhere to all the Safety Rules and Regulations as
deemed necessary by the CITY. Any safety violation committed by a student-trainee
would mean Termination of his/her OJT Contract; and

2. That the CITY shall accommodate the students for Industry Immersion Program subject
to the following conditions:

a. The CITY shall have the right to screen or refuse endorsed students by the SCHOOL
to undergo training in the CITY;

b. The CITY shall deploy to its different areas the student endorsed by the SCHOOL to
undergo training under the Industry Immersion Program. Specific assignments of
each student shall depend solely to the discretion of the CITY and shall be subject to
change from time to time upon written notification to the Department Head of the
Chemical Engineering Department;

c. The CITY shall assign personnel to take charge and supervise the training of the
endorsed student;

d. The CITY shall accomplish necessary forms required by the SCHOOL in connection
with the training of the student;

e. The CITY shall allow the students under go training during school holidays.
f. The CITY shall continue to allow the students to have the training after the semester
is done in the case that the students fail to complete the required number of hours of
industry immersion aforementioned above.

g. The CITY shall issue certificates of completion and performance evaluation to the
students who successfully finish the training under the program; and

h. The CITY shall adopt and enforce rules that will govern the conduct of the Industry
Immersion Program. Said rules shall be made known to the SCHOOL and the
students before the start of the training.

3. That this Memorandum of Agreement shall be effective in August 7, 2017 regardless of


the date of execution hereof and shall continue thereafter until the completion of the
required hours of training the student is required of and upon the discretion of the CITY
and/or the SCHOOL to withdraw their respective participation in the Agreement upon
written notice.

4. That neither party shall publicly announce the existence of this Agreement, or advertise
or release hereto before, during and after the existence of this Agreement without
securing the prior consent of the other.

5. That this Memorandum of Agreement represents the complete and fully integrated
understanding of the parties and is intended to incorporate and supersede all previous
negotiation, written or oral and may not be altered, changed, amended or modified except
by an agreement in writing signed by the parties.
