Miyajima H. (2007) & Ebihara K. (2013) observes that a series of corporate governance
reforms in the late 1990s affected the boardrooms of Japanese corporations that replaced the
traditional board structure. Furthermore, Saito (2009) indicates that in response to the
declining corporate performance and escalation of corporate scandals (Gilson and Milhaupt,
2005; Hirata 2004), the corporate governance reform movement commenced in Japan in
1997. Under these reforms, some of the prominent characteristics of the Anglo-American
corporate governance model were introduced, which include the introduction of outside
directors to the traditional all-insider boards, establishment of the three-committee system
(i.e., audit committee, remuneration committee and nomination committee), reduction of the
board size, and some others. Furthermore, in line with these reforms, the Commercial Code
of Japan was amended in 2002 that allows the adoption of the committee system (Saito 2009;
Hirata, 2004). With the establishment of such audit committees, the traditional auditors
board was replaced by the new three-committee system. The amended Code required at least
three members in such a committee of whom the majority of directors (i.e., two thirds) to be
outside directors. Nevertheless, it should be noted that although several firms introduced
outside directors into its corporate boards, only 1.7 percent of firms adopted the full three-
committee system (Japan Corporate Auditors Association: JCAA, 2004).
