Significant accomplishments:
Integral part of coordination of sale of Foster-Miller to QinetiQ (UK company) including due diligence support,
detailed tax analysis of stock and stock options for both company and individuals, administration of all tax
reporting for the transaction, calculation of actual purchase price at closing, administration of payment processing
to shareholders through transfer agent and payroll providers, and post-closing audit support. Also managed IRS
audit of final pre-merger tax return with no tax adjustments for any merger related tax effects.
Led insurance integration team which consolidated insurance programs of all parent company subsidiaries to
achieve a 50% cost reduction, standardization and enhancement of coverage.
Became Acting Risk Manager for entire parent company organization, including insurance program consolidation
and day-to-day insurance activities for nearly a year until full-time Risk Manager was hired.
Coordinated restructure of ESOP to Defined Contribution Plan following sale of the company.
Coordinated payment to shareholders, corresponding tax reporting and integration of $45M acquisition.
Managed IRS audit of two fiscal years and responded to over 100 Information Document Requests; audit findings
were appealed and successfully mitigated additional tax due.
