SALES & PURCHASE CONTRACT AGREEMENT

This agreement is made and entered into on this 25TH AUGUST 2017 by and between: ARTICLE 1:
PARTIES/APPOINTMENT A. (BUYER) KVG Global Limited represented by the President, Anil Singh
. (hereinafter referred to as the Buyer )

Whereas: The Buyer hereby agrees and makes an irrevocable firm commitment to
purchase CRUDE PALM OIL product specification as stated in the Proforma Invoice

B .(SELLER) NEEKAVA PTE LTD.)Represented by JAMILAH BINTI ISMAIL (Hereinafter Referred to as


the Seller)

Whereas: The Seller with full corporate authority to sell makes an irrevocable firm commitment to
sell and deliver the PRODUCT SPECIFICATION as per article in Quotation PI of Seller, The Buyer and
Seller hereby certifies and warrants that they can fulfil the requirements of this agreement and
purchase/provide the product herein mentioned in a timely manner and under the terms specified and
agreed upon by the signatories hereinafter, for the purchase and supply of the Products as
stated in Sellers, Quotation PI on terms and conditions set forth in this agreement.

ARTICLE 2: TERMS AND SCOPE:


This agreement is effective from the date of signing of signature by both parties for a period of
(2 calendar months) unless sooner terminated as hereinafter provided and serves as the
general terms as provided in this agreement.

ARTICLE 3: PRODUCT: CRUDE PALM OIL


TECHNICAL SPECIFICATION AS BELOW

(>0.25% TO 0.5% adjustment 1:1 on load basis)

ARTICLE 4: COUNTRY OF ORIGIN: MALAYSIA

ARTICLE 5: DESTINATION AND PRODUCT DELIVERY: PORT KANDLA


SALES & PURCHASE CONTRACT AGREEMENT.

The whole quantity as per INVOICE will be shipped and delivered as per suppliers delivery schedule
and delivery should not exceed three (3) Months from the date contract payment is confirmed in
sellers account. The products will be delivered CIF from exporter country to sea port of
KANDLA/INDIA and partial shipment and transhipment are allowed. The first shipment will
commence 14 days after supplier receiving the 20% full payment into his Account.

ARTICLE 6 CONTRACT VALUE: 6,000 METRIC TON


PRODUCT PRICE
BUYER AND SELLER AGREE TO THE FOLLOWING PRICE OF THE PRODUCT:

PRICE:PER ONE METRIC TON ON BASIS CIF BASIS /INCOTERMS 2010/ SHALL BE FINALISED

FIRST DELIVERY: BULK ORDER OF 6,000MT

PACKING &.MARKING

4.1. THE PRODUCT WILL BE PACKED OUTWARDLY BULK(SHIP VESSEL). (20FT CONTAINERS) AND
ARE SUFFICIENT TO ENSURE THE SAFE ARRIVAL OF PRODUCT TO DESTINATION
SALES & PURCHASE CONTRACT AGREEMENT.

SPECIFICATION, CHEMICAL ANALYSIS, MANUFACTURING PROSSES, SHALL BE STATED

ARTICLE 7 PAYMENT TERMS: 20% ADVANCE VIA TELEGRAPHIC TRANSFER AND 80% AGAINST
RETRIEVAL OF BILL OF LADING/DELIVERY AT PORT OF DISCHARGE

7.1. The payment is 20% up-front by Bank Transfer T/T in favour of Seller, to their nominated
Bank A/C # upon signing of proforma invoice payment release order by Buyer. Balance to be
paid on presenting copy of Bill of Lading

7.2. Payment will be expedited by the buyer to sellers bank account upon signing of
contract documents and submission of below to buyer by seller:

1. A Copy of original signed and legalized contract.


2. A copy of original proforma invoice, signed and stamped

ARTICLE 8: PRODUCT DOCUMENTATION


One set of the following shipping documents consisting of two originals and two non-negotiable
copies will be furnished by the Seller:

1. Commercial invoice originating from the seller


2. Bill of lading from shipment location
3. Certificate of Origin.
4. Packing list is showing gross/net weight and number of ocean bill of Lading.
5. SGS report
6. Free from contamination
declaration ARTICLE 9: DELIVERY BASIS:
A. First shipment shall commence 5days after receipt of Payment of 20% of total invoice value.
Shipment will be as per sellers Delivery schedule.

ARTICLE 10: BUYERS RESPONSIBILITIES:


A. Not to negotiate or buy with another companys products that is of the same with the sellers
product (MATT ADVANCE TRADING) except otherwise instructed to do so during the period of this
understanding.
The buyer shall make by Bank transfer of 20% of total invoice value to the Sellers nominated Bank
A/C within 72 hours Bank upon contract signing payment release order by the seller. Balance of
80% will be transferred upon copy of B/L

ARTICLE 11: SELLERS RESPONSIBILITIES:


To supply the MATT ADVANCE TRADING, Products ordered by the buyer in the quantities and time mutually
agreed between the buyer and Seller on terms and conditions set forth in this agreement.To sell the products
to the buyer at such prices as that was established by the seller Throughout the duration of this contract
which were mutually agreed between both parties.
ARTICLE 12: ADDITIONAL COST:
Delivery shall be by sea freight to ports of destination via KANDLA/INDIA as determined by
the buyer: Charges for delay, demurrages, at port of destination which have any effect on this
contract shall be for the account of the buyers.

ARTICLE 13: FORCE MAJEURE:


Neither party to this contract shall be held responsible for breach of contract caused by an act of
God, Insurrection, civil war, war military operations or Local emergency. The parties do hereby
accept the International provision of Force Majeure" as published by the International Chamber
of Commerce in Geneva and as defined by "ICC rules.

ARTICLE 14: CONFIDENTIALITY: NON -DISCLOSURE, NON CIRCUMVENTION:


All matters and information made available or exchanged between the parties shall be treated
with strict confidentiality. Improper disclosure shall provide claims for damages. There shall be no
circumvention of identified parties involved in the express written approval of the providing party.
This shall be applicable to direct or indirect contract with a disclosed party by the party.

ARTICLE 15 SETTLEMENT OF DISPUTES AND ARBITRATION


Any disputes in connection with the contract under execution of the contract are to be resolved at
International Commercial Arbitration under Chamber of Commerce and Industry in MALAYSIA the
parties agree that in the process of resolution of case will be applied Regulations of International
commercial arbitration under Chamber of Commerce of MALAYSIA Its resolutions are final, without
appeal and are invariable and obligatory for both parties. The adjudication will be held by one judge
in MALAYSIA the trial will be held in MALAYSIA

ARTICLE 19: CONTRACT SIGNATORIES AGREEMENT:


The parties declare that they have read and are fully aware of all the
provisions, terms and conditions of this contract that they signed below in good
faith, thereby entering into contractual commitment and provision of this
contract based on the conduct of the buyer and seller, during the period of the
agreement.

THE PRESENT AGREEMENT WAS CONCLUDED IN ENGLISH LANGUAGE IN


TWO EXEMPLARE, ONE COPY FOR BUYER, AND ONE COPY FOR SELLER.
In witness thereof the parties have signed below and by doing so have
accepted and approved all terms and conditions of this Agreement.
