By this date _________________, an agreement was entered by two concern sides, (side A _________), and (side B _________),

here to are refer as concern sides. Wherein, The two concern sides have understands and must comply with conditions as follows:

DEFINITION
Confidential Information refers information, INFORMATION and material of whichever nature which either side may receive or obtain
in connection with the operation of the Contract and: which comprises Personal INFORMATION or in the case of the (side B) or
whichever Beneficiary which relates to whichever patient or his or her treatment or medical history; release of which is likely to
prejudice the commercial interests of the (side B) or whichever Beneficiary or the (side A) respectively; or which is a Deal secret.

release
In the event that the (side B) or whichever Beneficiary require next day or short notice deliveries which are not provided for in the
Specification, the (side A) may pass on whichever additional costs relating to the release of the Goods to the (side B) or whichever
Beneficiary placing the Order.

TIME
Failure by the (side A) to deliver the Goods or whichever part of them within the time agreed in harmony with Clause ____ shall
entitle the (side B) to terminate the Order and purchase other goods of the same or similar description to make good such default
and recover from the (side A) the amount by which the cost of purchasing other goods exceeds the amount that would have been
payable to the (side A) in respect of the Goods replaced by such purchase provided that the (side B) uses all reasonable endeavors
to mitigate its losses in this respect.

CONTRACT PRICE AND PAYMENT

The (side B) or, as the case may be, whichever Beneficiary shall pay the Contract Price to the (side A) by Bank Automated Clearing
System if the (side B) or such Beneficiary so chooses, within ____ days of the receipt of the Goods or a valid invoice rendered in
harmony with Clauses ____ and ____, whichever is later.

PROPERTY AND RISK

Notwithstanding release, property in the Goods is not have passed from the (side A) until the full Contract Price of such Goods has
been paid.

TOOLS
whichever tools, patterns, materials, drawings, specifications and/or other INFORMATION provided by the (side B) or whichever
Beneficiary to the (side A) in connection with the Order will at all times be at the (side A)'s risk and remain the property of the (side
B) or whichever Beneficiary and shall be delivered up to the (side B) or the Beneficiary immediately on request and are to be used
by the (side A) solely for the reason of completing the Order.

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides hereto set their
hands as of the date first written above.
