MEMORANDUM OF UNDERSTANDING

XYZ, a duly incorporated entity under the laws of Pakistan having its head office at
________________________ represented herein by _________________, who declares being duly
authorized to act hereinafter;

ABC, a duly incorporated entity under the laws of Pakistan having its head office at
___________________________________ represented herein by _________________, who declares
being duly authorized to act hereinafter;

Herein referred to as "_____________________ "

WHERE AS _______________________________________,

has issued a request for Expression Of Interest for prequalification of Detailed Engineering Design &
Construction Supervision for The Category Of Buildings , in Pakistan and other activities to be defined in
relation with this Project and eventually enter into a contract with ________________________ granting
the-execution of said Project {hereinafter the "Project").

WHEREAS XYZ & ABC (Joint Venture) consider that they have all the technical, financial and
administrative qualifications to carry out the required services in relation with the above-mentioned Project.

IN CONSIDERATION OF THE ABOVE, the Parties now agree as follows:

1. The Parties wish to form a joint venture integrating the two companies under the
denomination Joint Venture XYZ & (the "Joint Venture") or as the parties agree with the purpose
of submitting a proposal and participating in the Project should the proposal be accepted.

2. The Parties will be jointly and severally liable towards the Client for the entire consulting
assignment.

3. XYZ & ABC agree that _________________ is the duly authorized representative to sign the technical and
financial offer as well as the subsequent contract if awarded to the Joint Venture XYZ & ABC.

4. Notwithstanding their joint and several liabilities towards the Client each party will be responsible to the
client.

5. The Parties agree that they will not, directly or indirectly, be involved in the Project otherwise than with one
another. However, the Parties agree that additional companies could join the Joint Venture if deemed
necessary.

6. The Parties agree to maintain all information related to the present agreement confidential and to not unveil
any details to others without the consent of the other Party.

7. The present Agreement shall be governed by the laws applicable in KPK, Pakistan.
IN WITNESS WHERE OF the Parties have caused the present Agreement to be signed by their respective
officers duly authorized to do so.
