MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made, exactly and entered into this _____ day of __________ 2016,
by and between:

______________________________________ of legal age, a widow of the

late___________________________, the legitimate holder of a sand and gravel commercial
permit which is registered and existing under and by virtue of the laws of the Republic of the
Philippines with a postal address at _____________________ Cabadbaran City, Agusan del
Norte, Philippines, hereinafter referred to as the FIRST PARTY.

____________________________and _______________________both of legal age,

married and residents of Jabonga, Agusan del Norte hereinafter referred to as the SECOND
PARTY.

That, the FIRST PARTY appoints and give full legal authority to the SECOND PARTY to
contact, negotiate, and ore to transact any interested individual, group, company ore
corporations on its commercial sand and gravel located in Brgy. Comagascas, Cabadbaran City.

NOW THEREFORE, for the in consideration of the foregoing premises and the following
stipulations, conditions and agreements the PARTIES have hereunto agreed to the following
terms:

1. That, the FIRST PARTY shall give or award the excess amount to the SECOND PARTY on
any contract price as their commission on the agreed royalty pay of P 500.00 per truck
load, it is understood that this will be multiplied as to the number of truckloads.
2. That, the 5% of any cash advances or down payments paid to the FIRST PARTY by the
contract buyers of the sand and gravel shall be given to the SECOND PARTY.
3. That, the payments shall be given automatically by the FIRST PARTY either it is cash or
other mode of payments; the FIRST PARTY shall pay/issue a cheque /cash or deposit to
the individual bank account of the SECOND PARTY.
4. Any issue or problems pertaining to the agreement shall be settled amicably in a win
and win formula.
5. The duration of this contract is in accordance to the contract signed in between by the
FIRST PARTY and the contract buyer; the commission pay order be divided equally by
the SECOND PARTY stated herein and shall become effective and shall remain valid and
enforceable for the full term of the reference contract. It shall also apply to any and all
renewable, extensions, rollovers, additions, or any new agreements by and between the
FIRST PARTY and the contract buyer.
6. All faxed and or emailed signatures shall be considered original signature for the
purpose of building the PARTIES.
 It is further agreed that any amendments or modifications herein shall be made upon
written and signed by both PARTIES . As agreed upon, the same commitments and
undertakings shall be extended to the heirs, successors-in-interest, executors,
administrators, and assigns in the event said PARTY shall become incapacitated for any
cause whatsoever.
