1.MINIMUMORDERS:ResellermustmeetminimumquantityordersasspecifiedunlessotherwiseagreedtobyJellycatLondon/CatseyeLondonorinsuch
circumstanceofspecialordersasagreedtobyJellycatLondon/CatseyeLondon.
2.PAYMENTTERMS:ReselleragreestoprepayfirstorderbyMoneyOrderorcreditcard(unlessagreeduponotherwise.)Resellermaythereafterbe
granted,atthesolediscretionofJellycatLondon/CatseyeLondon,30daypaymentterms.Ifsuchtermsaregranted,reselleragreestocompletepayment
within30daysofinvoice.
3.ADDITIONALFEES:Latepaymentsmayrevertpaymenttermstoprepayment.
4.COMPETITIVEPRODUCTREFERENCE:ResellermustneveruseanyJellycatLondon/CatseyeLondonimages,includingproductormodelphotos,
trademarkedJellycatLondon/CatseyeLondonnameorlogomark,northenameorlogomarkofanyJellycatLondon/CatseyeLondonproducts,norany
nameorlogomarkdesignedorintendedtobesimilartoanyJellycatLondon/CatseyeLondonproductnameorlogomark,noranydescriptiveor
explanatorytext,noranyreferencetotheJellycatLondon/CatseyeLondonproductsinreferenceorrelationtoanyothercompany,productorbrandname
otherthanthoseproducedordistributedbyJellycatLondon/CatseyeLondonwithoutpriorwrittenconsent.
5.ONLINESALES:ReselleragreesNOTtoattempttoresellanyJellycatLondon/CatseyeLondonproductonlineviaany3rdpartysites,suchaseBay,
AMAZON,Etsyoranyothersuchauctionwebsiteswiththeexceptionofapersonalonlineretailsite,whichmayormaynotsupportaphysical
storefront.ResellerfurtheragreesanyonlinesalesmeetingtheaboveexceptionshallstrictlyadheretoallproductsMAP,notincludingshipping.Failureto
complywillresultinimmediateterminationoffuturewholesalepricingorsalesfromJellycatLondon/CatseyeLondon.
6.USEOFPROMOTIONALMATERIALS:Resellermayusespecificphotoand/orgraphicimagesand/orspecifictextprovidedbyJellycatLondon/Catseye
LondonforthepromotionoforinconjunctionwithJellycatLondon/CatseyeLondonproductsonly,andthenonlyforthedurationthatJellycat
London/CatseyeLondonproductsarebeingactivelyofferedforresalebyresellerandcontractisfullyhonored.
7.PROPERUSEOFTRADEMARK:ResellermustrepresentallJellycatLondon/CatseyeLondonproductswithfullproductnamesinprintincludingInternet,
audio,videoandallmediapromotionalmaterials.TrademarkedJellycatLondonandrelatingproductlogosshouldbeusedinprintorpublicationwhenever
feasible.
8.REPACKAGING:Resellermustneverrepackage,reproduceorreformulateanyJellycatLondon/CatseyeLondonproductswithouttheexpress,prior
writtenconsentofJellycatLondon.
9.RETURNPOLICY:Returnsthatarenotdefectivewillbechargeda20%restockingfeeandfreightchargeswillbebornebythepurchaser.Merchandise
mustbereturnedinnewconditionandoriginaltagsmuststillbeattachedwithnostickers.Returnsareacceptedwithin30daysofreceiptofgoods.
ReturnsmustbepreauthorizedwithaReturnAuthorization(RA)numberfromaJellycatrepresentative.Damaged/defectiveproductmustbereported
within14daysofreceiptofshipment.
10.COMPETITIVEPRODUCTDEVELOPMENT:Reselleragreesnevertodevelop,engineer,design,norcommissionorcollaboratewithanyindividualor
agencytodevelop,design,createorrecreateanyproductthatcoulddirectlycompetewithproprietaryJellycatLondon/CatseyeLondonproductsin
conjunctiontodoingbusinesswithJellycatLondon/CatseyeLondonCompany.
11.NONDISCLOSURE:Resellermustneverdivulgeanyproprietaryinformationorconfidentialpricingoranyotherconfidentialbusinessinformationto
anyindividual,grouporagencyoutsideofthedirectrelationshipheldbetweenResellersandJellycatLondon/CatseyeLondon.
12.RESOLUTIONS:Thisagreementwillbegovernedbylaw.Thepartiesagreethatanylegalactionbroughttoresolveanydisputearisingunderthis
agreementmaybevenuedineitheraSuperiororinDistrictCourt.ResellerfurtheragreestoacceptserviceofprocessbyFederalExpressorother
commercialovernightdeliveryservice.AnycourtcostsusedtobringlegalactiontodefendapotentialbreachofcontractwithJellycatLondon/Catseye
LondonwillbepaidinfullbytheReseller.
