GENTLEMEN,

1. We have inspected, examined and understood the Employer's


Requirements, Contract Agreement, Conditions of Contract, Tender
Drawings and Instruction to Tenderers including Pricing Document-Bill of
Quantities, and addenda thereto (if any) issued by the Employer for
construction of elevated viaduct and elevated stations in relation to the
Project and have satisfied ourselves that there are no defects or error in any
of the above documents. We have completed and prepared the following

2. We hereby [jointly and severally]* offer to construct elevated viaduct and


stations in relation to the Project and remedying any defects therein, in
conformity with the above documents on the price and quantity stated in
the Pricing Document-Bill of Quantities appended hereto.

3. We undertake [jointly and severally]* to complete and deliver whole of the


Works and achieve all Key Dates, within the times stated hereto.

4. We undertake [jointly and severally]*:

(a) to keep this Tender open for acceptance without unilaterally varying or
amending its terms during the period stated in ITT [(the withdrawal of
any member or any other change in the composition of the
partnership/joint venture/consortium on whose behalf this Tender is
submitted shall constitute a breach of this undertaking)]*; and

(b) to provide guarantees, undertakings & warranties, if the Tender is


accepted for the due performance of the Contract as stipulated in the
Conditions of Contract; and

(c) to hold in confidence all documents and information, whether technical


or commercial, supplied to us at any time by or on behalf of the Employer
in connection with this Tender or the above-mentioned Works and,
without your written authority or as otherwise required by law, not to
publish or otherwise disclose the same.

5. We understand that you are not bound to accept any Tender you may
receive.

6. This Tender shall be governed by and construed in all respects according to


the laws for the time being in force in India. The courts at Mumbai will have
exclusive jurisdiction in the matter.

confidential and issued personal to the undersigned Tenderer. We hereby undertake that
the ITT including all the information, details and Tender Drawings are necessary for
preparation of this Tender and shall be used solely for the preparation of the Tender and
that if the Tenderer is successful, shall be used solely for the Execution of the Works. The
undersigned Tenderer shall ensure that any information disclosed to any of the
subcontractors or consultant or representative of the undersigned for the purposes of
preparing the Tender, shall keep the information contained in the ITT as confidential in
terms of this undertaking.

We further undertake that the aforesaid Tender Drawings, documents and information
contained therein shall not be used in whole, in part or in any altered form in relation to
any other project, scheme, design or proposal that the individual
Tenderer/consortium/joint venture, their parent companies or sub contractors of the
individual Tenderer/consortium/joint venture are, or will be involved with either in India or
any other country.

In case the Tender of the undersigned is rejected, it undertakes to return the ITT and all
the documents forming part thereof and further undertakes to destroy all disc and soft
copies available with the Tenderer in this regard.

Part A: Preamble

Note: The capitalised terms used herein below but not defined shall have the
meaning assigned to them in the Conditions of Contract.

The Contractors attention is drawn to the Employer's Requirements (General


Specifications and Technical Specifications) and other documents relating to the Contract
which are to be read in conjunction with the Bill of Quantities (BOQ). This Preamble shall
serve as a definitive guide to the measurement of quantities and payment for the
Execution of the Works.

1. Scope of Contract

1.1 The Contract is a re-measurement contract for the Execution of the Works. The
brief scope of the Works is provided in Annexure ITT-6 to the Instructions to
Tenderers and detailed scope of the Works is contained in the Employers
Requirements. For the re-measure items, the total price paid for a work item shall
be varied by the quantities actually provided.

2. BOQ

2.1 For the purposes of the Contract, all unit quantities given in the BOQ are the
estimated quantities of the Works and are intended in the first instance to provide
a common basis for tendering and Tender evaluation. After the execution of the
Contract, the basis of payment will be the actual quantity of work ordered and
carried out, as measured by the Contractor and verified by the Employers
Representative and valued at the rates and prices stated in the BOQ. No
alteration to any rate or price shall be allowed on account of any difference
between the quantities billed and the actual quantities measured by the Contractor
and verified by the Employer.

2.2 All sizes and quantities entered in the Bills of Quantities are in metric units.

2.3 The Tenderers shall be deemed to have read the Employers Requirements and
other parts of the Tender Documents to ascertain the full scope of the
requirements included in each item prior to filling in the rates in the BOQ. The
entered rates are deemed to provide for the full scope of the Contract, including
overheads and profits and shall bear a proper relationship to the cost of Executing
the Works.

Notwithstanding any limits that may be implied by the wording of the individual
items and/or the explanations in this Preamble, the rates, which the Tenderer has
entered in the BOQ, shall be for the Works, duly completed in every respect.

The Tenderer shall be deemed to have taken full account of all requirements,
liabilities, obligations and risks, whether expressed or implied, and to have priced
the items accordingly. The items in the BOQ are the only items against which
payment shall be made. The cost of any item of work not specifically described or
measured in the BOQ but required for the Execution of the Works shall be

included in the unit rates for the measured items in the BOQ. The rates shall
therefore be deemed to be inclusive of all incidental and contingent expenses and
risks of every kind necessary to design, supply, construct, install, test and
commission, complete, and remedying any defects in the whole of the Works in
accordance with the provisions of the Contract.

2.4 Full allowance shall be deemed to have been made in the rates against various
items in the BOQ for all costs involved in performing the following, except to the
extent that work is specifically described and paid for in the BOQ. The list below is
not exhaustive and the Contractor shall be deemed to have take into
consideration all costs involved while quoting the rates which shall not be subject
to variation on any account and shall include the following:

(a) all setting out and survey work;

(b) temporary access roads and bridges, fencing, watching and security ,
lighting;

(c) paying fees and complying with all requirements of the statutory authorities
in accordance with Applicable Laws including obtaining all necessary
permissions, approvals and licenses to carry out such works;

(d) payment for all patent rights and royalties;

(e) reinstatement of the Site;

(f) safety precautions and all measures to prevent erosion and suppress fire
and other hazards;

(g) interference to the Works by persons, vehicles, and the like being
legitimate users of the facilities on or in the vicinity of the Site;

(h) the protection and safety of trains and services of Indian Railway in the
vicinity of the Site;

(i) the protection and safety of tracks of Indian Railway in the vicinity of the
Site;

(j) supplying, maintaining and removing on completion, the Contractors own


accommodation, offices, depots, stores, workshops, transport, welfare
services and other facilities including telephones and facsimile machines
and all charges in connection therewith;

(k) the design, supply, inspection, testing and transportation of materials and
of the Works as specified including the provision and use of equipment
and arrangements for the Employer's Representative and others;

(l) maintaining public thoroughfares and footpaths, and maintaining access


upon existing recognised routes;

(m) providing, transporting to the Site, operating costs (including all fuel and
consumable stores), maintaining and removing from the Site upon
completion, all construction plant and Contractors equipment necessary

for the Execution of the Works and including the cost of all tests and other
requirements in respect of such plant and equipment;

(n) working adjacent to or across existing services and installations;

(o) complying with the requirements of the Employer with respect to earthing
and bonding works for safety of human beings or assets, safety (including
all cost of barricading, working in the vicinity of 25kV energised overhead
lines, etc.) of the properties, utilities, public and/or employees, health,
quality assurance, environmental, and project implementation plans and
making periodical submissions;

(p) co-ordination and interface of the Works with the works of the Designated
Contractors on or in the vicinity of the Site;

(q) remedying of defects and shrinkage, and works of amendment,


reconstruction, replacement of other faults, fair wear and tear expected,
during defects liability periods;

(r) protections to be implemented against electro magnetic interference


effects following line energisation;

(s) insurance as per the provisions of the Contract;

(t) all tools, and equipment required for all tests prior and after delivery;

(u) Carrying out all modifications to the given drawings, preparing shop floor
drawings and supplying originals, copies, and electronic files in
accordance with Employers Requirement;

(v) Various bank guarantees/warranties/undertakings, as per the provisions of


the Contract;

(w) Traffic management; and

(x) Erection, maintenance and removal of all Temporary Works and building.

2.5 Items against which no rate or sum is provided in the BOQ, whether quantities are
stated or not, shall be regarded as covered by other rates in the BOQ.

2.6 The Tenderer has taken regard of the actual Site conditions and the estimated
quantities entered in the Bill of Quantities below. The Tenderer acknowledges that
the Tenderer shall price its Tender accordingly and the unit prices entered against
an item is the full and only price paid for all work performed against that item
except as described in the Tender Documents. If same item of equipment is
appearing in different sub-items of the BOQ, the unit rate of the equipment shall
be the same at all places and if they are shown as different at different places, the
minimum of all the unit rates for the same item only shall be acceptable.

2.7 This Contract is primarily a re-measure contract with items that are described
herein. For the re-measure items, the total price paid for a work item will be varied
by the quantities actually provided. The Contract also contains some lump sum
items for which special payment terms are prescribed.

2.8 The measurement and payment described herein is for the purpose of making a
valuation of the Works acceptable to the Employer's Representative, and interim
payments to the Contractor, as the Execution of the Works proceed. The Works,
as executed, shall be measured for assessment of progress for interim payments
in accordance with the method adopted in the BOQ and under the items as set
forth notwithstanding any custom to the contrary.

2.9 For the measurement of numbers and sets, these shall be by count, using
dimensions and contents as described in the Employer's Requirements.

2.10 Notwithstanding anything stated herein, the Employer retains the right to withhold
payment on any item due for payment when the service/Works to be performed is
not performed, or is not carried out to the Employers satisfaction.

2.11 Prices for documents, drawings, design calculations, test procedures, interface
co-ordination documents, operation and operation, maintenance and training
manuals and the like for review by the Employer shall be the full compensation for
documents and the like in accordance with the specifications. Compensation shall
include the preparation, submission, and all subsequent revisions, changes
required and re-submittals as necessary, as required by the Employer's
Requirements until accepted by the Employer.

2.12 The price stated in the BOQ shall include the price for training, erection, testing
and compliance with the Employer's safety, health and environment specifications.

2.13 Prices for testing shall be full compensation for the structural testing or testing for
plant and equipment supplied under the Contract in accordance with the
Employer's Requirements. Compensation shall include costs for preparation,
submittal, and revisions, as required by the Employer, of testing plans and
procedures; co-ordination with the Designated Contractors; completion of tests as
directed by the Employer on equipment, sub-systems, and systems; revisions, re-
testing, fault finding, adjustments and reworking as necessary; submittal of all test
reports and other documents for the approval of the Employers Representative.
Payment shall be made for each section after certification by the Contractor and
acceptance of the Employer that the sub-systems and systems, including all
equipment have successfully completed the test procedures, and have been set-
to-work and all test results and other documentation, as described in the
Employer's Requirements, have been duly submitted and accepted.

2.14 Prices for As-Built drawings shall be full compensation for the provision of As-Built
drawings in accordance with the Employer's Requirements. Compensation shall
include costs for the preparation, submission, and all subsequent revisions,
changes required and re-submittals as necessary and as required by the
Employers Requirements until accepted by the Employer. Payment shall be made
when all the As-Built drawings for each discipline have been reviewed and
accepted by the Employer.

2.15 Prices for supply of materials, shall include the full compensation for the materials
in accordance with the drawings and the Employer's Requirements.
Compensation shall include all costs incurred in procurement/ manufacture;

testing, inspection, and shipping; hauling, off-loading, and delivery to the Site, all
to the approval of the Employers Requirements.

2.16 Prices for installation/erection of items of plant and equipment shall be for the full
compensation for the installation/erection of plant and equipment in accordance
with the drawings and the Employer's Requirements. Compensation shall include
all costs incurred for transporting to the Site, off-loading and moving to point of
installation/erection within the Site; provision of specified foundations; preparing
for installation/erection and mounting on foundations; supply of left out items,
aligning, fastenings and securing devices; adjusting as necessary, making good
and clearing the location on completion, all to the approval of the Employers
Requirements.

3. Variations in Bill of Quantities

3.1 There shall be no variation in the rates of the Foundation Items mentioned in the
BOQ as a result of any variation in the quantities for the Foundation Items up to a
limit of one hundred percent (100%). There shall be no variation in the rates of the
items mentioned in the BOQ other than the Foundation Items, as a result of any
variation in the quantities of such items up to a limit of twenty five percent (25%).
Any increase beyond the aforesaid variation limits in the quantities shall be
mutually agreed between the Parties.

4. Taxes

4.1 The Contract Price shall be inclusive of all Taxes applicable in India or elsewhere
and the Employer shall not bear or pay any Taxes which may be payable in
respect of the Execution of the Works, including purchase of materials by the
Contractor. It is clarified that where any service tax is required to be paid by the
Employer for the services provided by the Contractor, the amount representing
such service tax shall also be deducted by the Employer from the payment made
to the Contractor.

4.2 All payments made by the Employer to the Contractor shall be subject to
deductions and withholding of applicable Taxes in accordance with Applicable
Laws. If the Contractor obtains a certificate from the relevant government
authorities that provide for lower rate(s) of deductions and/or withholding of
applicable taxes in respect of the payments to be made to the Contractor under
the Contract, then, upon the submission of such certificate to the Employer, the
deductions and/ or withholding of applicable Taxes from the payments made to
the Contractor under the Contract shall be made at the lower rate(s) as prescribed
under such certificate. However, if such certificate is revoked or withdrawn by the
relevant government authorities, then the deductions and/ or withholding of
applicable Taxes from the payments made to the Contractor under the Contract
shall be made in accordance with Applicable Laws. It is clarified that if the
Employer is exposed to financial implications (including penalty and/ or interest)
for making deductions and withholding of applicable Taxes at the lower rate(s) as
prescribed under the certificate as a result of the Contractor wrongly obtaining
such certificate or failing to inform the Employer of the revocation/ withdrawal of

such certificate by the relevant government authority in a timely manner or any


other reason whatsoever, then the Employer shall be entitled to recover the
amount of such financial implications from the Contractor by the deducting the
same from the payments due to the Contractor under the Contract and the
Contractor shall be liable to indemnify and keep the Employer indemnified against
all losses, damages, expenses, demands of every nature and description which
the Employer may incur in this regard.

4.3 In case there is a waiver/exemption/refund of any Taxes in full or part, in respect


of any other items required for the Execution of the Works or raw materials,
components and other materials to be utilised for the Works is granted
subsequently, the Employer shall issue, if required, the necessary certificates to
the Contractor to take advantage of such waiver, exemption or benefits on request
of the Contractor. The Contractor shall be responsible for obtaining such
exemption or benefits from the respective authorities. The Employer shall adjust
the Contract Price and the payment shall be made to the Contractor in
accordance with such adjusted Contract Price. In case the Contractor is eligible to
receive any benefits/refunds/exemptions, it will be the responsibility of the
Contactor to adhere to the conditions prescribed for claiming any such
benefits/refunds/exemptions.

4.4 It is clarified that income tax or other taxes payable on income earned by the
Contractor and any duty, fees, cess, imposts or any other levies and charges
applicable to the export of goods in the Contractors own country or any other
country shall be included in the Contract Price.

4.5 The Employer shall issue the necessary certificates as required under Indian
Income tax law/ other laws after deduction of applicable withholding taxes. The
Contractor shall be responsible for submission of such certificates to the
government authorities.

Outline Quality Plan

The Tenderer shall submit as part of his Tender an Outline Quality Plan illustrating the
intended means of compliance with the Employers Requirements (Volume III) and
setting out in summary form an adequate basis for the development of the more detailed
document required in accordance with the provisions of the Contract. The Outline Quality
Plan shall contain sufficient information to demonstrate clearly the proposed method of
achieving the Tenderers quality objectives with regard to the requirements of the
Contract.

The Tenderer may be requested to amplify, explain or develop its Outline Quality Plan
prior to the date of acceptance of the Tender and to provide more details with a view to
reaching provisional acceptance of such a plan.

Outline Safety Plan

The Tenderer shall submit as part of its Tender an Outline Safety Plan which shall
contain sufficient information to demonstrate clearly the Tenderers proposals for
achieving effective and efficient safety procedures in the supply, installation, testing and
commissioning of traction electrification, power supply, power distribution and SCADA
system. The Outline System Safety Assurance Plan should include an outline of the
safety procedures and regulations to be developed and the mechanism by which they
will be implemented for ensuring safety including Hazard Analysis, Fire Control,
Electromagnetic compatibility/Electro-magnetic Interference control, reliability, availability
and maintainability as given in this Tender.

The Tenderer shall also include in the Outline Safety Plan sufficient information to
demonstrate clearly the Tenderers proposal for the safety of the Plant / Equipment and
personnel at the Site. On the basis of this information, the Contractor shall develop a
Detailed Site Safety Plan as given in this Tender.

The Outline Safety Plan shall be headed with a formal statement of policy in relation to
safety and shall be sufficiently informative to define the Tenderers safety plans and set
out in summary an adequate basis for the development of the safety plan to be
submitted in accordance with the conditions of the Contract.

The Tenderer may be requested to amplify, explain or develop its Outline System Safety
Assurance Plan prior to the date of acceptance of the Tender and to provide more
details with a view to reaching provisional acceptance of such a plan.

Outline Environmental Plan

The Tenderer shall submit as part of its Tender an Outline Environmental Plan
illustrating the intended means of compliance with the Employer's Requirements
(Volume III) pertaining to the environmental protection. The Outline Environment Plan
shall form the basis for the development of the more detailed document to be submitted
as per conditions of the Contract. The Outline Environmental Plan shall contain sufficient
information to demonstrate clearly the proposed method of achieving the Tenderers
environmental objectives with regard to the requirement of the Contract.

The Tenderer may be requested to amplify, explain or develop its Outline Environmental
Plan prior to the date of acceptance of the Tender and to provide more details with a
view to reaching provisional acceptance of such a plan.

Structure of the Tenderer

The Tenderer shall supply a chart indicating the structure of the Tenderer (identifying
all constituents comprising the Tenderer in the event that the Tenderer is a joint venture,
partnership or consortium) and the ownership of each of the constituents comprising the
Tenderer, identifying all respective intermediate and ultimate holding companies.

COMPOSITION OF THE TENDERER

1. A notarised copy of Memorandum of Understanding (MOU) relating to the


composition of the Tenderer shall be submitted. For guidance, if the Tenderer is
a joint venture, consortium or a partnership then the joint venture, consortium or
partnership agreement is to be submitted by the Tenderer. Should the Tenderer
be an entity established or to be established to Tender for this Contract, details of
the shareholders agreement or proposed shareholders agreement shall be
supplied together with the percentage participation and percentage equity in the
agreements.

2. The contractual arrangements and copies of agreements in relation thereto must,


as a minimum, provide information on all the constituents, their respective
participation in the Tenderer, the management structure, ownership and control of
the constituents comprising the Tenderer and if, appropriate, the name of the
constituent who would have overall lead management responsibility for the Works,
the registered addresses of all the constituents and the names of their respective
senior partners, chairmen or managing directors, as appropriate. Such
agreements should also reflect the joint and several liabilities of the constituents to
the Employer in the event that the Contract is awarded to them and provide
deadlock provisions in the event that decisions of the joint venture, consortium or
partnership cannot be reached by unanimous agreement.

3. The Tenderer shall provide written confirmation that:

(a) The agreement or agreements submitted represent the entire


agreement between the constituents comprising the Tenderer as to the
Tenderers legal personnel;

(b) There is or are no other agreements relating to the Tenderer


incorporation, powers or organization which may affect in any way its
ability to carry out the Works; and

(c) No changes will be made to any such agreements during the Tender
period without first obtaining the Employers written consent to the
proposed change or changes.

Agreement dated 7 March, 2007 with Mumbai Metropolitan Region Development
Authority to develop the mass rapid transit system on the Versova-Andheri-
Ghatkoper corridor in the city of Mumbai, Maharashtra, India (Project).

"Joint Venture") which proposes to submit its techno commercial offer ("Tender")
to the Employer for the construction of elevated viaduct and stations for Versova-
Andheri-Ghatkoper corridor referred to as the Works).

3. One of the conditions for the submission of the Tender by the Joint Venture
prescribes that in case of a tenderer which is a joint venture or a consortium, one
of its members/ partners shall be nominated as lead member/ partner pursuant to
a power of attorney executed by all the other members, authorising such lead
member/ partner to represent each of them on behalf of the joint venture/
consortium and to have the power to bind each of them, jointly and severally, on
behalf of the joint venture/ consortium for the purpose of the Tender.

4. Consequently, the Partners hereby appoint [___], one of the partners/ members of
the Joint Venture, as the lead partner and as their lawfully constituted attorney, on
a revocable basis, with specific powers and authority to sign, execute and submit

the Joint Venture for which each of them shall be jointly and severally liable.

(d) To make such representations, warranties, undertakings and commitments as


may be required for the submission of the Tender or the Execution of the Works or
as may be required by the Employer in connection with the Tender and/ or the
Execution of the Works and any such representation, warranties, undertakings
and commitments shall be deemed to be given for and on behalf of the each of
the Partners and the Attorney and in the name of the Joint Venture for which each
of them shall be jointly and severally liable.

AND to do, execute and perform any other act or acts, deed or deeds, matters or things
whatsoever not specifically enumerated above and which in the opinion of the Attorney
ought to be done, executed and performed in relation to the Tender and/ or Execution of
