Subject: Interior Fit-Out Design & Consultancy

Dear Mr. Nicolas Arceo / Ms. Francesca Cally Tan,

I am pleased to submit my proposal for the Interior Fit-Out Design & Consultancy Services based on
the following terms and conditions:

1.0 TERMS OF REFERENCE

1.1 To provide Interior Interior Fit-Out Design & Consultancy for the Proposed Interior Fit-
Out having a floor area of approximately 70 sqm. with the following bare spaces:

2.0 SCHEMATIC DESIGN PHASE

2.1 Undertake conferences with the Client to ascertain the requirements of the project
and confirm such requirements.
2.2 Establish the Design theme and concept leading to a recommended solution for
approval of the Client.
2.3 Prepare a Schematic design presentation for preliminary approval. The presentation
shall include:

2.3.1 Schematic floor plans


2.3.2 3D perspective, as required to define proposed design character and to
illustrate the scale and relationship of Project components.

3.0 CONTRACT DOCUMENTATION PHASE

3.1 Based on the approved Architectural Schematic Design Documents, the Architect
shall prepare the complete construction drawings and documents consisting of the
following:

3.1.1 Detailed Architectural Space Plan


3.1.2 Reflected Ceiling Plans and Power Layouts
(Electrical Load Computation/ Engineering not included)
3.1.3 Interior Design Blow-up Drawings
3.1.4 Lighting Fixture Catalogue / Finishes (As per request)

3.2 If required, assist the Client and Project manager in the conduct of bidding, evaluation
of bids and in the awarding of contracts.
3.3 Submit five (5) sets of Architectural Layout (floor plan with furniture layout) in 20x30
paper size blueprints. Request for prints in excess of the stipulated 5 sets shall be
chargeable to the Client.

4.0 SITE INSPECTION PHASE

4.1 Conduct periodic meetings with the Client.


4.2 Make periodic visits to the project site to familiarize with the general progress
and quality of the work and to determine whether the work is proceeding in
accordance with the Contract Documents.
4.3 Examine and approve samples, schedules, shop drawings and other
requirements, subject to and in accordance with the descriptive information
and provisions of the Contract Documents and concurrence by the Client.
4.4 Liaise with the Client and Project Manager during the course of the
construction and installation of works to ensure continuity of design intent and
faithfulness of quality standards.
4.5 Make final inspection at the completion of the project, and evaluate the
quality of work of the Contractor and make recommendations.
4.6 The exhaustive or continuous on-site inspection to check the quality and
quantity of the work is not part of this Agreement. A third party based on a
separate contract of services may do such service.

5.0 DESIGN PROCESS DURATION

5.1 The project shall commence upon signing of agreement and receipt of all
relevant and necessary technical data, plans, etc. from the Client. The
estimated project duration as outlined below shall be reviewed with the Client
to assure timely adherence of project schedule and delivery:

Above schedule is exclusive of time spent for review/comment by the


Client and approval process.

6.0 PROFESSIONAL FEE

6.1 For Engineering and Interior Design Consultancy Services, the Client shall
compensate the Designer a lump sum fee in the amount equivalent to:

Five Hundred Pesos per Square Meter

or

Thirty Five Thousand Pesos only

(Php 35,000)

**Fee is net of all due taxes; an additional amount equivalent to 12% of design fee
shall be added should the Client require a receipt.

7.0 MANNER OF PAYMENT

7.1 The Client shall make payments to the Architect as follows:

7.1.1 Upon the completion of the Schematic Design Phase, but not more than
fifteen (15) days after approval of the Schematic Design by the Client, a sum
equal to thirty percent (50%) of the lump sum fee amounting to Php
Php17,500;

7.1.2 Upon the completion of the Contract Documents Phase, but not more than
fifteen (15) days after submission of the Contract Documents to the Client, a
sum equal to thirty percent (40%) of the lump sum fee amounting to Php
14,000;

7.1.3 Upon completion of the project and acceptance thereof by the Client, the
balance of the Architects Fee shall be paid a sum equal to ten percent (10%)
of the lump sum fee amounting to Php 3500.

7.2 The Client agrees to make partial payments during each of the various stages of the
work, upon request of the Architect / Designer, provided that such payments are
within the framework of the manner of payments outlined above.

8.0 INCLUSIONS AND EXCLUSIONS

The following items are excluded from the fees proposed:

8.1 Transportation expenses outside of Metro Manila per diem of the individual
consultants.

For out-of-town / out-of country trips, airfare fare, accommodations and travel
allowances equivalent to above listed per diem shall be charged to the Client.

8.2 Abortive Works caused by design changes outside our control.


8.3 Cost of submission to, obtaining permits and drawings/information from and
approvals from Authorities.
8.4 As-built and shop drawings.
8.5 Cost Estimates
8.6 Change order, which starts after the Contract Document Phase, as a result of work
variation shall be covered by a separate supplemental agreement. This may be in the
form of additional man-hour compensation.
8.7 Animation, Scaled Models and other specialty consultants
8.8 Expense of long distance communication.
8.9 Purchase of computer diskettes, sepias or prints from other consultants as required
for use.
8.10 Period of service to the project shall conclude after the estimated duration of each
phase of the project. Period of extension of service is subject to a separate
agreement.
8.11 Engineering design and works pertaining to repairs of utilities such as electrical
wiring, airconditioning, plumbing as well as structural investigation of the existing

house are not part of this contract. These works shall be undertaken by a third party
engineering team or builder commissioned by the Client to do the repairs.

9.0 REIMBURSIBLE EXPENSES

9.1 Any special costs incurred for the project such as additional services, reproduction
and revisions thereafter, photocopying, CADD plotting, all costs of blueprints, film
developing transportation, taxi fare in relation to the project, travel outside of the
Metro Manila area, long distance and overseas telephone calls, courier services and
postage outside of the Metro Manila areas, expenditures made at the specific request
of the Client which are not related to the basic project services described above. All
reimbursable expenses shall be billed monthly at cost plus a 10% services charge.

10.0 RESPONSIBILITIES OF THE CLIENT

10.1 The Client shall provide the Architect / Designer full information as to program
requirements for the project.
10.2 The Client shall designate, when necessary, representative(s) authorized to act on
his behalf. He shall examine documents submitted by the Architect and render
decisions pertaining thereto.
10.3 The Client shall furnish the Architect / Designer, at his own expense, dimensions and
complete data pertaining to the site and its improvements; full information as to
available service and utility lines, both public and private etc.
10.4 The Client shall pay for structural, chemical, mechanical, electrical, soil mechanics or
other tests and reports, if required. Investigations regarding the site conditions of
concealed elements (such as sewer, storm and water systems, etc.) especially if it will
require excavation or removals shall be charged to the Client.
10.5 The Client shall provide personnel of the Architect / Designer with the necessary
security clearances, passes and similar papers of authority during the conduct of the
Consultancy Services.
10.6 If during the course of the consultancy services, the Client observes or otherwise
becomes aware of any defect in information furnished, allied consultants work, or the
Architects service on the Project, he shall give prompt written notice thereof to the
Architect.

11.0 ADDITIONAL SERVICES

11.1 The following services are not included in the Basic Scope of Services but can be
provided by the Architect directly or through a sub-contractor in the form of separate
Contracts of Services:
11.1.1 Specialist Artist and CAD Walk-thru aside from the Conceptual Renderings
necessary to secure design approval from the Ownership/ Occupants
11.1.2 Special samples and models constructed for presentation purposes.
11.1.3 The production of As-built Documents/Housekeeping Manuals
11.1.4 Landscape design

12.0 SUSPENSION

12.1 If the work of the Architect is abandoned or suspended, in whole or in part, the
Architect is to be paid by the Client for the services rendered with the corresponding
fees due on each phase upon suspension or abandonment of the work.

12.2 In addition, the Client shall pay the Architect termination expenses of ten percent
(10%) of the remaining balance of the fee.

12.3 The project will be considered abandoned/suspended if theres no substantial activity
or movement within a period of (6) months in relation to each phases of the Project.

13.0 VALIDITY OF THE PROPOSAL

13.1 The rates stipulated in this proposal are fixed for a period of three (3) months from the
date of the proposal. For services required beyond one (1) year after Contract
Document Phase, a reasonable adjustment in the rates shall be negotiated.

14.0 OWNERSHIP OF THE DOCUMENTS

14.1 All architectural and design documents, not limited to plans, designs, drawings,
specifications, reports and copies thereof, prepared and furnished by the
Architect / Designer in connection with subject Project pursuant to this
Agreement, are instruments of professional service. As instruments of service
they are the intellectual property of the Architect whether the work for which they
are made may be executed or not, and are not to be reproduced or used on other
work except by written agreement with the Architect. This is in pursuance with the
pertinent provisions of Republic Act (R.A.) No. 9266, promulgated on March 17,
2004, effective 10 April 2004, and of R.A. No. 8293, otherwise known as the
"Intellectual Property Code of the Philippines" approved in 1997.
