Dear Sir,

Subject: Letter of Intent for Providing Facility Management Services.

With reference to your proposal and subsequent discussions we had with you, we are
pleased to appoint Quess Corp Ltd. (“QUESS”) to provide Housekeeping Services as
more specifically mentioned in the QUESS proposal, at our premises located at (Address)
commencing from (start date), for a period of () Months.

1. We agree to have the agreement signed within 30 days or before the “GO LIVE”
date.

2. In consideration of the Services and Deployment of manpower as per Annexure -

I, we shall pay to QUESS charges amounting to Rs. (contractual amount per
month) per month excluding Service Tax, including Manpower & Machine Rental
as specified. However, it is clarified that QUESS shall raise the invoice as per
actual deployment and attendance and payment shall be made accordingly. The
manpower deployment and total charges payable as provided by you are
attached with the LOI as Annexure – I.

3. We have agreed to release the payments on the basis of this LOI till such time
the Agreement is executed between the parties. The said Charges shall be
payable within 30 days from the date of submission of invoice by QUESS.

4. However, if the government issues any notification concerning increase in

minimum salaries/wages during the pendency of the Agreement, such an
increase in salaries/wages along with consequential increase in other statutory
payments like PF, ESIC, Bonus, Leave Salary, Gratuity etc. will become payable by
the Client in which case the Charges payable may be accordingly amended.
5. QUESS shall provide the Services in accordance with the proposal and as per the
final discussions and understanding.

6. As confirmation of the terms and conditions herein we request you to sign the
attached copy of this letter and return the same to us.
