HOMES OPERATOR AGREEMENT

THIS AGREEMENT is effective as of (the “effective date”) BY AND BETWEEN:

MDP VENTURES PHIL INC, SEC REGISTRATION NO: CS201705581

A corporation organized and existing under the laws of the Republic of the Philippines with its head
office located at Unit 4, Fuel Star Gasoline Station, MabiniHomesite, Cor. VillaLuzSubd. Cabanatuan City,
Nueva Ecija, Philippines.

(hereinafter referred to as “MDP”)

and

Mr. / Ms.

(hereinafter referred to as “HOMES OPERATOR”)

Whereas:

MDP is the exclusive supplier ofShantahlIlash Grower, Shantahl Bleaching Cream,NutriNoni Mix Juice,
Go Fit Green Coffee, Tocoma, Smooth and Pure Peeling Gel

MDP has determined that to be able to create a bigger market reach it is advantageous to coordinate its
distribution activities with a distributor on different territories who possesses the capability on
marketing and has extensive network on his/her territory.

HOMES OPERATORwishes to enter into this agreement with MDP, whereby the HOMES OPERATOR will
undertake the distribution and sale of products based on the terms and conditions of the company.

HOMES OPERATORSwill use the MDP SYSTEM. MDP agrees to cater the receiving of payments and
delivery of MDP products for the clients of HOMES OPERATORSthrough COD, Drop by, or DropShip.
 –WITNESSETH–

That for and in consideration of the mutual covenants, terms and conditions herein contained, the two
parties agree as follows:

1. Membership
a. The HOMES OPERATORagrees to buy the Package Membership Price of P10,000 which includes
sample productsand system fee.

2. Products:

a. The HOMES OPERATORis allowed to sell products across the country and outside the
country for selling to end users or his/her wholesalers, or resellers that has purchased the
membership package to the company .
b. TheHOMES OPERATORis not allowed to create another reseller programs or promos, except
the ones set by the company only.
c. HOMES OPERATORare not allowed to sell other products of a different company using the
system of MDP.
d. HOMES OPERATORS are not allowed to post or sell products at online shopping platforms
like Lazada, Shoppee, or any websites alike.
e. HOMES OPERATORS are not allowed to have on hand stocks.

3. Selling prices :
a. HOMES OPERATORagrees to sell products at suggest retail price. ANY HOMES
OPERATORfound in violation of such shall be SUBJECT FOR TERMINATION OF CONTRACT as
HOMES OPERATOR with or without prior notice.

4. Commissions

Encashment of commissions are open on the website every Wednesday. Encashment’s will be
deposited on every Friday’s at HOMES OPERATOR’S bank account.
5. Office
a. The HOMES OPERATOR is required to provide either a home-based office or an office
outside of his/her premise.
b. The HOMES OPERATORin case of putting his own physical office, shall be responsible on
securing his/her own business permits,DTI at least, and other possible permits.
c. The HOMES OPERATOR is required to put up a computer system for the use of his/her sales
associates.
d. The HOMES OPERATOR and his/her team are required to undergo to the training procedure
of the company operations before starting his/her own operations.
e. The HOMES OPERATORshall be responsible for his/her own hired staff’s : accommodation,
salary or commission, benefits.

6. Training Procedure
a. Training schedule is subject for approval, upon letter of request.
b. The operator or representatives may choose of the following options
1. They may visit the nearest satellite office for training.
2. Or they may visit the main office for training.
3. Or they may join a webinar training session.
c. Training shall be free, but the expenses of travel and other personal expenses shall be at
the expense of the operator or representatives of the group.

7. Validity of contract
a. The contract shall be valid for 1 year. The HOMES OPERATORmay or may not continue to
operate his/her business operations at an appointed time; the HOMES OPERATOR should
inform the company at least 15-30 days before the requested period.

b. The HOMES OPERATOR after a year,may choose to sign a renewal of contract for another 1
year. (without renewal fee)

8. Terms and conditions

a. The company’s terms and conditions are subject to change, with or without prior notice.
