Healinc Telecom is a startup providing video interpreting for deaf and hard of hearing
individuals plus video language to language interpreting. Company was operational but
needed seasoned management to create processes and growth. Assembled outstanding
management team and created 500% revenue growth first year. Company operates in a
complete remote environment with senior management distributed across 5 states and
interpreters distributed throughout most states.
Directed video Remote Interpreting program to provide Language Interpreting Services for
Medical facilities that provided ADA compliance. These facilities ranged in size from large
Medical Centers through smaller individual facilities. This association required direct and
frequent contact with Senior Medical staff and provided insight and understanding to the
processes and medical regulations covering the Medical Industry.

The Thurston Group, Inc. is a private Chicago-based private equity firm organized in 1988
that invests in start-up and early stage companies with the potential to achieve significant
capital appreciation. Thurston has acted as a principal or an advisor in investment
transactions totaling over $250 million and an aggregate market capitalization of
approximately $3.5 billion. Thurston focuses on the rapidly growing and changing info-
communications industry. Thurston combines internal and external research to identify
promising investment themes and identify companies and business models that have a
unique opportunity to exploit these emerging trends.
The Thurston strategy is focused on promising investment opportunities, targeted investment
themes within the broader technology sector, a collaborative relationship with management
that adds value and an opportunistic view regarding value realization that balances risk and
return. Within the broad universe of technology, Internet and telecommunications, Thurston
is focused on certain investment themes that they believe offer above average opportunities
for success.
The Thurston Group realized in late 1997 that they needed to employ a resource possessing
a very high level of telecommunications managerial and technical expertise. They retained
the
firm of Stanton Chase International to conduct a search for the ideal candidate. After
processing approximately 125 executive level resumes, conducting 25 first round, 10 second
round and 4 final interviews I was selected to join the Thurston Group. In this capacity I
participated at the most senior level in many subsequent businesses.

The Thurston Group provided the initial funding and management for the following
companies: Aelix, S.E.C.C. Millecom Italia and Millecom. I directly participated in all aspects
of these companies from initial start up through final disposition of S.E.C.C., Millecom Italia
and Millecom. My association with, and contribution to, these companies is addressed in the
following pages.

Startup Company Profile:

Aelix, located in Los Angeles, was formed in 1999 by the Thurston Group to become a
Communications Applications Services Provider (CASP) with an International presence.
Aelix inherited Qorus.com, a Los Angeles based Thurston owned company that
provided Unified Messaging Services (UMS). The Aelix management team quickly
understood the market need to build upon the UMS product and provide a complete
suite of ubiquitous messaging products. Company size: 27 personnel with $8 million
funding. Services and applications provided by Aelix include Email, Voice, Fax, Unified
Messaging, Presence management, Text to Voice, Speech Recognition, SMS
messaging and Text paging, all integrated into the proprietary Intelligence layer that
incorporated presence management.
The Aelix OmniReach solution allows corporations to interconnect to Aelix via any
protocol, format or data rate, and have any messages delivered quickly via any medium
and formatted to be received by any device.

Professional Experience:

 Complete responsibility for rebuilding team in Qorus.com (later renamed Aelix,


Inc.), including replacing senior management, hiring additional engineers,
programmers and administration staff, acquiring additional floor space, budgeting,
cost analysis, personnel administration.
 With original CEO developed complete business plan and met with investors
during round of fundraising. Developed complete financial requirements for
company through 2004. Showed financial benefits of new corporate CASP focus
with overall revenue model, with very positive results.
 Reviewed and developed applications to be integrated into service offering.
Followed up by determining engineering effort to integrate into current architecture,
and leading initial development efforts.
 Defined technology for core applications platform and serviced offerings.
Standardized technology to allow integration of divergent applications and
integrated billing platform.
 Defined, hired and implemented International Customer Relationship
Management (CRM) team. Hired CRM staff developed and implemented
Service Level Agreement (SLA) program with customers, developed internal CRM
process and procedures.
 Responsible for complete fiscal, technical, operational, and functional review
of potential acquisitions. Selecting best-fit companies for acquisition. Work with
Thurston group and CEO during acquisition negotiations. Currently completing
acquisition of LEC Billing Company.

Startup Company Profile:

Southern European Communications Corp. (SECC) was formed in 1999 to oversee


the development and build out of telecommunications infrastructures in Europe. SECC
was the parent company for Millecom Italia a startup CLEC in Italy, with an initial focus
on pre-paid calling cards. Company size: 7 people with $1.2 million funding. This was a
ground up start with no acquisitions and was based upon relationships I had with the
major telecom companies in Italy. These included, Telecom Italia, Albacom, WorldCom,
Selta, Northern Telecom, Siemens, Lucent and Italtel. Launched and executed
intense program to determine viability of business plan. Within 3 months of the start
date the company was operational with a small switch in Milan, Italy and was
generating revenue. Growth rate at the time company was sold to Italian partner was
250% monthly.

Professional Experience:

 Member of the Board of Directors for Millecom Italia. Provided complete direction
and oversight for start up of business on behalf of the Thurston Group. Interfaced
directly with all American and Italian business partners.
 Hired Law Firm of Carnelutti in Milan to be the legal representative for
corporation. Oversaw company incorporation under Italian law. Provided draft
input for all contractual documents. Directly negotiated, with assistance from
Carnelutti lawyers, all contracts and agreements. These included agreements for
collocation, network facilities, network terminations and international access as a
result of doing business in Italy.
 Developed operational financial model used to determine costs, usage sensitive
customer rate plans, projected revenue, and funding necessary for growth, ROI
and depreciation.
 Responsible for all telecommunications infrastructure design, purchase,
installation and operation. Initial plan was to start with modest facility to perform
proof-of-concept test.
 Planned and Negotiated distribution network with Italian partner. Drafted and
implemented contract with largest periodical distribution company in Italy, SO.DI.P.
Spa, in Italy for placement of pre-paid calling cards.
 Set up Italian based customer service center based in Milan. Included hiring
and training of personnel.
 Setup complete operational system for company with remote access allowing
anyplace / anytime surveillance, configuration and maintenance.

Startup Company Profile:

MilleCom was formed in 1998 as a Telecom company providing Wholesale


International termination service, and pre-paid calling card services. Company size: 7
people with $1.75 million funding. Quick growth was planned to be accomplished
through the acquisition of companies in the field that provided these services, or the
leveraged start up of a company that would provide these services. Initial planning
included the due diligence of several companies that could be acquired.

Funding was set up to allow a 1-year period of acquisitions and build out. Legal
complications slowed the initial growth of the company. Specifically, the first company
acquired pursued legal action to terminate signed agreement. This untimely, costly
action resulted in Millecom ceasing operations at the end of the first year.

Professional Experience:

· Developed Network Operational and Implementation plan. Plan called for the
acquisition of several small companies that would provide the infrastructure
necessary to implement the network plan. Plan was exceptionally aggressive with
the simultaneous acquisition of both US and Italian based companies.

· Performed due diligence analysis of prospective acquisition companies. This


included complete due diligence of four companies in the United States that would
form the hub for the network implementation plan. Also performed due diligence of
4 Italian companies, one of which would be selected as the terminating point for
telecom traffic into Italy.

· Oversaw first two US acquisitions and developed growth plan based upon
milestones necessary to provide wholesale services concurrent with International
acquisitions.

· Accomplished first Italian acquisition. Included review of many companies in Italy


that fit the criteria for an acquisition candidate, performing the majority of due
diligence, working with local Italian law firm to develop suitable contract. Negotiated
complete contract with representatives of the proposed acquisition company and
their attorneys.

· Responsible for legal and technical disassembly and accountability of Millecom


and its assets.

Chief Operating Officer (COO)

Company Profile:
Nusantara Communications, Inc. (previously Noller Communications, Inc.) is the product
research and development company for the Advanced Rural Telecommunications System
ARTS™ wireless rural telephony system. NCI is the wholly owned subsidiary of the largest
privately held Indonesian company, Bakrie and Brothers in Jakarta, Indonesia. As COO was
senior resident manager responsible for all company activities. Reported to CEO whose
office was in Jakarta.
Prior to joining NCI, company was experiencing engineering and production difficulties and
did not have a comprehensive plan for bringing product to commercial release level. I
developed and implemented programs and plans to ensure timely delivery of critical product
components. This resulted in the company getting the product to market on schedule.
Assumed leadership role for Sales and Marketing group ensuring relationships were
established with customers in Poland and Indonesia, and dates met for delivery of systems.

Professional Experience:

· Developed long-range corporate financial and operational plans with CEO.


· Responsible for all aspects of managing company financial, operational, and
engineering efforts. $15 million annual budget, 100 personnel. Interface with Arts
International Limited (AIL) the corporate marketing company for product planning.
Ensure products to be developed will conform to all applicable National and
International governing body specifications.
· Successfully lead and managed company from point of having ARTS™ product
at pre-production level to early 1998 status which included 1.0 release production
ready wireless telephone system. Next generation, 1.2 release, was on schedule to
be released in 1998. Met all schedules, well within the allotted budget.
· Put together comprehensive financial package designed to give customers the
ability to get immediately funding to purchase the ARTS™ product. This was
accomplished with various financial institutions (including; Union Bank of California
and London Forfaiting)

Nusantara Communications, Inc. / Noller Communications, Inc. (NCI) Cont:
· Developed partnerships in Latin America for sale and support of ARTS™
product. This includes the development of contracts, partnership agreements, and
(Request For Proposal) RFP and other requested proposal submissions.
Instrumental in success of first $1M contract with $40M follow on business.
· Directed marketing organization on the first large proposal submitted to a
private telecommunications operator in Poland. Result was the first contract in
Europe for NCI
· Provided main interface for all Poland activities including setting up a Polish
joint venture company, interviewing and selecting companies to provide installation,
maintenance, and manufacturing support in Poland. Negotiated contract with
customer, determined requirements for performing in country installations and
maintenance. Worked closely with local government in establishing in country
facilities for all corporate operations. Transferred responsibility for implementation
of $40M project to marketing company.
· Responsible for developmental and operational activities. This included
initiating and implementing processes and review criteria. This reduced
development time by 15%.
· Planned and Coordinated first International certification for ARTS™ system.
This included working out parameters and logistics of concurrent testing in both
California and Indonesia. Oversaw testing and held reviews with high level
government and customer representatives to ensure certification success.
· Effectively implemented change in strategy late in the product development
cycle to include the planning and implementation of high-speed data capability
within system. This feature has been implemented, without significant schedule
delay, and is currently in trial phase.
· Set up prototype and volume manufacturing organizations in Indonesia to
accommodate low quantity engineering support and high quantity production
manufacturing. Trained Indonesian representatives in all facets of manufacturing.
Audited first prototype system to ensure it met operational requirements.

Director, Field Operations

Company Profile:

McCaw Cellular Communications was the parent company for the cellular properties
owned and operated by Craig McCaw. McCaw Cellular Communications was the
headquarters for all national activities within the Cellular One Brand. Company size:
approx 2500 people with sufficient funding.
In late 1991 United Parcel Service (UPS) had put out an RFP for the outsourcing of a
complete infrastructure to provide communications between its corporate IT facility in
Mahwah, New Jersey and its package delivery vehicles. McCaw Cellular
Communications ultimately won the bid to provide this service.
I was recruited to join McCaw Cellular Communications as the Program Manager for
the implementation of the UPS national circuit switched data network.
Promoted to Director as a direct result of exceptional accomplishments as the
Program Manager of the UPS nationwide cellular circuit switched data network
implementation. This program resulted in an additional revenue stream of $4.5 M per
year.
Oversaw the implementation of the national Cellular Digital Packet Data (CDPD)
rollout. Set up the largest cellular Network Operations Center (NOC) in Kirkland that
provided real time surveillance of all McCaw networks.

Professional Experience:

· Responsible for nationwide Cellular Digital Packet Data (CDPD) Network. This
included Planning, Engineering, Installation and Maintenance. Coordinated all
interface activities with 104 McCaw Markets Nationwide. Directed the installation of
CDPD equipment in McCaw Markets throughout the United States.
· Formed and directed organization that performed system tests and RF Tuning.
Performed engineering studies to ensure successful integration of this technology
into currently active cellular markets.
· Planned, designed and implemented CDPD Call Center. This 24 X 7 operation
was staffed by various levels of technical and customer service

skilled personnel. This center handled customer service for all national markets.
Successfully brought first McCaw CDPD Markets on line. Maintained interface
between (UPS) and most of the National cellular carriers.
· Responsible for nationwide cellular circuit switched data network. Including the
coordination of circuits and equipment installations in all 104 McCaw owned and
jointly owned properties, and the coordination of the same with 88 others cellular
carriers. Completed on schedule, under budget.
· Responsible for the development of an alliance between UPS and 88 other
cellular carriers. This was the first time in the history of cellular carriers that this had
been attempted. As competitors for cellular customers the implementation of this
alliance was difficult and time consuming, with significant initial effort spent with
attorneys. When implemented, this consortium provided virtually seamless usage
for UPS vehicles.
· Directed Andersen consulting in the design and development of the billing
system for UPS application. Set up a subsidiary company that provided all the
billing associated with the UPS data. This company reported to both UPS and the
carrier consortium.

VUTECH, INC.

Founded, funded and provided managerial, technical and business leadership for
VuTech, Inc., a company that integrated, developed, installed and managed custom
sophisticated telecommunications and alarm systems for large yachts. Company size:
5 full time people, $100 K funding.
The company location was critical due to the large ship building industry in the Seattle
area. VuTech, Inc. became well known in the industry in late 1990 when it won the
contract to provide a complete telecommunications and alarm system for the 72 foot
Burger Yacht “Powerplay”. The success of this program put VuTech immediately in
the middle of the industry. VuTech was subsequently sought out to provide response
to major RFP’s that were submitted within the industry. Business growth was strong at
about 50% per year.
Sold company in 1992 to group who had expressed interest in making an investment
in VuTech.

Professional Experience:

· Designed and Built attractive booth used at trade shows. First year concentrated
on marketing company through Trade shows and mailings to selected portion of the
yachting industry.
· Engineered, Developed, Built and Tested sophisticated systems integration
components used for yacht systems.
· Performed feasibility and engineering studies needed to respond to RFP’s for
total telecommunications and alarm systems integration.
· Developed relationships with key individuals in the industry ensuring VuTech was a
well known, well represented company.
· Facilitated primary customer interface. Oversaw Engineering, Installations,
System Testing and customer acceptance. Worked directly with either owner or
vessel Captain for scheduling and systems integration efforts.
· VuTech maintained positive cash flow 1 year after its establishment.

Associate Director, Station Technology

Company Profile:
During my tenure with this company the Bell System divestiture occurred and New
York Telephone was combined with New England Telephone to form NYNEX. I
held positions with various departments in this company ranging from a Member of
the Technical Staff, to Director. In each position I made a significant measurable
contribution to the business.

Professional Experience:
· Project Leader for $33 million New Station Technology development project.
This project replaced the existing mechanical pay telephones with electronic smart
phones. Drafted the RFP, reviewed responses and made final selection of vendor.
When implemented project provided annual savings of $17.6 million.
· Chaired the first New York Telephone Company Quality Action Team (QAT).
Resulted in savings to the company of $1.7 Million annually. Success of this team
was highlighted in company video used during QAT training seminars.
· Started first Bell System self-maintenance group that performed maintenance
throughout New York Telephone. Had complete managerial and financial
accountability. In 7 years brought annual profit from $470 thousand to $6.16
million.
· Designed, developed, built and implemented the first NYNEX mobile pay
telephone kiosk, which was based on both smart pay telephone and cellular
technologies. This towable completely self-sufficient fully operational pay
telephone Kiosk was used in many New York City parades as advertisement for
NYNEX
