Section I

General Terms and Conditions of Tender

1. Background:-

This scheme of FFM is introduced to reduce techno commercial losses of feeder’s. This FFM
scheme will help to improve the services of consumer.

This scheme is incentive based on, in proportion to loss reduction and increase in revenue thereby.
The non Ag feeders which are categorized under E, F, G (G1, G2, G3) groups, having DCL losses more
than 42% are on top priority for Feeder Franchisee Scheme. This scheme will also help MSEDCL’s
efforts to bring down E, F, G groups to load shedding free feeders.

Objectives of the Scheme

MSEDCL’s objective of appointing a Feeder Franchisee Manager (FFM) in the Franchise Area are:

 Bring down the loss level

 Improve collection efficiency

 Regularisation of illegal connection and curbing theft

 Revamping the network on LT side

 Facilitation for energy audit

 Meeting one of the objectives of National Electricity Policy of per capita consumption of 1000 Kwh / Year

 Achieve effective demand side management and energy conservation

 Elimination of fatal electrical accident

 The selection of interested parties shall be through a transparent bidding process.

Salient Features of the Scheme

 The scheme encompasses all the activities relating to the distribution of power to the existing/future
consumers within the designated Feeder Area, maintenance of the Distribution Assets on LT sides of DTCs
on the Feeder and all related activities subject to the terms and conditions as stipulated from time to time by
MSEDCL and MERC.

2. Qualifying Requirement of the vendor:-

The bidder shall fulfill following requirements:

a) Should have Bachelor degree in electrical/electronic engineering.

b) Should have Bachelor degree in engineering other than electrical/electronic engineering with experience of
atleast one year in the relevant field.
OR
c) Should have Diploma in engineering or equivalent with 3 years experience.

OR

d) Should have retired MSEDCL Engineer.


e) Should possess valid electrical contractor license.
f) The staff working under him shall possess at least ITI Certificate for electrical work.
g) PF, ESIC and other statutory requirements as per law to be obtained within one month of awarding of the
work.

3. Prices:-

4. Taxes and Duties:- Bidder shall indicate the taxes & duties against respective clauses in Annexure A without
any ambiguity. In case, any of the taxes & duties is not payable, bidder shall indicate the reason thereof duly
supported by documentary evidence.

5. Quotation: -

The bidder is requested to ensure that the comments against each item / clause of
Annexure/Questionnaire shall be clearly filled in and answered. Any item/clause shall not be left blank or
unanswered. If any item/clause is not applicable, the words "Not Applicable" shall be written against it.

6. Earnest Money Deposit (EMD):-

The tenderer should pay the Earnest Money @ Rs__________________). The earnest money shall be
through DD payable at ________________ in favor of MSEDCL, O & M Circle, ___________. Interest shall not be
allowed on EMD. Earnest money deposit shall be forfeited (i) in case the tenderer withdraws the tender/offer during
the validity period (ii) in case the tenderer fails to pay the security deposit, if the contract is awarded.

7. Signing of the Tender Document :-

Offer must be submitted along with the tender documents and be clearly and legibly filled in with all
annexure etc. and must be either in ink or typewritten and all the documents should be digitally signed on each
page. Tender not signed and/or initialed as above shall be rejected. Tender shall be signed by the person/s duly
authorized by the company to submit the tenders on behalf of the company and shall be accompanied by certified
true copies of resolution / special or general Power of Attorney clearly indicating the name and designation of the
person/s signing the tender.

8. Submission of Tender Document:-

The offer is to be submitted through e-tendering process in two bids as explained below :

[a] PART-I

Bid 1 for this part shall contain all Technical aspects of the Bid and documents supporting the same except
the price bid. All papers/documents desired to be submitted should be uploaded through file in pdf. format. The
EMD is to be paid by DD deposited at Circle Office in due time and scan copy of DD / MR shall be attached with
documents or BG which should be submitted at Circle Office in due time and scan copy of BG shall be attached
with documents. The price bid will be opened only in case of payment of EMD within due date subject to condition
that the offer is otherwise acceptable.

[b] PART – II

Bid 2 for this part shall contain only the Price Bid, strictly in the prescribed format i.e. Annexure - 'A’ & to be
uploaded in a single file in pdf. format.

Method of Submission of Bid and Other Documents:

[a] The Part 1 & part 2 of tender documents to be submitted through e-tendering process. Separate single
file for each part to be uploaded for all documents in pdf. format.

Tenderer whose technical bid is acceptable, then price bid will be opened through e-tendering
process.

9. Timely Submission of Offer :-

a. Tender documents received after the due date and time of submission will not be accepted.

b. This office takes no responsibility for delay / loss/ non uploading of bid documents due to network
problems.

c. In case the date of opening happens to be holiday, the tender shall be opened on the next working day at
the same time.

MSEDCL reserves the right to reject any or all offers without assigning any reason thereof.

10. Disregard of Tender Conditions:-

Tender containing any deviations/additions/alterations/changes in the general terms and conditions of


tender shall not be acceptable. The tenderer having signed all the tender documents indicates any deviations/
additions/alterations/changes in the covering letter, unrelated annexure and schedules of the offer or elsewhere, the
same shall be ignored and the offer shall be treated as meeting with all specified tender conditions.

11. Prohibition of Post Tender Correspondence:-

The Tenderer should note that no correspondence shall be entertained or considered after the due date and
time of submission of tender unless otherwise sought by the MSEDCL.

12. Notification of Award:-

Notification of Award of contract will be made by a letter of Award, to be sent by registered post or given by
hand, to the successful tenderer by MSEDCL. It could also be made e-mail or by Fax to be confirmed in writing by
registered post to the successful tenderer by MSEDCL. The contract shall be considered as having come in to force
from the date of Notification of Award.

13. Earnest Money of Unsuccessful Bidder:-

Earnest money deposited shall be returned to the unsuccessful tenderer as soon as possible after the
tender has been decided and on submission of Application of E.M.D. payment to the Superintending Engineer, O &
M Circle, MSEDCL, _____________along with original money receipt.

SECTION II

CONDITIONS OF CONTRACT

1. Scope:-

The scope of the work included under this contract will be as follows:-

Brief Roles and Responsibilities of Feeder Franchisee Manager (FFM)

 Discharging all duties and responsibilities on behalf of MSEDCL as per the terms and conditions of the
License given by MERC.

 Undertaking any other activity as may be notified from time to time by MERC to Distribution Licensee.

 Complying with all the directives issued from time to time by MERC, MSEDCL and GoM / GoI.

 Undertaking all Operations and Maintenance related activities in the Feeder Area.

 Maintaining the existing distribution network and replacing failed distribution transformers and defective
meters within the prescribed time frame as per MERC SOP/ directive as amended from time to time,
including repair of the same. However, all required spares will be supplied by MSEDCL on demand by FFM
after joint verification.

 The list of minimum O&M spares (for a requirement of a week) shall be prepared on mutual decision of
MSEDCL and FFM, and the same inventory shall be handed over to FFM to carryout day to day
maintenance and emergency breakdown.

 The concern Executive Engineer of the division shall be responsible to keep one DTC of each capacity as
earmarked for FFM. The earmarked DTCs shall be used during emergency breakdown to ensure the
restoration of supply to the consumers in a shortest possible time. The modality for the same will be
decided mutually between concerned Executive Engineer and FFM.

 Administering and maintaining the ongoing contracts, if required by Distribution Franchisee, entered into by
MSEDCL. Alternatively, FFM may cancel the ongoing contract as per the terms and conditions of the
contracts entered into by MSEDCL, with the exception of contracts for capital expenditure. Any cancellation
of ongoing contracts would require written consent from MSEDCL.

 Collection of arrears as an agent of MSEDCL, and remittance of the same as per the terms and conditions
of the FFM agreement.

 Allotting new connections and carrying out all necessary activities for release of the same as per applicable
Law.

 Carrying out periodical demand estimation/ load forecasting and apprising MSEDCL of the same.

 Maintaining the existing distribution network/ systems/ assets under O&M as per Prudent Utility Practices
and the standards that may be prescribed by MERC.

 Initiating necessary action, in accordance with the Electricity Act, to prevent the theft of power, interference
with meters and extinguishing public lamps, theft of electric lines and material etc. including the
proceedings under Section 126 of the Electricity Act 2003, although the FFM shall not be responsible for
the operations and maintenance of street lights in the proposed Franchise Feeder.

 Replacement of old/defective meters with new meters. (Meters will be provided by MSEDCL). The
authorized line staff will cut off the supply and make the consumer installation “electrically dead” and
earthed and then allow the person of FFM to change the meter.

 Registering Commercial and Billing complaints and forwarding the same to concerned Sub Division and
Division.

 Detection and removal of Hooks, Theft of energy, Removal of unauthorized extensions of load and reporting
to concerned Sub Division and Division. Before removing the hooks, the line will be made “electrically dead”
and shall be earthed by the authorized staff of MSDCL.

 Initiate necessary action for disconnections and reduction of commercial losses.

 Giving feedback about field realities to the concerned Sub Division and Division on regular basis.

 Other activities as may be notified from time to time by MERC/MSEDCL.

Support given by MSEDCL

 MSEDCL shall supply the power at Feeder level LT sides as per its aggregated power supply and load
shedding schedule planned periodically, based on directives issued by MERC on load shedding and
availability of EHV transmission capacity;

 MSEDCL shall communicate to FFM any shortfall or inability to supply the scheduled power requirements of
the FFM;

 MSEDCL shall maintain adequate inventory of operating spares to enable speedy repair of faults;

 MSEDCL shall supply all spares required to carryout O&M on the LT network;

 MSEDCL shall carry out New Capital Expenditure in the Franchise Feeder;

 Upgrading and renovating the existing distribution network/ systems/ assets under capital expenditure
(CAPEX) as per Prudent Utility Practices and the standards that may be prescribed by MERC, However,
spares will be supplied by MSEDCL after joint verification and demand by FFM;

 All Commercial Activities related to billing of consumers, meter reading, bill distribution and collection to be
undertaken by MSEDCL;

 Preliminary redressal of Commercial Complaints such as those relating to security deposit, change of load
category, interest, arrears, penalty, etc. and Billing Complaints in accordance with MERC regulations;

 MSEDCL shall settle the account of debit/ credit between MSEDCL and FFM within seven working days of
subsequent month;

 At no circumstances MSEDCL shall draw energy from any point / feeder/ transformer of franchisee’s
designated area;

 MSEDCL shall make the designated Feeder area technically isolated and all crossover points shall be
removed.

2. Commencement of work:-

The Letter of Award and the detailed order shall be issued by Superintending Engineer O & M Circle,
MSEDCL, ____________________-. The contract shall come into effect from the date of Letter of Award. However,
the successful bidder shall start the work from the stipulated date mutually agreed between the Executive Engineer,
O & M Division, MSEDCL, _________________ and the Successful bidder. However, this period shall not be more
than 30 days from the date of Letter of Award. Before execution of work Bidder has to execute an Agreement with
employer.

3. Quantity:-

The quantity shown in the “Tender Details” is indicative and not final. The actual quantity shall be allocated
by the Executive Engineer of concerned Division. However, the quantity of consumers may increase due to addition
of new consumers or decrease due to permanent disconnections in every billing cycle. Successful bidder must take
into account such possible variations.

4. Manpower :-

a) All the manpower employed by the successful bidder shall be paid as per the minimum wages act and as
per the policies of MSEDCL.

b) List of all the manpower employed having employee details, Provident Fund no., ESIC no. shall be
submitted to the Executive Engineer office within one month of award of contract.

c) All manpower deployed by the Agency should be ITI holders qualified and trained for the job intended to be
performed by them.

d) The manpower should be conversant with local language in addition to working knowledge of English,
Hindi, so as to interact politely with consumers.

e) The deputed manpower should be extremely polite with consumers and should be able to address
consumer grievances about bills issued.

f) The manpower shall be properly dressed. It will be mandatory for employees of Successful bidder to
display the Identity Card at all such times when they are on the field. The ID card will be issued by
successful bidder with intimation of list of such employees to MSEDCL.

g) MSEDCL will carry out independent checks, as required.

h) Sufficient number of efficient coordinators will have to be employed by Agency to ensure smooth working
with different MSEDCL offices.

i) If the Employer asks the contractor to remove a person who is a member of Contractors staff or work force,
the Contractor is to ensure that the person leaves the site within seven days and such person will have no
further connection with the work in the contract.

j) Serious action shall be initiated against the successful bidder if any of the manpower deployed by him
misbehaves with any of the consumers/MSEDCL officials or gets into any act which could hamper the
image of MSEDCL.

5. Other Terms and conditions:-

a) j. M.S.E.D.C.L. will be at liberty to get the work done departmentally or through any other agency at your
risk and cost, in case of failure to carry out the work during the period of contract and will be recovered from
the agency.

b) All the required Instruments, T&P, along with the necessary consumables will have to be arranged by the
Successful bidder itself.

c) k. Subletting of this contract will not allowed, otherwise the contract will be terminated and Security Deposit
will be for-fitted.

d) l. The liability towards compensation against any accident to your labour / staff during the course of contract
will be the responsibility of successful bidder and nothing will be paid by M.S.E.D.C.L. on this account.

e) m. Beside this terms and conditions, the condition printed in M.S.E.D.C.L. book-lets will also be applicable
to this contract.

6. Fulfillment of statutory regulations and applicable acts:-

a) Successful bidder shall bear the entire responsibility, liability and risk relating to coverage of work force
under different statutory regulations including but not limited to Workmen Compensation Act, ESI Act,
Factory Act, Contract Labour Act 1970, etc. and any other relevant regulations, as the case may be.

b) Successful bidder will indemnify MSEDCL against any liability or damages by way of compensation arising
from any accident to person or property of persons in the successful bidder Agency's employment.

c) Successful bidder shall indemnify MSEDCL against any liability or damages by way of compensation
arising from any accident to any other person related to or unrelated to successful bidder or MSEDCL.

d) Successful bidder shall be fully responsible for payment of benefits including but not limited to Provident
Fund, Bonus, Retrenchment Compensation, Leave Encashment, etc. to its employees as per statutory
provisions.

e) Necessary payment and liabilities to the Agency's workmen shall be the responsibility of Successful bidder
irrespective of payment received from MSEDCL or otherwise.

7. Security Deposit:-

The successful bidder shall have to furnish security deposit @ 5% of the contract value in the form of Bank
Guarantee in the prescribed format from the nationalized bank within 15 (fifteen) days from the date of Letter of
Award. The said bank guarantee shall cover a period of 3 months after the expiry of the contract period. The bidder
shall agree to extend the bank guarantee if required in future. The Security Deposit can also be paid in cash or in
the form of Demand Draft.

8. Payment of Bills:-

The payment shall be generally made within 30 days (forty five) from the date of submission of clear
invoices or as per availability of funds. The Successful bidder shall submit the original bills /invoices in triplicate to
the respective Division office for provision of payment.

9. Guarantee:- All the services to be provided shall be highly professional and shall be guaranteed for
correctness/accuracy and conductance as per the acceptable norms. In case the successful bidder fails to deliver
the services upto the satisfaction of MSEDCL, MSEDCL reserves the right to terminate the contract at the risk and
cost of the Successful bidder.

11. Force Majeure:-

MSEDCL will not be in any way liable for non-performance either in whole or in part of any contract or for
any delay in performance thereof in consequence of strikes, shortage, non-availability of raw materials, co-
ordination of labour or workmen or lockout breakdown or accident to machinery or accidents of whatever nature,
delay in arranging the transportation of any instrument / system, subject to the provision and stipulation made in
condition No. 9 as stated above i.e. Liquidated damages. However, due consideration may be given in the levy of
liquidated damages for reasons absolutely beyond the control of the Successful bidder, for which documentary
evidence shall be produced to the satisfaction of the Competent Authority of MSEDCL.

12. Termination of Contract:-

In case the Successful bidder fails to deliver the work within the specified time during the contract period or
in case the services are found not in accordance with the prescribed norms, the MSEDCL shall exercise its
discretionary power to avail from elsewhere, after giving due notice to the Successful bidder, at the risk of
Successful bidder, such services and to cancel the contract reserving MSEDCL's right to recover damages,
notwithstanding that the powers referred above are in addition to the rights and remedy available to the MSEDCL
under the General Law of India relating to contract.

NOTES:-

a. In the event of risk purchase of services of similar description, the option of the MSEDCL shall be final.
In tie event of such action taken, the Successful bidder shall be liable for any loss which the MSEDCL may sustain
on that account but the Successful bidder shall not be entitled to any saving on such purchases made against
default.

b. MSEDCL reserves its right not to deal with the Successful bidder, whose contract is terminated for
whatsoever reasons, for a period from the date of cancellation of contract as may be deemed fit.

C. MSEDCL may also blacklist the Successful bidder whose contract is terminated for whatsoever reasons
on giving opportunity to show cause for such action to the Successful bidder.

13. Jurisdiction:-

Any disputes or difference arising under, out of or in connection with this tender or contract if concluded,
shall be subject to the exclusive jurisdiction of the "Courts" in __________________.”
