The IPO – Open Public Offer
Issue details 

Bid/Issue opens on : June 15, 2005 
Bid/Issue closes on : June 21, 2005 
Price Band : Rs 38 to Rs 45 per equity share of Rs 10 each. 
Minimum   application   :  150   equity   shares   and   in   multiples   of   150   equity   shares 
Maximum Retail Bid Amount : Rs. 50,000.

Capital Structure 

Authorised Capital: 40,00,00,000 equity shares of Rs.10 each 
Issued Capital before the issue: 20,00,00,000 equity shares of Rs.10 each 
Issued Capital after the issue: 27,00,00,000 equity shares of Rs.10 each 
Promoters share pre­issue: 52.12% 
Promoters share post issue: 38.62%

Objectives of the Issue 

Yes Bank will use the issue proceeds to augment the long term capital requirement in 
order to implement bank’s growth plans and to increase the paid up equity capital in 
compliance with the licensing directives of RBI. 

Financials
The bank is yet to start full scale operation. For the period, the bank had posted a net 
loss of Rs 3.75 crore with income of Rs. 48.14 crore. 
Subscription & Listing:

The YES Bank IPO, which closed for subscription on 21st June, 2005 had received an
overwhelming response across all classes of investors. A total of over 257,000 bids were received
generating a demand of over Rs. 9000 crores, resulting in an overall final subscription of over 30
times.

The Institutional Portion (QIB) received over 190 bids for over Rs. 4700 crores, resulting in
oversubscription of over 31 times. The Non-Institutional Portion (HNI) received more than 3,800
bids for over Rs. 3650 crores, resulting in oversubscription of over 46 times. The Retail Portion
received over 253,000 bids for over Rs. 750 crores, resulting in oversubscription of over 10 times.
Therefore the HNI/ Retail combined also exceeded Rs. 4300 crores.

THE shares of Yes Bank Ltd traded at a premium of 44 per cent over the issue price on the first day
of listing on the Bombay Stock Exchange. The stock opened at Rs 65 against the issue price of Rs
45 per share. On the NSE, it opened at Rs 65.90, a 46.4 per cent premium to the issue price.

The shares of the bank touched an intra-day high of Rs 70 on both exchanges before closing at Rs
60.80 on the BSE and at Rs 60.85 on the NSE. The shares traded on both BSE and NSE were over
7.5 crore.

Yes Bank has raised Rs 315 crore through the initial public offering and the issue was subscribed
over 30 times, said a press release from the bank. A total of 68.34 lakh bids were received at the cut
off price.

At the time of IPO, YES Bank was new to the country with only 2 branches in India, one in
Mumbai & the other in Delhi. It had not started its operations fully, so it is very difficult to analyse
the pre IPO growth rate of the bank. The only year when it operated before the IPO was FY04 in
which the bank had the total income of Rs. 48.18 crores & total profit or rather loss of Rs. 3.76
crores. The only thing that the company had in its favor was that it had licenses form RBI to open
another 28 branches. And once it received the IPO proceeds, the want went on an expansion drive.
It opened 15 branches in FY06, the year it hit the market with its IPO. Thereafter the branches grew
in number on year-on-year basis. It opened 133 new branches in the next 4 years and the total
number rose from 17 in FY06 to 150 in FY10.

As the branches were increasing, so the topline & the bottomline. From a net loss of Rs 3.76 crores
to a net profit of Rs. 477.74 crores, the company had a dream run. Its topline also increased from Rs
48.18 crores in FY05 to Rs 2950 crores in FY10. The bank did not see a single dull season in
between this 5 years. The bank's rapid growth and expansion had made it one of the most preferred
Banks for investment.

As the bank had a net loss of Rs 3.76 crores in the year 2004-05, the EPS was nil. The bank came
up with its IPO in june 2005 and since than it has performed very well. At the end of the 1 st year of
its IPO, the EPS stood at Rs. 2.05 and the share price was almost 48.98 times the EPS. It should be
noted that the only reason behind such high P/E ratio was that the bank was new in the country with
only 2 branches in 2004-05. The banks had huge expansion plans which would be executed in the
coming years. The investors were confident of the promises made by the bank and so they paid high
prices for the shares of YES Bank.

The bank kept enjoying the trust of the shareholders and it enjoyed high share prices even in FY07.
The bank also kept up with the expectations of the shareholders and the promises it made to them.
The book value of shares increased from just Rs 10 in FY05 to Rs 45 in FY08 & further to Rs. 90 in
FY10. Even the EPS of the bank increased from Rs. 2 in FY06 to Rs. 14 in FY 10. This shows the
rapid growth that the bank had in a short span of 5 years. It has kept it promises it made to the
shareholders at the time of IPO and had accomplished its objective of maximising the shareholders
wealth.

The company listed on both the bourses with a very high premium. It opened at the price of Rs. 65
versus the IPO price of Rs 45. Since then the company has given fruitful returns to its shareholders
and the prices rosed almost 6 times in just 2 n a half years time. After touching the high of Rs 270 in
January 08, the prices of the shares started cooling down and touched the low of Rs 100, still more
than double its IPO price in June 08. It should also be remembered that January to June 08 was the
period in which the entire world was in recission and all the markets of the world, including India's,
crashed. The Indian market saw a downside of nearly 70% during that time.

Overall during the 1st 3 years of going public, Yes Bank proved to be a very good investment for its
shareholders and the company's performance was very good, which was reflected in its share prices
as well. The company with its ambitious expansion plan of taking the number of branches to 759 by
2015 shows the zeal to become one of the dominant banks of India.
