MEMORANDUM OF AGREEMENT

This Memorandum of Agreement (hereinafter referred to as the “Agreement”) is

entered into this __ day of June, 2015 at _____________ by and between:

RUPERTO CRUZ, Filipino, of legal age and with address at

<Insert Address Here> (hereinafter referred to as the “First
Party”);
AND

SUH JUN HONG, Korean, of legal age and with address at

<Insert Address Here> (hereinafter referred to as the
"Second Party”).

Both parties shall be collectively referred to as the “Parties”.

RECITALS:

WHEREAS, the First Party is the owner of a certain parcel of land situated in
<Insert Place where Property is Situated> (hereinafter referred to as the “Property”),
more particularly described below:

WHEREAS, the First Party desires to sell and the Second Party has agreed to
buy the Property;

NOW, THEREFORE, on these premises and for valuable consideration, the

Parties have agreed to bind themselves as follows:

1. UNDERTAKING OF FIRST PARTY. The First Party undertakes to sell the Property and
hand over the Title of the Property to the Second Party upon payment by the
latter of the agreed purchase price of <Insert Purchase Price here>.

Prior to the sale of the Property, the First Party shall grant full physical
possession of the same to the Second Party and allow the latter to build
improvements thereon.

2. UNDERTAKING OF THE SECOND PARTY. The Second Party undertakes to peaceably

hold possession of the Property during the effectivity of the Agreement grant the
First Party, his representatives, agents and employees complete and unimpeded
access to and from the Property at any time.

The Second Party shall also be solely responsible for all expenses for building
and maintenance including cost of power, water, telephone and other utilities
attached, connected or related to the operation of any improvement introduced
on the Property.

3. ASSIGNMENT OF RIGHTS. Insofar as may be permitted by law, the Second Party

may assign his rights and interests over the Property to a third person.
4. MUTUAL TRUST. The Parties agree to act in good faith and fidelity in exercising
their rights and obligations as provided for in this agreement. The Parties further
agree to execute such other implementing agreements and instruments, and do
such other acts as necessary to implement the intent of the Agreement.

IN WITNESS WHEREOF, the Parties have hereunto set their hands at the place
and on the date first written above.
