CONFIDENTIALITY AND NONDISCLOSURE AGREEMENT

This CONFIDENTIALITY AND NONDISCLOSURE AGREEMENT (this “Agreement”) is made as of the ___ day of
___________________, 2017 (the “Effective Date”) by and among the Board of Regents of the University System of Georgia by and
through the Georgia Film Academy (“GA”), and the undersigned (the “Recipient” and together with GFA, the “Parties”, and each a
“Party”).

1. Purpose. GFA is providing to Recepient certain materials, curriculum and processes as described on Exhibit A to
this Agreement (the “Materials”) to enable Recipient to teach certain courses as outlined on Exhibit A (the “Courses”) related to film
production at __________________________ (the “School”) to students enrolled at the School. By receiving and using the Materials,
Recipient acknowledges and agrees:

(a) The Materials are proprietary to GFA and the sole and exclusive property of GFA and that GFA is not
transferring any ownership or other rights in the Materials to Recipient;

(b) Recipient’s sole and exlusive rights in the Materials are for the purpose of teaching the Courses and for no
other purpose;

(c) Recipient will at all times maintain the confidential nature of the Materials and will not disclose the
Materials to any person or entity except as expressly necessary to teach the Courses; and

(d) Recipient will not alter the Materials in any way.

2. Return of Materials. Upon completion of the Courses, Recipient will certify in writing and under oath that
Recipient has either returned to GFA or destroyed all copies of the Materials.

3. No Rights Granted. Nothing in this Agreement shall be construed as granting or transferring any rights under any
patent, copyright or other intellectual property right of GFA, nor shall this Agreement grant the Recipient any rights in or to the
Materials or other property of GFA.

4. Term. This Agreement is intended to cover the Materials received by the Recipient prior to and subsequent to the
Effective Date hereof. Unless extended by mutual written consent of both Parties hereto, this Agreement shall expire on the first
anniversary of the Effective Date. Notwithstanding anything to the contrary contained in this Agreement, (a) all obligations to
maintain the confidentiality of the trade secrets shall survive and continue at all times that such information constitutes a “trade secret”
under applicable law, and (b) all other rights and obligations set forth herein shall survive as necessary to permit the enforcement
thereof.

5. Governing Law; Jurisdiction. This Agreement and all acts and transactions pursuant hereto and the rights and
obligations of the Parties hereto shall be governed, construed and interpreted in accordance with the laws of the State of Georgia,
without giving effect to principles of conflicts of law. Each of the Parties hereto consents to the exclusive jurisdiction and venue of
the courts of Georgia.

6. Remedies. The Parties each agree that its obligations set forth in this Agreement are necessary and reasonable in
order to protect GFA and its business. The Parties each expressly agree that due to the unique nature of the Materials, monetary
damages would be inadequate to compensate GFA for any breach by the Recipient of its covenants and agreements set forth in this
Agreement. Accordingly, the Parties each agree and acknowledge that any such violation or threatened violation shall cause
irreparable injury to GFA and that, in addition to any other remedies that may be available at law, in equity or otherwise, GFA shall be
entitled to obtain injunctive relief against the threatened breach of this Agreement or the continuation of any such breach by the
Recipient, without the necessity of proving actual damages.
 IN WITNESS WHEREOF, the Parties hereto have executed or caused this Agreement to be executed to be effective as of
the Effective Date.
