RELEASE, WAIVER AND QUITCLAIM

I, VICENTE G. LUEGA of legal age, Filipino and with address at South

Poblacion, San Fernando, hereby acknowledge the receipt of the amount of FIVE
THOUSAND (Php 5,000).

That I received from ALVIN T. CIMAFRANCA as full payment/ settlement of

all my claims/ benefits under law in connection with the services I rendered to SAN
JOSE BAKESHOP, despite having made cash advances, accordingly:

1. I release and forever discharge Mr. Alvin T. Cimafranca, San Jose

Bakeshop its affiliates, subsidiaries or agencies, stockholders, officers, directors, agents,
consultants, or employees from any liability, or obligations in connection with the
services I rendered;

2. I acknowledge that I have received the benefits in full and complete

satisfaction of all amounts that may be due to me from Mr. Alvin T. Cimafranca and San
Jose Bakeshop;

3. I acknowledge that I have no more cause of action, complaint, or

grievance whatsoever against Mr. Alvin T. Cimafranca and San Jose Bakeshop in
respect of the services I rendered;

4. I further warrant that I will not institute any action or complaint against
Mr. Alvin T. Cimafranca and San Jose Bakeshop its affiliates, stockholders, officers,
directors, agents, consultants and employees in connection with the services I rendered;

6. I finally affirm that I have read this document and the release, waiver and
quitclaim hereby given are made willingly and voluntarily free from duress, force or
intimidation, and with full knowledge of my rights under the law.
