Undertaking cum Indemnity

This Affidavit cum Indemnity is executed by Mr._Jiwanjot Singh Bedi, s/o S. Jaspal
Singh residing at Opp. Arya Samaj Mandir, Water Works Road, Malout, Tehsil
Malout, Distt. Sri Muktsar Sahib ( (hereinafter referred to as “the Indemnifier”,
which expression shall unless repugnant to the context or meaning thereof shall
mean and include its successors and permitted assigns) in favour of

AXIS Bank Ltd., a banking company carrying on the banking business under the
Banking Regulation Act, 1949 and incorporated under the Companies Act, 1956 and
having its Registered Office at ‘Trishul’, 3rd Floor, Opposite Samartheshwar Temple,
Law Garden, Ellis Bridge, Ahmedabad 380 006, Gujarat and Branch Office at Malout
(hereinafter referred to as “the Bank” which expression shall unless repugnant to the
context or meaning thereof shall mean and include its successors and assigns).

I, Mr. Jiwanjot Singh Bedi, hereby state that vide ______________

dated_________________, _____________services will be provided by me to the Bank
in capacity of a Vendor and the reports generated/ prepared by the me in connection
with the said services will be scanned and uploaded on the Vendor Platform].
In pursuance of the above arrangement, it is conditioned to accept certain terms and
conditions stipulated by the Bank and indemnify the Bank against all the losses,
damages, costs etc. arising out of said services being provided by me.

I do hereby declare that the facts stated above are true to the best of my knowledge,
information and belief and shall be binding on the “Indemnifier”.

In consideration of the Bank agreeing to avail the services of Indemnifier through
Vendor Platform, I hereby indemnify and agree to keep indemnified the Bank, its
successors and assigns in business at all times against all costs, damages and losses
which may be incurred by the Bank on account availing these serviecs.

NOW THIS INDENTURE WITNESSETH THAT pursuance to the arrangement, I

hereby agree/ confirm/ accept following Terms and Conditions:

1. That the Platform allows me the access to classified customer related information
and I hereby commit not to disclose or part with such classified customer related
information and keep it in strictest confidence.

2. To indemnify the Bank towards

 any such misuse of information/ data received from/ provided to the Bank,
 Any misrepresentation made on my part while providing this services,
 Any divulgence of password/ authentic information of this Platform,
 Any loss/ damages/ costs incurred by the Bank while availing the
Vendor Platform Services,
 on account of inadvertent fraudulent usage of your login credentials
and subsequent submission of reports.

3. That, I have not concealed or suppressed any material information, facts and
records and have made a complete and full disclosure while submitting the
reports prepared and authenticated by me.

4. That, I will not sub contract / sub assign any of my assignments agreed
between the Bank.

5. That, any instance brought to the notice of bank, exceeding the scope of the
job assigned shall be treated as breach of contract and Bank shall have the
right to terminate the appointment / empanelment / engagement with
immediate effect.

6. That, any Individual/ Proprietor/Partner and/or the Staff of my

Firm/Company, have not sought any favours from any of the Customers /
Borrowers of the Bank directly or indirectly.

7. That his platform allows me to upload scanned (duly signed) copy of reports
(Valuation Report/Title Search Report/Unit Inspection Report/Stock Audit
 Report) and would obviate the need of submitting a hard copy. However, on
request made by the Bank or pursuant to any statutory Order, I shall submit
the original hardcopies of the Reports prepared by me. The Bank may impose
additional Terms and Conditions OR modify these Terms and Conditions for
this platform from time to time.

8. That, I shall be obliged to adhere to the terms and conditions, ‘Privacy Policy’
and other policies laid down and made applicable by the Bank including Code
of Ethics uploaded on the website of the Bank.

9. That, Bank reserves the right to modify/ alter all or any of the terms applicable
without assigning any reasons or without any prior intimation whatsoever.
Bank also reserves the right to discontinue the services without assigning any
reasons or without any prior intimation whatsoever.

10. That, any person taking the advantage of this Platform shall be deemed to
have read, understood and accepted these terms and conditions.

11. That the Bank reserves right, at its sole discretion, to modify or replace these
Terms at any time. What constitutes a material change will be determined by
the Bank sole discretion.

12. That, the Bank’s decision relating to this services are final and binding. If any
matters arise which are not covered in these Terms and Conditions, then the
same will be determined solely by the Bank.

13. That, the user interfaces, graphics, logos, design, compilation, information,
computer code (including source code and object code), products, software,
services, and all other elements of this Platform provided by the Bank are
protected by copyright, designs, patent, and trademark laws, international
conventions and other applicable intellectual property and proprietary rights
of the Bank

14. That, notwithstanding anything in the contrary provided in this terms and
conditions, the Bank shall not be involved in or in any way liable to the Vendor
for any dispute between the Customer and Vendor or any third party service
provider (whether appointed by the Bank in that behalf or otherwise).

15. The construction, validity and performance of these Terms and Conditions
shall be governed in all respects by the laws of India. The parties hereby
submit to the exclusive jurisdiction of the competent Courts at Mumbai, India
which courts shall have jurisdiction in the matter to the exclusion of any other
 courts, irrespective of whether such other courts have similar jurisdiction in
the matter.

16. That, these Terms and Conditions and an arrangement herein shall be subject
to applicable Reserve Bank of India Guidelines issued from time to time and
prevailing law and regulations.

17. I further agree to keep indemnified and hereby indemnifies and keep harmless
the Bank and/or its successors in title of, from and against any loss, damages,
demand, action, dispute, claim, costs, charges and expenses, penalties and
prosecution of any nature suffered or sustained by the Bank as a result of the
Bank availing the said services.

I confirm that this indemnity shall be irrevocable and in the event of such a claim,
litigation cost or damages which may be raised against the Bank, I shall indemnify
and keep indemnified, the Bank and its successors and assigns in business of all such
causes without demur.

IN WITNESS WHEREOF Mr. Jiwanjot Singh Bedi has signed and delivered these
presents the day and year first hereinabove mentioned at Malout.
