ORE SUPPLY CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT entered into and executed by and between:

PANORAON SMALL SCALE MINERS COOPERATIVE (PASSMICO), SSMP No.

009-CV-002-C represented by its CHAIRMAN RAUL W. MANAOIS, and a resident of
Panoraon, Maco, Comval Province, hereinafter referred to as FIRST PARTY;

-and-

RAREVIEW LTD., with business address at 9th Floor, Amitel Building, 148 Desvoeux,
RD Central, Hong Kong duly represented by FERDINAND M. REGIS with CTC
Number: 30319422 and presently residing at Mangasoy, Bislig City hereinafter referred
to as the SECOND PARTY.

WITNESSETH:

NOW IN CONSIDERATION of the above-mentioned premises, FIRST and

SECOND PARTIES entered into an AGREEMENT with the terms and conditions herein
set forth as mutually agreed; That the FIRST PARTY will sell his copper ore and other
associated minerals to the SECOND PARTY and the latter will buy virtue of this covenant
and thereby both parties further agree to the following terms and conditions to wit:

• PRINCIPLE OF BOTH PARTIES

This AGREEMENT recognized the fact of a principal to principal basis between

the SELLER/SUPPLIER and the TRADER/BUYER only.

• FIRST PARTY (PANORAON SMALL SCALE MINERS COOPERATIVE-

PASSMICO) – SELLER/SUPPLIER
SECOND PARTY (RAREVIEW LTD.) – TRADER/BUYER

• COMMODITY SPECIFICATION
 • Commodity : Copper and other associated minerals
• Size
2.1 Lumpy : 10mm-150mm
2.2 Fine/Sandy : 0mm-3mm
3. Acceptable grade
3.1 (acceptable) : 5 grams/metric ton and above

• VOLUME QUANTITY

20 DMT and above

• DOCUMENTATION

All legal documents for the sale and transport of gold muck ore and other
associated minerals shall be expedited, furnished and paid by the SECOND PARTY
such as
• Ore Transport Permit (OTP)
• B.I.R Excise Tax Payment
• Extraction Fee (Provincial) and other fees imposed by the government
agencies

• DELIVERY CONDITION

FOB at RAREVIEW LTD., 9th Floor, Amitel Building, 148 Desvoeux, RD

Central, Hong Kong.

• PACKAGING/BAGGING

50 kg net weight per bag

• PAYMENT CONDITION

Cash on delivery
With the following conditions:
• Complete necessary documents such as OTP and other related documents

• INSPECTION
• Quantity : Weighing and moisture deduction
 Lumpy – less 3% moisture
Sandy – less 8% moisture
• Documents : OTP and other related documents
• Sampling
3.1 Second Party or Third Party (SGS) shall conduct sampling assay
laboratory analysis

 ADDITIONAL CONDITION

The SECOND PARTY shall pay royalty to the FIRST PARTY in the amount of P
5,000.00 (Five thousand Pesos) per container van during shipment of ore commodities
coming from Barangay Panoraon as Royalty Fee to the Minahang Bayan of the
Cooperative (PASSMICO).

• EFFECTIVITY OF CONTRACT

This AGREEMENT shall be valid for a period of one (1) year after signing
both parties and renewable upon mutual consent and understanding by the
contracting parties from this day June 8, 2016 to June 8, 2017.

IN THE TRUTH WHEREOF, we have hereunto affixed our signatures this

8th day of June 2016 at Tagum City, Philippines.
