a) La Frutera is a subsidiary company of Baninvest Limited represented in the

Philippines by Unifrutti Tropical Philippines, Inc. (UTPI) which is the flagship company of
the Unifrutti Group in the Philippines (UGP) – Chairman and CEO of UTPI is Mr. John P.
Perrine
b) Shareholders of La Frutera appointed Ultrex Managers & Consultants, Inc. as
General Managers – Ultrex is represented by Mr. Senen C. Bacani
c) 50% of the land is owned by the Paglas Family; the Paglas Family owns Paglas
Corporation which manages the farm workers in behalf of the company
d) As a company under UGP, UTPI provides support in terms of logisctics/purchasing,
financial management & control, technical support in production (pest & disease, plant
nutrition, quality, etc.) – President of UTPI is Mr. Alberto Bacani and CFO is Mr. Larry
Dagpin

2. Top 3 stockholders of Laysun (Far East) Limited (LFE) and Baninvest Limited and amount
–

a) LFE is the Unifrutti Group’s marketing company which handles the

distribution/allocation of fruit volume to all markets
b) Baninvest is the investment holding company of the Unifrutti Group who holds the
shares in their companies in the Philippines
c) LFE and Baninvest are 100% beneficially owned by Unifrutti International Holdings
Ltd. (UIHL); which is the holding company of the De Nadai Family

Copy of the 2014 audited financial statements of LFE and Baninvest had already been
provided; 2015 audited financial statements are expected to be released in July 2016.

3. % share of Mr. John Perrine – holds qualifying shares to act as Chairman and CEO in all
companies under UGP
