CONTRACT FOR THE PRODUCTION OF CLUB UNIFORMS

(Bachelor of Science in Accountancy)

KNOW ALL MEN BY THESE PRESENTS:

This Contract made and entered into by and between CLUB, of Saint Louis College, City
of San Fernando, La Union, presented by its College Treasurer, MRS. ROWENA KATHLEEN
H. ABALOS, CPA, Filipino citizen, of legal age, hereinafter referred to as the “FIRST PARTY”;
- and -
LU PRINTS, represented by its Owner, MR. JOHN PAUL NAOE, of legal age and with
business address at #14 Mabini St, Central West, Bauang, La Union, hereinafter referred to as
the “SECOND PARTY”.
- WITNESSETH that -
WHEREAS, the FIRST PARTY desired to engage the tailoring services of the
CONTRACTOR for the production of club uniforms for the members of the CLUB of the FIRST
PARTY;
WHEREAS, the SECOND PARTY agrees to produce said uniform;
NOW, THEREFORE, for and in consideration of the foregoing premises of the mutual
covenants and provisions hereafter set forth, the parties hereto have agreed and do hereby
mutually agrees as follows:
1. The SECOND PARTY, shall produce the said uniforms providing both materials and labor
based on the following specifications:

2. The FIRST PARTY agrees to pay the CONTRACTOR in the manner provided in the
succeeding paragraph the amount of ________ for ______ male students and _____ for
female students for a total amount of ________ for ______ students.

3. The FIRST PARTY shall pay the SECOND PARTY 50% of the total amount upon signing of
this contract as down payment and another 50% as full payment upon full delivery and
acceptance of the items specified herein;

4. The SECOND PARTY agrees to make minor repairs as required by the students free of
charge;

5. The SECOND PARTY agrees to make full delivery of all uniforms by _________;

6. The SECOND PARTY shall endeavor to strictly comply with the provisions of this contract. In
case the SECOND PARTY fails to deliver the items within specified time, the FIRST PARTY
may impose upon the SECONDARY PARTY a penalty equivalent to 2% of the total contract
price per day of delay;

7. The SECOND PARTY agrees to indemnify, defend, and hold harmless the FIRST PARTY, its
officers, adviser and agents, and defend any action brought against the FIRST PARTY with
respect to any claim, demand, cause of action, debt or liability, including reasonable attorney’s
fees, to the extent that such action arises out of negligence, willful misconduct or violation of
the labor and other related laws of the SECOND PARTY;

8. All judicial and extra-judicial expenses as well as the provincial, city or municipal permits which
shall be incurred by the SECOND PARTY in connection with the performance of this contract
shall be for the account of the SECOND PARTY;
9. This contract shall be governed in all respects by the laws of the Republic of the Philippines.
The FIRST PARTY and the SECOND PARTY agree that the sole venue and jurisdiction for
any dispute arising from this contract shall be the appropriate court in the City of San
Fernando, La Union and the amount equivalent to twenty-five percent (25%) of the amount
claimed shall be due and demandable as attorney’s fees.
